Riverside Co/Fire Engine Lease 86LEASE OF FIRE EQUIPMENT
This lease made and entered into on
11986, between the City of La Quinta, hereinafter
called City, and the County of Riverside, State of California,
hereinafter called County;
W I T N E S S E T H:
That City hereby leases to County and County hereby hires
from City the following described property on the following covenants
and conditions: pI'll
1. Eguipment_ The leased property shall be a 1985 Van Pelt
Triple Combination Engine with radio as first line unit and meeting
the minimum specifications furnished by Riverside County adequately
equipped and ready for use with the equipment listed on Schedule A
(attached).
2. Term. This lease shall be for a term of approximately
twelve (12) months commencing with the date hereof and ending on
January 01, 1987.
3. Consideration. The consideration for this rental shall
be the making and performance by the County of the obligations as set
forth in this lease.
4. Use. This equipment shall be used as integrated units
of County's fire protection, and rescue program, presently conducted
by contract with the State of California, but shall be stationed
primarily in the City of La Quinta.
5. Maintenance. During the term of this lease, County shall
make such reasonable repairs to said equipment, (but not including
painting) as may be necessary to keep the equipment in operating
condition; provided, however, that the County may cease to make
further repairs when the County determines that the repair costs
during the period of this lease shall exceed 511,000 for any fiscal
year, or have exceeded the market value of the equipment. In the
event the City and County mutually determine that the equipment is not
fit for further use because of obsolescence or a collision, the County
shall not be required to repair the equipment or maintain it in use.
Upon such determination, the City shall have the option of replacing
or repairing said equipment or County shall discontinue the particular
service.

The City shall:
(a) Acquire, license, and make the equipment
available.
(b) Reimburse the County for 50% of the total
cost of maintenance of the equipment, not
to exceed $5,500 for any fiscal year.
At the termination of this lease, County shall redeliver
said equipment to City in as good condition as when delivered to
County, except for reasonable wear and tear or total loss of the
equipment.
6. Liability. County shall satisfy all liability claims and
liability arising under the performance of this Agreement up to a
maximum of $5,000,000.00. County shall pay all penalties thereon
arising under applicable laws, and shall defend, at its own expense,
any and all actions brought against either or both of the parties
hereto for damages to persons or property caused under the performance
of this Agreement, and shall hold City free and harmless of any and
all claims and demands up to and including $5,000,000.00.
City shall satisfy all liability claims and liability
arising under the performance of this Agreement and shall pay
penalties thereon arising under applicable laws, and shall defend, at
its own expense, any and all actions brought against either or both
parties hereto for damages to persons or property caused under the
performance of this Agreement, and shall hold County free and harmless
of any and all claims and demands for all amounts in excess of
$5,000,000.00.
7. Title. City covenants and agrees that upon delivery of
said equipment to County, City shall be the sole owner of the
equipment and no other person, party, firm or corporation has or shall
have any right, title or interest in or to it except as hereinafter
provided, and that during the term of this lease, or any extension
thereof, said City shall not sell or encumber said vehicle or any
interest therein. except subject to the rights given County by virtue
of this lease. The equipment shall be registered in the name of City
which shall cause it to be licensed. Nothing herein shall prevent
City, if it so desires, from transferring its interest in the
equipment to County unconditionally and terminating this lease if this
is acceptable to County.
8. Holding Over. The initial term of this agreement shall
be from the date of execution hereof to January 01, 1987. The term of
this agreement shall be a one-year term thereafter. Either party to
this agreement may terminate this agreement by providing written

notice of termination to the other party hereto sixty days prior to
the expiration of the term hereof. In no event shall this agreement
be terminated by either party prior to January 01, 1987. If no
written notice of termination is received by either party, this
agreement shall be automatically renewed at the same level of service,
at the then current level of expense, and otherwise on the same terms
and conditions herein specified, so far as applicable, until:
(1) A new agreement is fully executed, or
(2) Termination of this agreement following 60 days prior
written notice of termination.
This agreement may be terminated by mutual consent of the
parties at any time after January 1, 1987.
9. Delivery of Notices. Any notices to be served pursuant
