RELEASE AND TERMINATION OF AGREEMENT
This RELEASE AND TERMINATION OF AGREEMENT ("Release") is dated as of the
8 t hday of July , 2002, by and between the LA QUINTA REDEVELOPMENT
AGENCY, a public body corporate and politic ("Agency"), STAMKO DEVELOPMENT CO., a
California limited partnership ("Stamko"), SIENA DEL REY, LLC, a California limited liability
company ("Siena"), and USA INVESTORS II, LLC - #958, a Nevada limited liability company
("USA Investors"). Siena and USA Investors are both successors in interest to Inco Homes
Corporation, a Delaware corporation ("Inco").
RECITALS
A. Agency is the owner in fee of that certain real property located in the City of La
Quinta, County of Riverside, State of California more particularly described in the legal
description attached hereto as Exhibit "A" and incorporated herein by reference (the "Site").
Stamko previously owned the Site and Agency acquired the Site from Stamko.
B. Prior to Agency's acquisition of the Site from Stamko, Stamko, Inco and Tom
Bienek and Judy Bienek (collectively, `Bienek") entered into that certain Access and Expense
Reimbursement Agreement ("Original Agreement") dated May 20, 1994, and recorded on
August 10, 1994 as Instrument Number 314618 in the County Recorder of Riverside County,
California The Original Agreement was recorded against the Site and relates to access rights,
installation of certain utilities, and the allocation of costs associated therewith.
C. At the time of the execution of the Original Agreement, Bienek held an option to
purchase a portion of the Site. Bienek, however, did not purchase any portion of the Site.
D. On or about July 28, 1995, Stamko and Inco entered into that certain Restated
Access and Expense Reimbursement Agreement ("Restated Agreement") recorded on August 2,
1995 as Instrument No. 250417 in the County Recorder of Riverside County, California. The
Restated Agreement terminated the Original Agreement and restated the rights and obligations of
the parties with respect to the matters set forth in the Original Agreement.

E. Agency, Stamko, Siena and USA Investors desire to terminate the Restated
Agreement in its entirety and release any further rights and obligations owing to one another
thereunder.
AGREEMENT
NOW, THEREFORE, Agency, Stamko, Siena, and USA Investors hereby agree as
follows:
1. Concurrently with the execution of this Release, Agency paid to Stamko the sum
of $80,437.52 and paid to Siena and USA Investors the sum of $15,400.04.
2. The parties do hereby terminate the Restated Agreement and agree that the
Restated Agreement shall be of no further force or effect. Upon the recordation hereof, the
Restated Agreement shall cease to be a lien upon the Site.
3. The parties hereby release and forever discharge each other, and their respective
predecessors and successors, and assigns from the performance of any obligation under the
Restated Agreement, and from any and all claims, demands, causes of action, obligations,
damages, costs and liabilities of any nature whatsoever, whether or not now known, suspected or
claimed, which they have or may have against one another and which arise from or relate to the
Restated Agreement and all rights and obligations thereunder.
