FISCAL IMPLICATIONS: No additional appropriations are requested. Staff recommends that this line item be established in the amount of $50,000, utilizing funds within the Capital Improvement Program project entitled, "Municipal Golf Course — Phase I." BACKGROUND AND OVERVIEW: Staff has received inquiries and proposals from numerous golf industry experts for assistance with various implementation aspects of SilverRock Ranch. Attachment 1 is a listing of consultants, service providers, vendors and other interested parties included in the Agency's project file. The firms included within this file have an enormous wealth of industry experience that the Agency may wish to tap on a time -and -materials basis for various aspects of project implementation. For example, staff recently concluded contract negotiations with Palmer Course Design Company for golf course architectural services. Landmark Golf Company reviewed the contract and offered salient comments at the Agency meeting, but staff had no authorization or budget to solicit Landmark comment prior to that time. There will be additional opportunity in the future for Agency staff to buttress existing expertise if the GIC line item is established (i.e., marketing, golf course operations, course routing, tournament design characteristics, etc.). The City's Consultant Selection Procedures (LQMC Section 3.32.030, Attachment 2, and Resolution 2003-026, Attachment 3) outline the selection process for "minor contract services" (i.e., for contracts under $25,000). Staff would propose to use Attachment 1, as amended, as other firms indicate an interest in any particular aspect of the project, to meet requirements of the selection procedure for solicitation of competitive proposals. FINDINGS AND ALTERNATIVES: The alternatives available to the Agency Board include: 1. Authorize establishment of a SilverRock Ranch Golf Industry Consultant line item (GIC) in the amount of $50,000 and authorize staff to utilize this funding to retain industry experts for consultation on various project tasks; or 2. Do not authorize establishment of a SilverRock Ranch Golf Industry Consultant Line item ; or 3. Provide staff with alternative direction. A. Solicitation and selection of professional services of private architectural, landscape architectural, professional engineering, environmental, land surveying, and construction project management firms shall be on the basis of demonstrated competence and on the professional qualifications necessary for the satisfactory performance of the services required and on fair and reasonable prices. Where the city manager or department director determines that the particular services required are of a technical nature and involve little professional judgement, solicitation and selection shall comply with subsection B of this section. B. Solicitation and selection of firms for services other than those specified in subsection A of this section shall be on the basis of the most advantageous proposal after consideration of qualifications, demonstrated competence, cost, delivery time, and other factors. C. The city council may, by resolution, prescribe specific procedures, rules and regulations governing the solicitation and selection of firms. (Ord. 315 § 5 (part), 1998) 3.32.020 Contracts for major services. A. Solicitation of firms shall be by written or published requests for competitive proposals. B. Proposals shall be reviewed and ranked by a selection committee composed of members competent to judge the qualifications of firms for the category of services to be provided. C. Contracts shall be awarded by the city council. (Ord. 315 § 5 (part), 1998) 3.32.030 Contracts for minor services. A. Solicitation of firms shall be by verbal, written or published requests for, whenever feasible, at least three competitive proposals. B. The city manager or department director may review and rank proposals. C. The city council may by resolution authorize the award and execution of minor contracts by the city manager and department directors. D. The department administering the contract shall keep written records of proposals and contracts for a period of one year following the award of contract. (Ord. 315 § 5 (part), 1998) 3.32.040 Contract incentives. Service contracts may include monetary or other incentives for superior performance or early completion of the services rendered. (Ord. 315 § 5 (part), 1998) 3.32.050 Exceptions to the procedures prescribed in Sections 3.32.010 to 3.32.030. A. Contracts utilizing funding or other participation from agencies which require conformance with state, federal or other contracting regulations shall be exempt from provisions of this chapter, and any resolutions established pursuant thereto, which would jeopardize the availability of the funding or participation. B. Solicitation and selection of firms and award of contracts for public works design/build projects shall not be subject to the provisions of this chapter. C. The city council may authorize award and execution of service contracts with no competitive proposals where experience with the proposed service provider has demonstrated competence and satisfactory performance or in the renewal or renegotiation of existing contracts for continuing services. 82-3 (La QWnta 5-98) 36 3.32.050 D. The city manager may authorize the solicitation, selection, award, and execution of service contracts by the most expeditious method where time is of the essence to prevent an emergency lack of critically needed services. If the contract is for major services, it shall be submitted for ratification at the next regular city council meeting. (Ord. 315 § 5 (part), 1998) 4.1 (La Quinca 5-98) 82-4 37 ATTACHMENT 3 RESOLUTION NO. 2003- RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LA QU1NTA, CALIFORNIA REGARDING SOLICITATION AND SELECTION OF FIRMS AND AWARD OF CONTRACTS FOR THE FURNISHING OF SERVICES AND REPEALING RESOLUTION 98-15 WHEREAS, PURSUANT TO Chapter 3.32 of the La Quinta Municipal Code (LQMC), the City Council desires to prescribe specific procedures and rules governing the solicitation and selection of firms and award of contracts for services; NOW, THEREFORE, the City Council of the City of La Quinta, California, does resolve as follows: Section 1: Applicability The procedures and rules herein prescribed shall apply to the solicitation and selection of firms and award of contracts for the furnishing of services pursuant to LQMC Chapter 3.32. Section 2: Contracts for major services Major services are defined as those services having an estimated value of twenty-five thousand dollars or greater. The solicitation and selection of firms and award of contracts shall conform to LQMC Section 3.32.020 and the following: A. Contract Services Registry 1. Establishment. The City shall maintain a Contract Services Registry (the Registry) of firms providing commonly required services. The Registry shall contain the names, addresses and telephone numbers provided by the firms, the particular categories of services each firm provides, and limited documentation provided by each firm in support of qualifications and professional competence to perform the services. 2. Annual Notice. The City Clerk shall annually publish a notice inviting firms to submit or update their qualifications. The notice shall be published at least twice in a newspaper of general circulation during the month of January. The City may prescribe a standard form with which interested firms must submit their qualifications. During the month of January of even -numbered years, the City Clerk shall mail notices to firms on the Registry requesting that they verify or update their 4 �. tj 38 Resolution No. 2003- Page 2 qualification materials. Any firm not responding to the notice shall be removed from the Registry. B. Selection Procedure Except as hereinafter provided, the selection of firms for major services shall conform with LQMC Section 3.32 and the following: 1. Form Selection Committee. The Selection Committee (Committee) shall comply with LQMC Section 3.32.020B. The City Council may authorize the retention of a private consultant to function as the Selection Committee. 2. Review Qualifications. The Committee shall review the Registry for qualifications of firms, which offer the required services. If an insufficient number of qualified firms are found in the Registry, the Committee shall issue a Request for Statements of Qualifications (RFQ). The RFQ shall provide a general description of the services required and shall request that firms submit Statement of Qualifications to perform those services. 3. Select Short List of Most Qualified Firms. The Committee shall select a list of the most qualified firms (the "short list"). The short list shall include, where possible, at least three but normally not more than five firms. 4. Issue Request for Proposals. The Committee shall issue a Request for Proposals (RFP) to the firms appearing on the short list. The RFP shall contain, at a minimum, a project name, a detailed scope of services to be provided and the date and time by which proposals must be submitted. 5. Form of Proposals. The form of the proposals requested should be commensurate with the category and scope of the services desired and may require sealed fee proposals. a) For projects with well-defined scopes of work, the proposal may consist of an offer to perform the work defined in the RFP, a schedule of performance and a proposed fee. b) For projects with complex or poorly -defined scopes of work, proposals should include, where applicable, specific information regarding each firm's understanding of the project, proposed team, resources, approach, expanded scope of work, work schedule, schedule of fees, and, if appropriate, a fee proposal. 39 Resolution No. 2003- Page 3 c) Any individual or firm proposing to provide construction project management services shall provide evidence that the individual or firm and its personnel carrying out onsite responsibilities have expertise and experience in the services they are to provide. d. Review Proposals. The Committee shall review the proposals received and may conduct interviews or hold discussions with the proposing firms. e. Rank Short-listed Firms. The Committee shall rank the proposing firms according to the criteria specified in LQMC Section 3.32.010. f. Notify Firms. Following the selection process, firms on the short list shall be notified of their positions in the ranking. g. Open Fee Proposals. Once firms have been notified of their positions in the ranking, the City Manager or representatives of the Department shall open and review the fee proposals of any) to determine a range of apparently fair and reasonable value of the services to be performed. h. Negotiate with the Top -Ranked Firm. After firms on the short list have been notified of their positions in the ranking, the City Manager and/or representatives of the contracting department shall, if necessary, negotiate with the next firm to arrive at mutually -acceptable contract terms. i. Terminate Negotiation and Begin Negotiation with Next -Ranked Firm. If an agreement cannot be reached with the top -ranked firm, negotiations shall begin with the next firm in the rankings. This process shall be repeated until negotiations are successfully concluded or until the list of qualified firms submitting proposals is exhausted and an agreement cannot be reached. Section 3: Contracts for minor services Minor services are defined as those services having an estimated value of less than twenty-five thousand dollars. The solicitation and selection of firms and award of contracts shall conform to LQMC Section 3.32.030 and the following: A. The City Council may award contracts. B. Department Directors may award and execute contracts for services of two thousand five hundred dollars ($2,500) or less with or without competitive bidding provided there are adequate unencumbered appropriations in the fund accounts against which the expenses are to be charged. Section 4: Exceptions to the procedures specified herein shall be as specified in LQMC Section 3.32.040 and as follows: A. For services other than those requiring the professional judgment of private architectural, landscape architectural, professional engineering, environ-mental, land surveying, and construction project management firms, fee proposals need not be sealed and may be opened and considered prior to the ranking of short-listed firms. B. The authority awarding any contract, for which cost proposals have been received, may waive irregularities in the cost proposals provided that such waiver is in the best interests of the City and does not result in an unfair advantage to any firm. The Development Coordinator's responsibilities include assisting the project development team in identifying and preparing RFP's for specialists needed to design the golf course, support infrastructure, landscape improvements, a temporary clubhouse, restrooms, and other ancillary structures. In addition, the Development Coordinator will prepare RFP's or Statement of Qualifications (SOQ) for construction managers, golf course contractors, golf course operators and pre -opening marketing services. The Agency approved the project schedule and distribution of request for proposals for Civil Engineering and Plant Inventory services at its meeting of July 1, 2003. The contract for the golf course architect (PCDC) was approved by the Agency on July 22, 2003. In accordance with the consultant selection project schedule (Attachment 1), RFP's have now been prepared for Public Affairs/Marketing services and Architectural services. These two professional services, coupled with the golf course architect (PCDC) and the master planning firm (GMA), represent the core group of consultants who, when working in concert with the Redevelopment Agency Board and project development team, will provide the expertise necessary to achieve the Agency's objectives for SilverRock Ranch. It is envisioned that numerous workshops with the Redevelopment Agency Board, consultants and project team will be held to allow for meaningful input and exchange of ideas in the development of the branding/logo, marketing strategy, and architectural design themes that incorporate the character of the City of La Quinta consistent with the vision and objectives of the master plan. Public Affairs/Marketing Services RFP The RFP for Public Affairs/Marketing (Attachment 2) is for services up to and including the grand opening of the first golf course. These services include: development of a branding/logo plan; development of a comprehensive and prioritized media relation program; creation of promotional campaign elements and collateral material; defining a strategy to incorporate the golf course operators marketing efforts with the Public Affairs/Marketing consultant to avoid duplication of effort; providing a timeline showing when media relations and other activities will occur; event planning assistance; assisting in the marketing efforts with resort developers; and creating a merchandising plan to help promote the golf course prior to opening. Architect RFP The RFP for Architectural (Attachment 3) is for services associated with the preparation of plans, specifications and cost estimates for a temporary clubhouse, golf course maintenance building, 2 golf course restrooms and a well/pump house building. The RFP identifies the existing Ranch House building as a potential temporary clubhouse and requests a feasibility study be prepared that quantifies the suitability of using the Ranch House building and the costs associated with bringing the building up to applicable building codes and ADA regulations. If the building is not suitable, then a 2 temporary clubhouse using modular components is to be designed. The RFP also requests that the architectural firm present their approach on how the permanent buildings will be compatible with the theme and vision of the master plan and the future permanent clubhouse. The RDA's goal is to develop premiere hospitality and golf venues that become must -see destinations in the Coachella Valley. The final development will be crafted as if it had evolved over time by melding the rich hues of the desert and strong architectural elements inspired by the site with rusticated materials. Environmental approvals have been secured to develop the following uses on SilverRock Ranch: a 250-room hotel with a 10,000 square foot conference center; 300 condo hotel or fractional units with up to 500 keys; two 18-hole public golf courses with a driving range and a 25,000 square foot clubhouse; one 9-hole public golf course; and 25,000 square feet of ancillary tourist commercial uses. Additional approved uses entail passive park space, trails, and view corridors. The RDA approved a Master Plan for the project in May 2003. The Master Plan sets forth a preferred site development program and plan that will guide the precise planning processes. GMA International has been managing this activity and prepared the master plan and associated documents. Their work will be available to the selected organization. These fees are subject to change based upon the actual amount of the bond issue and final negotiations with members of the bond team. Once these costs are identified, staff will present them to the Agency Board for review and consideration prior to proceeding with the bond issue. CITY CHARTER IMPLICATIONS: None. q "C BACKGROUND AND OVERVIEW: When considering the business plan for SilverRock Ranch, the Agency Board directed staff to structure and sell taxable Project Area No. 1 tax allocation bonds. The reason was to afford the Agency the greatest flexibility when structuring land sale, development and golf operations transactions with the private sector. The Agency Board desires to offer preferred tee times to attract resort and hotel enterprises, to secure a golf tournament, and to have the greatest flexibility when structuring sale or lease transactions for the disposition of the resort, casitas and retail designated sites. Federal and state statutes provide that a redevelopment agency may sell tax-exempt and taxable bonds to raise capital. Tax-exempt bonds are used to fund activities that serve a public purpose and benefit governmental agencies such as: building flood control channels, streets, parks and public buildings; funding affordable housing projects and programs; or transferring property at zero value to facilitate redevelopment. The interest earnings that bondholders receive are exempt from both Federal and State income tax liabilities. Taxable bonds are used when the proceeds benefit private, non -government activities such as: selling or leasing property to private or non -governmental (non-profit organizations fit the latter category) entities at fair market value; offering preferred use of a publicly -owned facility to private or non- governmental entities that will profit from using the property; and permitting private or non -governmental entities to run profit generating operations within a publicly -owned facility. The interest earnings that bondholders receive from taxable bonds are taxed at both the Federal and State level. Because the bond interest earnings are taxed, taxable bonds have commanded higher interest rates than tax-exempt bonds, typically 2 to 4 percent higher. However, interest rates are at historic lows and taxable bond interest rates are now only slightly higher than tax-exempt bond interest rates. In order to provide the Agency with the greatest flexibility when structuring private activity transactions involving SilverRock Ranch, the Agency must use taxable bond proceeds to fund some or all of the land costs, and the planning, engineering and site development activities for the private activity use areas. In February 2003, the Agency Board authorized staff to assemble the bond financing team that developed and sold the Project Area No. 1 Series 2001 and Series 2002 Bonds. Team members entail Bill Marticorena of Rutan and Tucker as Agency bond counsel, Robin Thomas of Wedbush Morgan Securities as underwriter, David McEwen of Stradling, Yocca Carlson and Rauth as disclosure counsel, Susan Harrell as pricing consultant, and RSG as fiscal consultant. The Agency' s Bond Team has prepared revenue projections and identified that Project Area No. 1 has the capacity to issue up to $30.0 million of taxable tax allocation bonds while reserving at least $1.0 million of tax increment revenue, after all bond debt service payments, for on -going operations costs. The taxable bond proceeds would be used to: • Reimburse the Agency's non-taxable bond fund for land acquisition and planning costs related to the private use areas of the SilverRock Ranch property. 2 88 Tax-exempt bond proceeds were used to acquire and fund the master planning costs for these sites. If tax-exempt bond proceeds are used, Federal tax statutes provide that the only land disposition option available to the Agency would be to write down the value of these properties to $1 .00. • Reimburse the Agency's non-taxable bond fund for land acquisition and planning costs related to the Phase 1 golf course, the practice area/driving range, clubhouse/community center, and golf maintenance facility. Analysis by the Bond Team indicates that preferred tee times and tournament use could encompass up to 55 % of the total number of rounds that may be played on the Phase 1 golf course. Preferred tee times and tournament use is considered a private activity under Federal tax statutes. • Fund for the design, engineering and construction costs associated with the Phase 1 golf course, flood control facilities, back-up water well, Phase 1 course restrooms, the maintenance and golf cart storage building, temporary clubhouse and village lake. Doing this would allow the Agency to offer preferred tee times and tournament use that may be played on the Phase 1 golf course, and to sell the property that adjoins the village lake to private entities at values the market can support at the time these uses are developed, thus allowing the Agency to generate the greatest returns from the sale or lease of these properties. Reimbursing the tax-exempt bond fund for prior land and master planning expenditures provides additional tax-exempt bond funds that can be used for public projects. Funding some of the development costs with taxable bond proceeds frees tax-exempt bond funds that the Agency has reserved in the Capital Improvement Program for Phase 1 development activities. Staff recommends that the Agency consider reallocating these funds to build some of the on -and off -site improvements required for the Phase 2 development of SilverRock Ranch (Jefferson Street parkway improvements, Avenue 54 street and parkway improvements, sewer, water and utility infrastructure, and associated design and municipal fees), and the 45-acre park/practice course. Activities have progressed to a point where draft documents have been completed and are ready to be distributed to bond insurance and rating agencies. Staff anticipates that up to $26 million in Taxable Series 2003 Bonds will be sold. We are requesting authorization to issue up to $30.0 million if discount and interest rates are favorable and permit the sale of bonds in excess of $26 million. Staff is seeking Agency Board approval of the attached Resolution that authorizes the following: • The issuance of up to $30.0 million in Project Area No.1 Tax Allocation Bonds, Taxable Series 2003; • Authorizes the Agency Chair or Executive Director to sign the final bond certificates and related documents, and take actions necessary to deliver the 3 S1 bonds in accordance with the attached Resolution and Indenture of Trust; • Approves the Indenture of Trust which will serve as the contract between the Agency and bond holders; • Appoints U.S. Bank Trust National Association as the bond trustee (the entity that collects bond payments from the Agency and disburses these payments to the bond holders); • Authorizes the bond underwriter to distribute the Preliminary Official Statement, the document that discloses all of the details regarding the bonds; and Authorizes the Executive Director and Finance Director to pay all of the issuance costs. The Bonds will be sold through the La Quinta Financing Authority. Since 1988 the Agency has sold eight bond issues through the Financing Authority, who in turn directly sold the bonds to underwriters. A bond pricing consultant has been used to insure that the interest rates, discount rates and issuance costs are equal to those incurred for like sized and structured bond issues sold on a competitive bid basis. Given the diligent and cost effective service that Wedbush Morgan securities provided for the 2001 and 2002 bonds, staff recommends that this firm serve as underwriter for this financing. FINDINGS AND ALTERNATIVES: The alternatives available to the Agency Board include: 1 . GREEK, CIVIC Agency Secretary La Quinta Redevelopment Agency (SEAL) 11 ATTACHMENT 1 DISCLOSURE COUNSEL AGREEMENT LA QUINTA REDEVELOPMENT AGENCY THIS AGREEMENT, made as of this day of , 20035 by and between the LA QUINTA REDEVELOPMENT AGENCY, a political subdivision of the State of California (herein "Agency") and STRADLING YOCCA CARLSON & RAUTH, a Professional Corporation (herein "Disclosure Counsel"): RECITALS: A. Agency desires to retain Disclosure Counsel to do the necessary legal work hereinafter outlined, upon the terms and conditions hereinafter set forth, for the issuance of tax allocation bonds; and B. Disclosure Counsel represents that it is ready, willing and able to perform said legal work; NOW, THEREFORE, in consideration of the premises, and of the mutual covenants, terms and conditions herein contained, the parties agree as follows: l . Agency retains Disclosure Counsel to provide, and Disclosure Counsel will provide, legal services in connection with the issuance of taxable tax allocation bonds (the "Bonds") by Agency. Disclosure Counsel agrees to consult with and advise Agency officials and Agency's financial consultants as to the preparation of disclosure documents. Disclosure Counsel's services will include: i. Attending conferences and consulting with Agency staff and counsel regarding the proceedings; ii. Participating with any financial advisors, underwriters or other experts retained by Agency in preparation of disclosure documents; iii. Assisting in the preparation of the official statements or placement memorandums and supporting documentation relating to the offering for sale of the Bonds; iv. Reviewing the Bond purchase contracts; V. Consulting with the underwriters, their legal counsel and rating agencies; vi. Consulting with counsel to Agency concerning any legislation or litigation during the course of the financing; and vii. Rendering an opinion. 2. This contract shall be administered by the Executive Director or his designee. DOC SOC\984004v 1 \2233 8.0000 12 3. Agency agrees to accept, and Disclosure Counsel agrees to provide, the aforementioned services primarily through David R. McEwen. If the above attorney is unable to provide such services due to death, disability or similar event, Disclosure Counsel reserves the right to substitute another of its attorneys, upon approval by the Agency, to provide such services; and such substitution shall not alter or affect in any way Disclosure Counsel's or Agency's other obligations under this Agreement. 4. Disclosure Counsel has professional liability insurance in the amount of $25,000,000 and is self -insured for the first $250,000 on each claim. 5. For the services to be rendered under this Agreement our fee would be $27,500.00, including out-of-pocket expenses incurred in connection with the engagement, including without limitation, document reproduction, travel as approved by the Agency and messenger services. Said fee will be billed upon the issuance of the Bonds and payable from Bond proceeds. In the event that a financing is not completed for any reason, the Agency will have no liability for any fees or expenses incurred by Disclosure Counsel with respect to the financing. IN WITNESS WHEREOF, as of the date first hereinabove written, Agency has caused this instrument to be executed by the Chairman of the Agency and attested by the Secretary of the Agency; and Disclosure Counsel has caused this instrument to be executed on its behalf and in its name by an authorized officer of Disclosure Counsel.
