Re: Professional Staff Coaching and Leadership Development Services
Dear Ms. Drake:
This letter will memorialize the agreement between, Linda Drake Associates, Inc.
("Consultant") and the City of La Quinta ("City") for professional consulting
services relating to professional staff coaching and leadership development
("Agreement").
Linda Drake Associates, Inc. shall provide professional staff coaching and
leadership development as specified in the attached proposal (Exhibit "A") at the
hourly rates set forth therein. Total project cost, including expenses, shall not
exceed $10,000.00. Compensation may include reimbursement for actual and
necessary expenditures for reproduction costs, transportation expenses, telephone
expense, and similar costs and expenses. Transportation and lodging costs shall be
approved in'advance by the City.
The Consultant is an independent contractor, not an employee, and the Consultant
is not entitled to any benefits of employment.
Any month in which the Consultant wishes to receive payment, Consultant shall
submit to the City no later than the thirtieth (301h) day of such month. Such
invoice shall, (1) describe in detail the services provided, including time and
materials, P specify each staff member who has provided services and the
number of hours assigned to each such staff member, and (3) indicate the total
expenditures to date. Such invoice shall contain a certification by a principal
member of Consultant specifying that the payment requested is for work performed
in accordance with the terms of this Agreement.

The Consultant shall procure and maintain, at its cost, and submit concurrently
with its execution of the Agreement, public liability and property damage insurance
against all claims for injuries against persons or damages to property resulting from
Consultant's acts or omissions rising out of or related to Consultant's performance
under this Agreement. The insurance policy shall be primary for losses arising out
of Consultant's performance hereunder and neither the City nor its insurers shall be
required to contribute to any such loss. A certificate evidencing the foregoing and
naming the City and its officers and employees as additional insured shall be
delivered to and approved by the City prior to commencement of the services
hereunder. The amount of insurance required hereunder shall be $1,000,000.00.
The Consultant shall also carry automobile liability insurance against all claims for
injuries against persons or damages to property arising out of the use of any
automobile by the Consultant, its officers, anyone directly or indirectly employed by
the Consultant. It is understood that Consultant will not employ any subcontractors
on this project. The automobile insurance policy shall be primary for losses arising
out of Consultant's performance hereunder and neither the City nor its insurers
shall be required to contribute to such loss. A certificate evidencing the foregoing
shall be delivered to and approved by the City prior to commencement of the
services hereunder.
Consultant shall also carry Workers' Compensation Insurance in accordance with
State Workers' Compensation laws, and the Contractor shall procure professional
errors and omissions liability insurance in the amount acceptable to the City.
The Consultant shall defend, indemnify and hold harmless the City, its officers,
officials, employees, representatives and agents, ("City indemnitees)", from and
against any and all actions, suits, proceedings, claims, demands, losses, costs, and
expenses, including legal costs and attorneys' fees, for injury to or death of
person(s), for damage to property (including property owned by the City) ("Claims")
and for errors and omissions committed by Consultant, its officers, anyone directly
or indirectly employed by Consultant, except to the extent of such Claims as may
be caused by City's sole negligence or willful misconduct, or that of its officers or
employees.
The City may at any time, for any reason with or without cause suspend or
terminate this agreement upon the issuance of a ten (10) day notice by the City.
Upon receipt of such notice, the Consultant shall cease all work under this
Agreement. The City shall pay the Consultant for services performed up to the time
of termination.
This Agreement shall commence on April 16, 2004 and shall remain and continue
in effect until tasks are complete or it is terminated, but no later than December
31, 2004.

Phase I
Step I
First Session
One -One -One WILinda Drake Associates
Meet with all Department Directors, City Manager, Assistant City
Manager, and Human Resources Director to evaluate employee behavior,
interpersonal communications, leadership style, effective body language,
trust, respect, ability to change, goals and expectations for change (it is
not unusual that people will attempt to make changes when this process is
announced) and strengths and weaknesses.
Time: Approx 15 - 20 hours (over a 3 day period)
Approx. 2 hours with each person
Materials: Basic survey conducted verbally with each individual.
Price: 15 - 20 Hrs. x ►$150.00 = ►$2,250 - ►$3, 000
Step II
Construct analysis from the combined one-on-one employee feedback
session. The analysis provides a wealth of information necessary to
design programs for developing, changing, and growing High
Performance Teams. All aspects of this process are essential for a positive
outcome for change. The analysis is important because it holds the key
for direction and goal setting for the entire process.
(Rule of thumb with constructing an analysis is that it takes twice the time
of the interviews.) For the City of La Quinta we will charge a flat 15 hours.
Price 15 Hrs. x $100.00 = $1,500.00
Step III
(I will make recommendations for Step III but most likely the next step
would be to have a few individual sessions with a particular person(s).
Then all participants will become involved in a workshop where the
findings will be discussed in a climate of trust. The workshop is designed
to learn terminology for communicating that will not be hurtful to others.
(I will explain this more later). It is difficult to formulate Step III until Step
I and Step II are completed.
Service Cost
$100.00 per hour when constructing and developing analysis (no cost for
other paperwork)
$150.00 per hour for one-on-one sessions, interacting with employees,
facilitation etc. Workshops $150.00 per Hr. (Generally our workshops sell
for min. $1,500 per four hour session depending on the participant
number. For the City of La Quinta fee is the same as the One-on-one @
$150.00 per. Hr.)
No charge for planning process with LDA and Human Resources, City
Manager or other designated employees of the City.
My goal is to provide the necessary tools and methods through
workshops, counseling, references etc. to the City so that in the future
you are not dependent on a consultant for help. I know that we do have
specialities and concentrations but the difference is between feeding you
fish for a day or teaching you to fish which feeds you for a lifetime.
My reward and joy is in building and helping to maintain "High
Performance" teams. That may only require a phone call to me in the
future (at no charge).
