WIRELESS FACILITY MODIFICATION AT 49499 EISENHOWER DRIVE
Dear Mr. Fayas:
The Community Development Department has reviewed and approved your request to
remove nine (9) existing panel antennas, and install three (3) new replacement panel
antennas mounted with three (3) new RRH units; install one new fiber cable and
associated battery back-up and 2.5 equipment in existing cabinets shelter, for an
existing telecommunication facility located at 49999 Eisenhower Drive, within the La
Quinta Resort and Spa property. The approval of this application is subject to the
exhibits on file for this Minor Use Permit and the following Findings and Conditions of
Approval:
FINDINGS
1. Consistency with the General Plan: The proposed equipment at the existing
telecommunication facility are consistent with the goals, objectives and
policies of the General Plan, in that the proposed equipment is intended to
enhance community access to quality wireless communication services.
2. Public Welfare: Approval of the new equipment for an existing
telecommunication facility will not create conditions materially detrimental to
the public health, safety and general welfare.
3. The proposed new equipment at the existing telecommunication facility will
minimize adverse visual impacts as the proposed replacement antennas and
associated equipment will occur entirely on and within existing facilities, and
result in a reduction of the number of antennas, from nine to three.
4. The proposed new and replacement equipment is designed to facilitate
continued function of the existing -ant
Qnna array, without modifying the height
or other pre-existing conditions to maintain the service provider's objectives
for coverage within this portion of the community.
5. The proposed new and replacement equipment is necessary to improve
community access to wireless services.
CONDITIONS
1. The applicant/property owner agrees to defend, indemnify, and hold harmless
the City of La Quinta (the "City"), its agents, officers and employees from any
claim, or litigation arising out of the City's approval of this project. This
indemnification shall include any award toward attorney's fees.
The City of La Quinta shall have the right to select its defense counsel in its
sole discretion. The City of La Quinta shall promptly notify the applicant of
any claim, action, or proceeding and shall cooperate fully in the defense.
2. The applicant shall comply with all provisions of La Quinta Municipal Code
Section 9.170 "Wireless Telecommunication Facilities".
3. The applicant shall comply with all provisions contained in Conditions of
Approval for Conditional Use Permit 2001-055 (CUP 01-055).
4. The applicant is permitted to install the following on the existing tower array
and within the existing equipment shelter: remove nine (9) existing tower
mounted panel antennas, and install three (3) new replacement panel
antennas mounted with three (3) new RRH units; install one new fiber cable
and associated battery back-up and 2.5 equipment, in existing equipment
cabinets located within the existing equipment shelter. All new and
replacement equipment on the array shall be painted to match as appropriate.
5. New cables running from the equipment shelter to the new antennas shall be
contained within the existing cable tray between the tower and the equipment
enclosure as shown. All cables shall be interior of the tower and shall not be
visible from surrounding properties.
6. The applicant shall obtain all necessary building permits from the City's
Building Division, and is responsible for meeting all applicable plan check
submittal requirements.
7. The City may elect to add Conditions to this application request to mitigate
any problems that arise not previously addressed herein.
This decision may be appealed to the Planning Commission by any party who submits
the necessary_ paperwork and filing_fee of $1,573.00 to this office within 15 days of the
date of approval of this permit.

1. Proyertpand Use. Owner is the owner of the real property and
improvements described in Exhibit A ("Property") and hereby
leases to Cox PCS Assets, L.L,C., a Delaware limited liability
company ('Cox'), the site described below:

the appropriate, in the discretion of Cox, source of electric and
telephone facilities. The Site will be used by Cox for the purpose
of installing, removing, replacing, maintaining, modifying and
operating, at its expense. a personal communications service
system facility ("PCS'). including, without limitation, related
antennas, equipment, back-up power sources (includinggenerators
and fuel storage tanks), cable, wiring and fixtures and, dapplicable.
an antenna structure. Cox shall have access to the Site during
regular business hours, and twenty-four hours per day, seven days
per week (24/7) access only for cases of emergency. Cox will use
the Site in a manner which will not unreasonably disturb the
occupancy of Owner's other tenants.
Owner agrees to permit Cox ingress and egress to the Site
to conduct such surveys, structural strength analysis, subsurface
boring tests and other activities of a similar nature as Cox may
deem necessary, at the sole cost of Cox.
2. Term. The term of this Agreement (the "initial Term") is five
(5) years. commencing on the date ("Commencement Date") both
Cox and Owner have executed this Agreement- This Agreement
will be automatically renewed for four (4) additional terms (each
a "Renewal Term") of five (5) years each, unless Cox provides
Owner notice of intention not to renew not less than ninety (90)
days prior to the expiration of the Initial Term or any Renewal
Term.
3. Rent. Until the date which is sixty (60) days after the issuance

Agreement without notice to or consent of Cox.
6. Notices. All notices must be in writing and are effective only
when deposited in the U.S. mail, certified and postage prepaid, or
when sent via overnight delivery. Notices to Cox are to be sent
with reference to the Site Name and I.D. listed above, to 4683
Chabot Drive. Suite 100, Pleasanton, CA 94588 with a copy to
Sprint Law Department, 6391 Sprint Parkway. Mailstop:
KSOPHT0101-Z2020, Overland Park, Kansas 66251-2020,
Attention: Sprint PCS Real Estate Attorney. Notices to Owner
must be sent to the address shown underneath Owner's signature.
T. Improvements. Cox may, at its expense, make such
improvements on the Site as itdeems necessary from time to time
for the operation of the PCS. Owner agrees to cooperate with Cox
with respect to obtaining any required zoning approvals or other
governmental approvals or permits for the Site and such
improvements. Upon termination orexpiration of this Agreement,
Cox shall remove its equipmentand improvements and will restore
the Site to substantially the condition existing on the
Commencement Date, except for underground conduit and
foundations, ordinary wear and tear and damage by fire or other
casualty loss.
8. Compliance with Laws. Owner represents that the Property
(including the Site), and all improvements located thereon. are and

servicing utility, including signing any easement or other
instrument reasonably required by the utility company.
11. Termination (A) Cox may terminate this Agreement at any
time by notice to Owner without further liability if (i) Cox does
not obtain all permits, consents, easements, non -disturbance
agreements or other approvals (collectively, 'approval")
reasonably desired by Cox or required from any governmental
authority or any third party related to or reasonably necessary to
operatethe PCS system, or if any such approval is canceled, expires
or is withdrawn or terminated, or (ii) if Owner fails to have proper
ownership of the Site or authority to enter into this Agreement, or
(iii) if Cox, for anv other reason, in its sole discretion, determines
that it will be unable to use the Site. Upon termination, all prepaid
rent shall be retained by Owner, unless termination is pursuant to
(ii) above or is a result of Owners default.
(B) Anytime after the fifth (5th) anniversary of the
Commencement Date. Owner shall have the right to terminate this
Agreement at Owner's sole discretion; provided, however, that
Owner gives Cox not less than twelve (12) months prior written
notice.
12. Default. If either parry is in default under this Agreement for
a period of (a) fifteen (15) days following receipt of notice from
the non -defaulting parry with respect to a default which may be

14. Hazardous Substances. Owner represents that it has no
knowledge of any substance, chemical or waste (collectively,
'substance') on or under the Site or Property that is identified as
hazardous, toxic or dangerous in any applicable federal, state or
local law or regulation, except for swimming pool cleaning
supplies. Cox will not introduce or nue any such substance on the
Site in violation of any applicable law. Owner shall indemnify and
hold Cox harmless from and against all claims, actions, damages.
fines, liabilities, costs and expenses (including attorneys' and expert
fees) arising, directly or indirectly. from the presence of any
substanceon,underoraround the Property orthe Site. unlesssald
substance was actually brought onto the Property or Site by Cox.

expenses incurred in connection with any investigation, cleanup,
remediation, monitoring, removal or restoration related to the
presence of any substance. This indemnity shall survive the
expiration or termination of this lease.
15. Subordination/Non-disturbance. This Agreement is
subordinate to any lien, mortgage or deed of trust now of record
against the Property. However, promptly after this Agreement is
fully executed, Owner will use diligent efforts to obtain a non-
disturbance agreement reasonably acceptable to Cox from the
holder of any such mortgage or deed of trust.

Million Dollars ($1.000,000.00) combined single limit per
occurrence for bodily injury and property damage liability,
including the following coverages: contractual liability, personal
injury, broad form property damage and independent contractors:
(b) Business Automobile coverage form insurance on all vehicles
used in connection with- the Services, in an amount of Five
Hundred Thousand Dollars ($500,000.00) combined single limits
for bodily injury and property damage per occurrence: and (c)
Workers Compensation Insurance In accordance with the
provisions of the Workers Compensation Acts of the State of
California.
Each party hereby waives its right of recovery against the other for
any loss or damage covered by any insurance policies maintained
by the waiving party. Each party will cause each insurance policy
obtained by it to provide that the insurance company waives all
rights of recovery against the other party in connection with any
damage covered by such policy.
18. Maintenance. Cox will be responsible for repairing and

General Project Information:
Sprint is in the process of deploying the latest generation in base station, radio and core equipment which is expected
to result in improved antennas, power, spectrum efficiency and capacity. Wireless facilities are being modified and
optimized with the replacement of existing antennas, network equipment and software bringing together multiple
spectrum bands, or airwaves, on a single, multimode base station. Sprint's plan is to consolidate multiple network
technologies into one seamless network with the goal of increasing efficiency and enhancing network coverage, call
quality and data speeds for customers across the Untied States.
Sprint will extend its 4G leadership position in the U.S. by adding LTE technology to enhance its current 4G offerings,
with plans to launch LTE on its existing 2.5 GHz spectrum. Sprint expects its 4G coverage footprint to cover 250 million
people when the build -out is complete.
The implementation of multimode technology throughout the Sprint network is designed to:
• Enhance Service — Improve quality and data speed; improve in -building coverage and coverage within the
network footprint.
• Create Network Flexibility— Ensure the most effective expansion of 4G.
• Reduce Operating Costs — Deliver capital efficiency, lease reductions, roaming savings and backhaul
efficiencies.
• Improve Environmental Sustainability— Reduce carbon footprint and energy consumption needs.
Project Proposal:
Sprint is requesting approval to modify the existing wireless facility. The modification will consist of removing nine (9)
existing panel antennas and installing three (3) panel antennas and RRHs, which will be mounted behind the new panel
antennas, installing one (1) fiber cable and additional 2.5 equipment within existing cabinet. All associated proposed
equipment will be located inside the existing lease space compound.
The proposed modification does not require any variances or conditions inconsistent with the general plan or zoning
regulations.
