Dear Jerry:
Enclosed are merger applications, requesting the mergers of 40 lots located at the
Hideaway (see graphic). The mergers are being requested primarilydue to a shift in the
market for the subject lots.
Our intention had been to sell Lots 1=38 to Sedona Homes, who had in turn intended to
construct 38 homes on them. However, due to delays associated with the recordation of
the maps, Sedona opted to pass on the'transaction. The lots and infrastructure could not
be delivered in time for them to meet the market in the fall of 2004. 'The termination of
the Sedona purchase forced us to reassess the market and the conclusion is the lots should
be sold as customs.
