THIS POOL SETBACK EXCEPTION AGREEMEN'!' (the "Agreement"), made effective
the. &"day of �� �, 1995, by and between KSL LA QUINTA CORPORATION,
a Delaware corporratldn KSL"), and CLINTON L. COG -BILL and • MARGUER.ITE - M.
COGBILL as TKUSTEES OF THE COGBILL FAMILY TRUST ("Homeowner").
RECITALS
WHEREAS, KSL is the owner of certain real property developed as a golf course located in the
City of La Quinta, California and commonly known as "The Citrus Course" (the. "Premises");
WHEREAS, Homeowner is the owner of certain. real property located immediately adjacent to
the Citrus Course in the City of La Quinta, California, commonly known. as 50-$ZU Nectareo
Street, La Quinta, 'CA 92253 ("Homeowner Property") and ttmore particularly described on
Exhibit A, attached hereto and by this .reference made a part hereof, and desires to build a pool
on the Homeowner Property (the "Project").;
WHEREAS, the City of La Quinta Municipal Code §9.156.170 requires a minimum setback of
five feet to any property line except with the approval of .the adjacent property .owner and
Homeowner desires to build the pool within the five foot setback adjacent to the Citrus Course
property line;
WHEREAS, subject to the terms, covenants and conditions of this Agreement, KSL is willing
to grant Homeowner permission to install the pool within the: five foot setback adjacent to the
Citrus Course property line, in consideration of certain undertakings with respect to the Project
by Homeowner;
NOW THRREPORE, in consideration of the Recitals, the mutual promises contained herein and
other good and valuable consideration the receipt and sufficiency • of which are hereby
acknowledged, the parties agree as follows:
1. CONSENT, LIMITATION OF RIGHTS. (a) In accordance with- the provisions
of §9.156.170, of the City of La Quinta Municipal Code, KSL hereby consetits to Homeowners
construCLion of the ProjeCL within the five foot setback area adjacent to: the Citrus. Course
property line anal cosatain.ed within the Homeowners Property, m re .parti.cularly -described- on
Exhibit A. Under no circumstances shall Homeowner enter upon, store materials or equipment
upon, grade or construct any improvement on the Citrus Course..

-12.. MISCELLANEOUS. (a) Except as herein otherwise provided, no amendment,
alteration, modification of or addition to this Agreement shall be valid or binding. unless
expressed in writing and signed by the party or parties to be bound thereby.
(b) The covenants, conditions and agreements contained in this Agreement
shall. bind and inure. to. the benefit of KSL and Homeowner and their respective heirs,
distrihutees, executors, administrators, successors, and assigns.
(c) This Agreement shall be governed by and interpreted in accordance with
the laws of the State of California.
(d) This Agreement contains the entire Agreement and understanding between
the .parties and there are no terms, covenants or conditions which exist other. -than those
contained Herein.
(e) If any party hereto shall bring any suit or action against another for relief,
declaratory or 'otherwise, arising out of this Agreement, the prevailing, party shall -have and
record against the other party, in addition to all court costs and disbursements, such -sum as the
Court may adjudge w be reasoz.iable attorneys' fees.
W This Agreement may be executed in one or more separate counterparts,,
each of .which, when so executed, shall be deemed to be an original. ' Such' counterparts _shall.,
together, constitute and be one and the same - instrument.

this Agreement is acceptable to you, indicate your acceptance by signing both,execution originals
of this Agreement in the space provided below and by signing with the. proper -notarization
acknowledgment the Memorandum of Pool Setback Exception Agreement. 'Retarn bath
execution originals of this Agreement and the execution original .of the Memorandum. of Pool
Setback .Exception Agreement to us. including certificate(s) of insurance as. detailed in Section
