RW Property and Welch Property are adjacent to each other and share a common property line ("Property Line"). RW and Welch agree that the Property Line has been properly surveyed and confirmed. 4. RW and Welch agree that RW's predecessor in interest constructed a retaining wall and certain foliage ("Retaining Wall/Foliage"). RW and Welch believed that the Retaining Wall/Foliage was constructed upon the Property Line when the Retaining Wall/Foliage was constructed upon the RW Property. 91 RW and Welch agree that within sixty (60) days of the execution of this Agreement, RW shall, at RW's sole and absolute expense; complete the following work ("Completed Work"): a. Remove the present Retaining Wall/Foliage; b. Construct a new retaining wall upon Property Line ("New Retaining Wall"); c. Relocate the water fall feature located adjacent to the Retaining Wall/Foliage and upon the Welch Property so as to not interfere with the New Retaining Wall; d. Relocate any decorative rock to a designated area of the Welch Property; e. Relocate the current water line for vines to the New Retaining Wall area. 6. RW and Welch agree that RW shall insure that the Welch Property is in compliance with all government set -backs. 7. RW and Welch agree that RW shall insure that the stucco finish on the New Retaining Wall matches Welch's existing wall and residence. 8. RW and Welch agree that all Completed Work shall be completed with all of the necessary government approvals and permits. 9. RW and Welch agree that the rights and obligations of the parties under this Amendment shall inure to the benefit of and be binding upon the parties and all persons who succeed to their respective rights and obligations. 10. RW and Welch agree that this Agreement cannot be changed nor can any provision of this Agreement, or any right or remedy of any parry, be waived orally. Changes and waivers can only be made in writing and the change or waiver must be signed by the party against whom the change or waiver is sought to be enforced. Any waiver of any provision of this Agreement, or any right or remedy, given on any one or more occasions shall_ not be deemed a waiver with respect to any other occasion. 11. RW and Welch agree that this Agreement is signed by the parties as a final expression of all of the terms, covenants, and conditions of their agreement and as a complete and exclusive statement of its terms, covenants, and conditions, and is intended to supersede all prior agreements and understandings concerning the subject matter of this Agreement. 12.RW and Welch agree that this Agreement was prepared, negotiated, and delivered in the State of California.
