This Agreement is entered into this 25 day of June 1986, between the DESERT SANDS UNIFIED SCHOOL DISTRICT of RIVERSIDE COUNTY, CALIFORNIA, a. political sub- division of the State of California (hereinafter "District"), and LA QUINTA JOINT VENTURE , a (partnership, PARTNERSHIP (hereinafter corporation or other form of business -entity) ("Developer"). 2. RECITALS. • 2.1 Developer plans to build residential dwellings within District, whose educational facilities will be inadequate to serve the pupils so generated if this Agreement is not executed and performed. 2.2 Developer is presently seeking approval from the City of La Quinta of 7dK1)=i b TRACT (Parcel or Tract) Map No. 21120 in order to proceed with such residential development. 2.3 The location of public schools with adequate capacity near Developer's proposed residential development would substantially enhance the possibilities of 'selling the dwellings in such residential' development. 2.4 District is willing to cooperate with Developer in locating interim o'r permanent public school buildings' and facilities to serve Developer's proposed resi- dential development for the benefit of the children assigned by District to use such buildings and facilities. 2.5 Developer desires to assist District in .mitigat`ing the impaction its residential construction would .cause by paying to District a sum of money to be used for such purposes. 3. TERMS. 3.1 Developer shall pay to District, prior_ to issuance of any building permits for lots in "'TRACT (Parcel or Tract) Map No.21120 the sum of $628.00 for each residential unit to be constructed. The parties agree that this amount is necessary to provide educational facilities for any and all school -age children anticipated to live in Developer's residential development. Funds paid to District will be deposited by District in a separate, exclusive account, and disbursements therefrom shall be solely for the procurement of public school facilities at District's discretion. 3.2 Developer shall, concurrent with request- ing any necessary written assurances from District, inform the City of La Quinta of this arrangement for mitigating the impacts of its project, and shall request.in writing that the, City of La Quinta include in any approval of 'Developer's subdivision map a condition that Developer and its successors or assigns provide evidence of compliance with the terms of this Agreement prior to issuance of any -2- building' permits —by the City of La Quinta t for lots in the approved subdivision. , or its :successor, 3.3 Developer shall notify any successor or assign that this Agreement has been executed and is in effect: 3.4 Insofar as is legally possible, District shall provide suitable public school buildings and facilities which, in the discretion of District, are deemed adequate to serve the needs of the residents of Developer's residential development on a site determined by District. 3.5 District shall staff an educational pro- gram in these buildings and facilities. 3.6 District shall maintain the buildings and facilities in a serviceable condition for the District's use and shall carry its usual fire, property damage, and public liability insurance to cover such buildings and facilities and District's activities at the site. 3.7 District shall not interpose any objec- tion to Developer's residential development on the ground that District public school buildings and facilities are not adequate to serve the residents of such residential develop- ment, and, upon request of Developer, will provide written assurances of same to any public agency. 3.8 District shall make available to the general public and to Developer, upon request, an annual record of' -.funds received and disbursements made under the terms of this and similar agreements. -3- 3.9 Good, valuable, and adequate considera- tion exists in the mutual benefit which Developer and Dis- trict hereby agree results from entering into and fulfilling -..this Agreement 3.10 Legal title to all buildings and facili- ties constructed or erected as a result of this Agreement shall remain in the District, its successors or assigns. 3.11 The law of the State of California governs the interpretation of the Agreement, and any litiga- tion brought because of or involving this Agreement shall be initiated exclusively in the courts of the State of California. 3.12 In the event that, subsequent to execu- tion of this.Agreement, State or local law is amended to require developers to donate land or pay fees for -construc- tion -of ,schools, the obligations of Developer and District herein shall be offset to the extent of any amounts paid by Developer to District or the value of land donated to Dis- trict, insofar as permitted by law. 3.13 In the event that Developer's subdivi- sion map set forth above is not approved by the City of La Quinta all obligations of Developer and District -herein shall cease. 3.14 All terms, conditions, and provisions hereof shall insure to and shall bind the parties hereto, their respective successors-in-interest.and assigns. 3.15 Should any legal action be brought for the purpose of protecting or enforcing its rights under this -4- Agreement, the prevailing party shall recover, in addition to all other relief, set -by the Court.
