FISCAL IMPLICATIONS:
None associated with this action. Throughout the course of the project, retention was
withheld from each progress payment. To date the City has withheld $2,242,995.
BACKGROUND AND OVERVIEW:
On August 1, 2006, the City awarded a contract to Davis Reed Inc. in the amount of
$21,400,000 for construction of the Vista Dunes Courtyard Homes project.
City staff has determined that the project is complete and is in compliance with the plans
and specifications. Prior to filing the Notice of Completion, the Agency must formally
accept the project and authorize the City Clerk to file the Notice of Completion.

FINDINGS AND ALTERNATIVES:
The alternatives available to the Council include:
Accept Capital Improvement Project #2005-12, Vista Dunes Courtyard Homes;
and

The International Council of Shopping (ICSC) is the global trade association of the
shopping center industry. Its members include shopping center owners, developers,
managers, marketing specialists, investors, lenders, retailers, and public officials. 008
ICSC holds an annual "Western Division Conference and Deal Making" trade show and
one -day exposition, which had been held in Palm Springs for the past several years.
Every year, the City sends several representatives to set-up and work its booth at the
exposition as part of its economic development efforts.
FINDINGS AND ALTERNATIVES:
The alternatives available to the City Council include:
1. Authorize overnight travel for Assistant City Manager -Development Services and
two Management Analysts to attend the ICSC Western Division Conference in
San Diego, CA on September 10 - 12, 2008 ; or

FISCAL IMPLICATIONS:
The cost of this action is printing and mailing expenses, and staff/consultant time.
The costs will be funded from the Project No. 1 Low- and Moderate -Income
Housing Fund.
BACKGROUND:
The Agency is negotiating to purchase of the Silverhawk Apartment Homes in order
to increase the community's supply of affordable housing. The purpose of this
Request for Proposals ("RFP") is to solicit bids from affordable housing operators to
own, operate and maintain the facility for a 65 year period assuming the
negotiations are finalized and the purchase of the property moves forward.
Staff has prepared the attached RFP for Agency Board review and consideration
(Attachment 1). If approved, the RFP establishes the following schedule:

The selection process follows the procedures outlined in the La Quinta Municipal
Code for "major projects". The procedures require establishing a selection
committee, reviewing the proposals, negotiating a contract, and final contract
approval by the Agency.
The Executive Director had tentatively determined that he will appoint the following
members to the Selection Committee:

Debbie Powell — Management Analyst
Jon McMillen — RSG
Frank Spevacek — RSG
If the Agency Board wishes to appoint the Selection Committee, it could include
one or two Agency Board Members to participate in the selection process. Should
the Agency Board opt to appoint the Selection Committee, the Selection Committee
meetings shall be subject to the provisions of the Brown Act unless the Board
formed a committee consisting only of two Board members. If the Agency Board
were to also appoint Agency Staff or RSG representatives to the committee, the
committee would not qualify as an ad hoc committee and would therefore be
subject to the Brown Act.
FINDINGS AND ALTERNATIVES:
The alternatives available to the Agency Board include:

ORGANIZATIONS TO OPERATE
THE SILVERHAWK APARTMENT HOMES
July 1, 2008

RFP for the Purchase/Lease and Operation of Silverhawk Apartment Homes
The La Quinta Redevelopment Agency is seeking proposals from
qualified organizations to operate the Silverhawk Apartment Homes
development. The Agency is negotiating to purchase this property
and development from the current owner. If the property is acquired
by the Agency, the Agency intends to lease the underlying real
property through a long term ground lease, and to simultaneously sell or otherwise transfer the
physical improvements comprising the Silverhawk Apartment Homes. The property acquisition
financing will determine the transfer structure. The Agency's objective is to secure 70 very low
income and 69 low income affordable covenants for 65 years, and to retain the existing 75
moderate income affordable housing covenants that were established on June 4, 2003, for the
remainder of the current 55-year term, which will terminate on June 4, 2058.
PROJECT DESCRIPTION
Silverhawk Apartment Homes is centrally located at 50-660 Eisenhower Drive in the City of La
Quinta, California. Situated on 12 acres, the apartment community is comprised of 214 one,
two and three bedroom dwellings and approximately 9,500 square feet of retail space. Other
amenities include:

• Sparkling Pool with BBQ area
• Resort Style Spa
• Washer and Dryer Available in each Home
• Enclosed Garages
• Built-in Appliances

• Close to Shopping and Transportation
The 214 dwellings are comprised of 2 studios, 46 one bedroom units and 166 two bedroom
units; many two bedroom units have dens. The Agency currently has secured 75 moderate
income affordability covenants. In an effort to secure additional affordable dwellings, the
Agency is negotiating to purchase this complex. Since this transaction does not entail new
development or substantial rehabilitation, the Agency must designate the remaining 139 units as
dwellings affordable to very low and low income households. Many of the apartment homes
are not currently occupied by very low and low income households. The Agency plans to rely
upon attrition to the extent permitted by law to place very low and low income households into
the units over a 10 year period. As existing residents move, the vacated apartments will then be
rented to very low or low income households. The Agency is also exploring the feasibility of
converting some or all of the commercial space to additional affordable dwellings. This space
may accommodate up to 14 units; these units would be designated for moderate income
households.

THE LA QUINTA REDEVELOPMENT AGENCY
Established in 1983, the La Quinta Redevelopment '
Agency has two Redevelopment Project Areas that
encompass approximately 80 percent of the land area
in the City of La Quinta. The Agency actively
implements redevelopment, economic development,
and infrastructure projects and programs. The Agency
is also a leader in designing and implementing affordable housing development. At least 15
percent of all new or substantially rehabilitated housing in the Agency's two Redevelopment
Project Areas must be affordable to very low, low and moderate income households. Of these,
at least 40 percent must be affordable to very low income households. In applying these
requirements, the Agency must secure 1,994 affordable dwellings; 798 must be affordable to
very low income households. By 2010, the Agency will have secured 1,589 affordable
(covenant restricted) dwellings; 45 percent or 710 dwellings will be affordable to very low
income households. In securing these additional 139 very low and low income units, the
Agency will be further increasing the community's supply of affordable housing.
REQUESTED SERVICES
Phase One: Land Lease
The Agency desires to enter into an agreement that would provide for (i) a 65 year ground lease
of the underlying property; and (ii) the sale or transfer of the physical improvements comprising
the Silverhawk Apartment Homes. The sale or financing structure will be determined by the
permanent financing. If the Agency ground leases the property for 65 years, ownership of the
physical improvements would automatically be transferred to the City of La Quinta at the end of
the 65 year lease term. In order to establish a value for this complex and identify potential
acquisition financing structures, the Agency requests that the proposals include the following:
Acquisition Estimate: Identify how your organization would value this property. While
the Agency is not distributing the current income and expenses statement, the Agency
anticipates that your organization's experience operating affordable communities can be
applied to this unit mix and complex to generate an income and expense model. The
Agency anticipates that this development will generate sufficient cash flow to support
both a mortgage secured by unit rents, and net operating income. The net operating
income may have a capitalized value, or may be distributed to both the Agency and
operating entity.
Financing Options: Identify the financing your organization can secure to lease or
acquire the improvement on this property. The Agency's financing team is exploring
mortgage, tax allocation and other financing vehicles. The Agency requests that your
organization identify financing options; this may include mortgage resources, grants,
state or federal loans, and other equity sources.

Phase Two: Resident Selection and Site Management
Qualifying Residents: Please identify the methodology used to qualify residents. At a
minimum, the Agency shall require the following:

In an effort to keep the neighborhood safe, a Crime Free Lease Addendum will be
executed by each tenant. In addition, the selected organization will be required to
participate in the Crime Free Multi -Housing Program through the City's Police
Department. The Crime Free Multi -Housing Program is a five phase program that
requires management training and site inspection prior to certification. The Riverside
County Sheriffs Department recommends the use of the Lease Addendum and Program
to decrease illegal and criminal activities in multi -family housing neighborhoods.
Management Plan: Outline a proposed management plan describing how Silverhawk
Apartment Homes will be operated and managed. Your plan should contain a
comprehensive and detailed description of the policies and procedures your organization
will follow while managing the property, including staff qualifications. The plan should
describe the organization's management staffing policies (e.g. what staff is onsite, how
they are supervised). Describe policies and procedures for various management tasks
including resident selection and screening, resident orientation, resident household size
and income certification and re -certification, rent collection and delinquencies, rent
increases, tenant evictions, resident complaints, operating revenues and routine
maintenance, emergencies, security and tenant relations.
• Tenant Inquiry List: Identify how the organization intends to keep a tenant inquiry list of
those interested in moving into the project prior to completion. Please include who shall
be the main contact and their contact information.
Maintenance Plan: Describe how the organization intends to maintain the property. The
plan should include, but not be limited to, a schedule of maintenance for various
activities such as landscaping, building safeguarding, pool maintenance, common's
room cleaning, alternative energy systems, etc. Describe maintenance staffing policies
(e.g. what staff is on site, how they will be supervised, what repairs will be handled by
staff and what will be contracted out).

PROPOSAL FORMAT
Organizations are encouraged to keep their proposals brief and relevant to the specific work
required. Proposals (work proposal and acquisition proposal) are to be submitted in separate
envelopes, clearly marked with the organization's name, address and phone number.
Proposals shall include the following items:
1. Work Proposal (envelope 1) — submit six copies
A. Cover Letter
(1) The name, address and phone number of the organization's contact
person; identify the capacity this person has to negotiate a contract
for this project.
(2) Any qualifying statements or comments regarding the organization's
proposal, the information provided in the RFP or the proposed
contract.
B. Statement of Qualifications
(1) Organization's experience with similar work, including names and
current phone numbers of reference for listed projects.
(2) A listing of proposed project personnel, including personal
experience and resumes.
(3) A summary of six of the organization's recent projects of similar size
and scope, emphasizing recent projects in which the organization
provided similar services.
(4) A list of the organization's experience providing public agencies with
apartment homes management services over the past three years.
A brief description of the project and references.
C. Project Understanding and Approach
A description of the organization's project understanding and how the
organization will approach this project.
D. Scope of Work Program
A description of the tasks and sub -tasks that will be provided.
2. Acquisition/Lease Proposal (envelope 2)
The organization must submit a detailed acquisition proposal for the lease of the
property and the acquisition of the improvements comprising the Silverhawk
Apartment Homes.

Selection Process
Work Programs will be reviewed by a Consultant Selection Committee. The Committee will
rank the consultants based upon the materials submitted within the Work and Acquisition
Proposals. The Committee may choose to interview one or more of the closely ranked
organizations. Acquisition proposals will then be opened only after the ranking process is
complete.
If the Agency is successful in negotiating, approving and executing a purchase and sale
agreement for the property with its current owner, interviews for the most qualified organizations
will be scheduled during the week of August 11, 2008. A contract is expected to be awarded in
November, 2008 if the Agency's acquisition of the property is completed.
Agency Rights and Options
This solicitation does not commit the Agency to move forward with the acquisition of the
property or to award a contract, to pay any cost incurred with preparation of the proposal, or to
procure or contract for services or supplies. The Agency reserves the right to accept or reject
any or all submittals received in response to this request, to negotiate with any qualified source,
or cancel in whole or part this process in its sole and absolute discretion. Subsequent to
negotiations, prospective consultants may be required to submit revisions to their proposals. All
person or entities responding to the RFP should note that any contract pursuant to this
solicitation is dependent upon the recommendation of the Agency staff and the approval of the
Agency Board and City Council after all legally required steps are taken.
The Agency reserves the right to postpone selection for its own convenience, to withdraw this
Request for Proposals at any time, and to reject any and all submittals without indicating any
reason for such rejection. As a function of the Request for Proposals process, the Agency
reserves the right to remedy any technical errors in the response to the Request for Proposals
and modify the published scope of services. The Agency reserves the right to request that
specific personnel with specific expertise be added to the team, if the Agency determines that
specific expertise is lacking in the project team. Proposals and other information will not be
returned.

The Agency reserves the right to abandon the Request for Proposals process and/or change its
procurement process for the contract at any time, in the Agency's sole and absolute discretion.
