In order to ensure compliance with CAL R PxOF. CONDUCT 2-200, we are seeking to
memorialize the City's consent to the fee-sharing agreement between Kiesel, Boucher & Larson,
LLP ("KBL") and Baron & Budd, P.C. ("BB") in the above-referenced litigation.
As co-counsel, KBL and BB have agreed to share any attorneys' fees recovered in
connection with the litigation, with 50 percent to KBL and 50 percent to BB, after the
reimbursement of any outstanding expenses and any payments to local or referring counsel. This
allocation does not in any way affect the total amount of attorneys' fees, which will be governed
by our agreement with the City.
If the City consents to this sharing of fees, please have an appropriate representative sign
in the space indicated below and return to me in the enclosed envelope.
If you have any questions or concerns about this allocation, please feel free to call me at
your convenience.

Yours very truly,
