("Plaintiffs" 8 or "Class Members") for final approval of the proposed 9 settlement of this class action, described in the Notice of 10 (1) Settlement of Class Action, (2) Preliminary Approval of Such 11 Settlement, and (3) Hearing on Final Approval Thefeof, signed by 12 the Court on September 15, 1988 (the "Notice"). Robert P. 13 Mallory of Pettit & Martin appeared on behalf of Plaintiffs and 14 Alan N. Halkett and Nancy Scheurwater of Latham & Watkins 15 appeared on behalf of the State Compensation Insurance Fund 16 ("SCIF"). 17 The Court observed that the proposed settlement was ._ 18 preliminarily approved by the Court on -September 9,-1988. "The 19 Court further found that the Notice of the Court's preliminary 20 -ruling was properly.mailed to the Class ,Members by_ -September 16, 21 1988, as ordered by the Court. The Court also noted that no 22 written objections to the proposed settlement were filed by the 23 October 14, 1988 deadline set by the Court, or at any time 24 thereafter. In addition, the Court recognized that no Class 25 Members appeared at the hearing to object to the proposed 26 settlement. Finally, the Court noted SCIF's concurrence with 27 Plaintiffs' motion. 28 -2- I In view of the facts recited above, having reviewed 2 Plaintiffs' motion and the papers submitted therewith, and being 3 familiar with this.class_action.from presiding over, several 4 years of proceedings, the Court finds that the proposed 5 settlement payments to Class Members and the proposed attorneys' 6 fee and costs payment to Plaintiffs' counsel are fair, 7 reasonable, and adequate, and therefore ORDERS, ADJUDGES, AND 8 DECREES as follows: 9 1. The settlement, as described in Plaintiffs' motion 10 and in the Notice, is granted final approval; 11 2. The separate attorneys' fee and costs payment, as 12 described in Plaintiffs' motion and in the Notice, is granted 13 final approval; 14 3. The Hank of America, as escrow holder of the 15 settlement funds, is directed to disburse, within thirty days, 16 $14,058,451.34 of the settlement funds to the Class Members and 17 in the amounts set forth in the schedule attached hereto as 18 Exhibit 1, in accordance with the procedural instructions of 19 Plaintiffs' and SCIF's counsel.- After payment of.the sums set 20 forth in.Exhibit 1 and payment of the costs of escrow, the 21 balance of the settlement funds, in the amount of approximately 22 $3.94 million plus accrued interest, shall be paid to 23 Plaintiffs' counsel as attorneys' fees and costs, in accordance 24 with counsel's instructions; 25 4. Subject to final approval by the Court, the action has now been settled on the terms described below. This action was filed on January 10, 1980 by the California cities named above (your class representatives), as "class action" to recover from the State Compensation Insurance Fund ("SCIF") full reimbursement of Labor Code Section 4850 benefits paid to injured safety employees by the class representatives and other Class Members similarly situated. SCIF had previously reimbursed insured public entities for only a portion of Section 4850 benefits (at the temporary disability rate). The action was certified by the Court as a proper class action in September 1982, and then progressed through extensive discovery and pre-trial proceedings for over 2 years. In early 1985 the Court ordered that this class action be tried in two phases: liability first, damages second. After the liability phase of trial was concluded in April 1985, the Court ruled that SCIF was required to fully reimburse certain insured Class Members for Section 4850 benefits paid during the period January 10, 1976 through June 30, 1985. You received a notice explaining this ruling in March 1986. In addition to ruling in Plaintiffs' favor on liability, the Court also made a separate ruling awarding reasonable attorneys' fees and costs to Plaintiffs' counsel. This ruling is highly significant because attorneys' fees and costs are normally deducted from the damages settlement or judgment in a class action. However, in this class action the Plaintiffs' attorneys' fees and costs are not to be deducted from the damages due to Class Members. Instead, Plaintiffs' attorneys' fees and costs will be separately paid by SCIF. The class action has been moving through the damages phase of the trial since June 1985. In March 1986 you were invited to submit "proofs of claim" setting forth the amounts you believed were due to you from SCIF, to fully reimburse Section 4850 benefits paid during the recovery period permitted by the Court. Since submitted, these claims have been carefully reviewed; and some have already been reduced or disallowed by the Court because the evidence showed them to be incorrect. - 2 - 1 SCIF has also challenged a large number of the remaining claims on various legal and factual grounds, and the evidence suggests 2 that more might be reduced or disallowed by the Court before the damages phase of trial is concluded and a final judgment entered. 3 In view of the remaining legal and factual uncertain- 4 ties over the proper amount of damages due to each class member, as well as the considerable risks and delay facing both SCIF and 5 Plaintiffs in any post -trial appeal, settlement discussions commenced several months ago. Counsel for both sides have 6 devoted many weeks to a detailed analysis of your claims and the risks of further litigation, followed by lengthy negotiations. 7 These negotiations led to a settlement agreement, subject to approval by the Court. On September 9, 1988, the Court prelim- 8 inarily approved the settlement, approved this notice of the settlement terms, and directed that a hearing be set in order to 9 permit Class Members to be heard before final approval of the proposed settlement was considered. 10 Under the terms of the proposed settlement, SCIF will 11 pay two sums: one sum for the claims of Class Members, and a separate sum for attorneys' fees and costs. Those sums are, 12 respectively, $14.06 million and approximately $3.94 million. Attached as Exhibit 1 is a summary of the exact amount to be 13 paid to each Class Member under the settlement. If the payment shown for you is zero, either you did not submit a proof of 14 claim or your claim was determined by the Court to be invalid in subsequent proceedings. If your claim has been reduced, such 15 reduction was made to reflect corrections due to accounting errors in reporting temporary disability reimbursed by SCIF or 16 similar mistakes, or to reflect application of the Court's rulings on certain defenses raised by SCIF, such as equitable 17 estoppel, the statute of limitations or prior compromise and release. Although a small percentage of the claims submitted by 18 Class Members in 1986 have since been determined to be incorrect and reduced or disallowed, as just described, the proposed 19 settlement will result in the vast majority of your claims being paid in full. 20 Your class representatives agreed at the outset of this 21 class action to pay Plaintiffs' attorneys a contingent fee of one-third of all sums recovered, plus costs. If this contingent 22 fee percentage were applied to the total sums to be paid by SCIF under the proposed settlement, Plaintiffs' attorneys' fees and 23 costs would exceed $6 million. However, SCIF has agreed to separately pay your attorneys the sum of approximately 24 $3.94 million so that no deduction will be made from your claims, and your attorneys have agreed to accept this payment in 25 full satisfaction of all attorneys' fees and costs advanced for the benefit of the class. This separate payment represents 26 approximately $1.75 million in actual fees and costs advanced. The balance reflects consideration of a number of factors which 27 the Court deems appropriate in fixing a reasonable Plaintiffs' attorneys' fee, including the favorable result achieved for the 28 class if the proposed settlement is finally approved, the - 3 - I substantial risk to Plaintiffs' attorneys of losing the case and not recovering any fees or costs, the high quality of 2 representation provided to Class Members, the complex and novel issues presented by this case, the intense opposition of SCIF 3 and the quality of its legal representation, the expense and difficulty in representing approximately 360 public entities, 4 and the fact that Plaintiffs have not paid their attorneys any fees or costs for nearly a decade. 5 Your attorneys believe that the two settlement sums 6 agreed to by SCIF are fair, reasonable, and adequate. The Court has preliminarily reached the same conclusion. Your attorneys 7 therefore commend the settlement to you. If you approve of the settlement, you da 1Qt need to file any papers with the Court or 8 communicate with your attorneys. As stated above, there is no need to file any papers, make any telephone 18 calls or appear at the hearing if you approve of the proposed settlement.
