documents (Deeds, etc.) to be recorded in Riverside County.
Upon recordation, have confirmed copies made for myself,

As soon as possible thereafter, then you can issue a PTR for
my lot showing the new legal description.
I will be recording a construction loan, in the amount. of
$1,300,000 +/- about July 5th, which will go through your
office. Please set up an escrow to accommodate the
transaction of the loan, etc.

AND DEED OF TRUST
THIS AGREEMENT executed as of this 1st day of July,
1978, by and among THE LA QUINTA COUNTRY CLUB, a California
non-profit corporation (hereinafter "Borrower"), THE FIRST
NATIONAL BANK OF KANSAS CITY, a national banking association
having its principal place of business in Kansas City,
Missouri, as Trustee under Trust Agreement dated June 27,
1966, between Courtney S. Turner and The First National Bank
of Kansas City, (hereinafter "Lender") and UNITED CALIFORNIA
BANK,, a California corporation (hereinafter "Trustee")
WITNESSETH:
WHEREAS, Borrower executed its certain Note dated June
29, 1966 in the original principal sum of $338,750.00 payable
to the order of Leonard B. Ettelson and William J. Friedman;
and
WHEREAS, Borrower executed its certain Note dated June
15, 1966 in the original principal sum of $1,000,000.00
payable to Security Title Insurance Company, as Trustee
under its Trust No. P.T.492, secured by Borrower's Deed of
Trust dated on June 15, 1966, filed with the Recorder of
Deeds of Riverside County, California, and recorded as
instrument No. 67454 on June 30, 1966 conveying to United
California Bank in trust for Security Title Insurance Company,
as Trustee, certain real property lying in Riverside County,

California and more fully described in Exhibit A attached
thereto and hereto; and
WHEREAS, Lender is the owner and holder, by mesne
assignments, of the above described notes and deed of trust;
and
WHEREAS, Borrower and Lender desire to consolidate and
modify said two notes and to modify and amend said deed of
trust to provide that both said notes, as consolidated and
modified herein, shall be secured by said deed of trust as
hereinafter modified and to further reflect the terms of
their agreement in regard to such consolidation and modification.
NOW, THEREFORE, in consideration of the premises and
the indebtedness described herein, the undersigned do hereby
covenant and agree as follows:
1. The Note dated June 15, 1966 and the Note dated
June 29, 1966, in the original principal sums of $338,750
and $1,000,000 respectively, are herewith consolidated into
one note and amended in their entirety to read as follows:
FOR VALUE RECEIVED, the undersigned promises
to pay to the order of THE FIRST NATIONAL BANK OF
KANSAS CITY, a national banking association, as
Trustee under Trust Agreement dated June 27, 1966
between Courtney S. Turner and The First National
Bank of Kansas City, at its principal place of
business at loth and Baltimore, Kansas City,
Missouri, or at such other place as the holder

hereof may designate in writing from time to time,
the principal sum of One Million Dollars ($1,0001000.00),
together with interest at the rate of seven per
cent (7%) per annum to be paid in lawful money of
the United States of America as follows:
In 36 successive semi-annual installments
commencing on the first day of January, 1979,
and on each July 1 and January 1 thereafter,
the first 6 thereof to consist of interest
only on the aforesaid principal sum, the next
29 thereof to be in the amount of $54,371.33
each commencing on January 1, 1982 and applied
first to interest on the unpaid principal sum
and the balance to be applied to the principal
sum, and the last installment to be in the
amount of the then remaining principal sum
and accrued interest thereon.
The whole of such principal sum and interest, late
charges, and all other payments as are set forth
in the Deed of Trust shall become due and payable,
at the option of the holder hereof, in the event
of default in the payment of any installment of
principal or interest hereunder or of such other
payments as are set forth in the Deed of Trust for
a period of thirty (30) days after written demand
therefore shall have been made by the holder.
The undersigned shall have the right to
prepay the principal of this note in whole or in
part and accrued interest to date of such prepayment:

at any time without premium or penalty for so
doing after July 1, 1981 but not before. In the
event the undersigned shall make a prepayment on
July 1, 1981 (but not at any other time) of $100,ocio.00
or more, the combined payments of principal and
interest to commence on January 1, 1982 aforesaid
shall be reduced to that amount which will amortize
the then remaining balance, after such prepayments,
over the same remaining term hereof.
Maker, endorsers and guarantors jointly and
severally waive diligence, presentment, protest
and demand, and also notice of protest, dishonor
and nonpayment of this Note, and expressly agree
that the note, or any payment thereunder, may be
extended from time to time, and consent to the
acceptance of further security and collateral for
this Note, including other types of security and
collateral, all without in any way affecting the
liability of the maker, endorsers and guarantors
hereof. The right to plead any and all statutes
of limitations as a defense to any demand on this
Note, or any guaranty thereof, or to any agreement
to pay the same, or to any demand secured by the
Deed of Trust or other security, securing the
Note, or any and all obligations or liabilities
arising out of or in connection with this Note or
the Deed of Trust by any of the parties hereto, is

expressly waived by each and every one of the
maker, endorsers, guarantors or sureties.
Should suit be commenced or any attorney
employed to enforce payment of this Note, the
undersigned agrees to pay, in addition to all
other amounts due hereon, all costs of collection
including reasonable attorney's fee, whether or
not suit be brought.
This note is secured by a deed of trust upon
real property located in Riverside County, California
and is to be governed by the law of said state.

2. It is the intention of the parties hereto that
both of said notes, as hereby consolidated and modified,
shall be, and are hereby secured by said Deed of Trust dated
June 15, 1966 and that said Deed of Trust be and is hereby
amended to provide that it shall secure the consolidated
notes as modified herein in the entire sum of $1,000,000,
together with such other sums as may be advanced under the
terms of said Deed of Trust as provided therein and herein.
3. Borrower covenants and agrees that each and every
term, covenant, condition, stipulation, and agreement contained
in the Deed of Trust dated June 15, 1966 aforesaid is herewith
adopted and incorporated herein as though repealed, restated

and set forth herein except as modified herein as to securing
said consolidated note, Borrower agreeing that the property
conveyed by said Deed of Trust shall be, and is intended -to
be, security for said consolidated note recited herein as
though originally set forth.
4. Borrower agrees to further secure said consolidated
note on or prior to July 1, 1981 by mortgaging the real
property described in Exhibit B attached hereto by a Deed of
Trust in substantially the form of said Deed of Trust dated
June 15, 1966. Borrower agrees not to mortgage, pledge,
transfer, sell, hypothecate, or convey prior to July 1, 1981
the real property described in Exhibit B attached hereto
without the written consent of Lender. A breach of either
of the covenants contained in this paragraph shall cause
said consolidated note to become immediately due and payable
at the option of the Lender. Without limiting the foregoing
any such attempted mortgaging or hypothecation of said real
property described in Exhibit B hereto shall be deemed
subject to this Deed of Trust and the rights of Lender
herein and such mortgagee, by the taking of such mortgage
instrument, shall be deemed to consent and agree to the
subordination of such instrument to the lien of this deed. of
trust or such other instrument to be executed by Borrower in
favor of Lender.
5. Borrower acknowledges that it is indebted to
Lender in the amount of $1,000,000 as of July 1, 1978 and
Lender waives any claims it may have against Borrower other
