THIS SUPPLEMENTAL MASTER DECLARATION OF COVENANTS,
CONDITIONS, RESTRICTIONS AND RESERVATION OF EASEMENTS
("Supplemental Declaration") is made on May 17, 1994, by T.D.
Desert Development Limited Partnership, a Delaware limited
partnership ("Declarant")..
P R E A M B L E:
A. Declarant is the record owner of certain :real
property ("Residential Area") in the City of La Quinta, County
of Riverside, State of California, described as:
Lots 1 to 10, inclusive, 28 to 35, inclusive,
62 to 75, inclusive, 86, 101 to 106, and 108,
inclusive, of Tract No. 27840, as shown on a
Subdivision Map recorded in Book 248, Pages 50
to 58, inclusive, of Maps, in the Office of
the Riverside County Recorder.
B. Declarant is the record owner of certain real
property ("Master Association Property") in the City of La.
Quinta, County of Riverside, State of California, described as
Lot V and Lot W of Tract No. 27840, as shown on a Subdivision
Map recorded in Book 248, Pages 50 to 58, inclusive, of Maps, in
the Office of the Riverside County Recorder. The Master
Association Property and the Residential Area are collectively
referred to hereinafter as the "Annexed Territory".
C. The Annexed Territory is part of the "Annexable
Area" as defined in that certain Master Declaration of
Covenants, Conditions, Restrictions and Reservation of Easements
for Rancho La Quinta ("Master Declaration"). The Master
Declaration was recorded on June 2 , 1994, as Instrument
No. 94- 226508 , in Official Records of Riverside County,
California. The Master Declaration is binding upon all Owners
of Lots and Condominiums in the "Properties" (as defined in the
Master Declaration).
D. Declarant is the "Declarant", as defined in the
Master Declaration. In furtherance of the master development
plan for the Properties, Declarant intends to improve and sell
Lots in the Residential Area of the Annexed Territory to the
public, and to provide for the maintenance of the Master
Association Property and the Landscape Maintenance Areas in the

Annexed Territory for the benefit of the Owners of all Lots and
Condominiums in the Properties, subject to the provisions of the
Master Declaration and this Supplemental Declaration.
E. Pursuant to Article II of the Master Declaration,
Declarant now desires to add the Annexed Territory to the
Properties subject to the Master Declaration.
THEREFORE, DECLARANT HEREBY DECLARE AS FOLLOWS:
1. Annexation of Territory and Establishment of
General Plan.
A. General Plan. This Supplemental Declaration
is hereby established in furtherance of the general plan for the
improvement and sale of Lots within the Annexed Territory and
for the purpose of enhancing and perfecting the value,
desirability and attractiveness of the Annexed Territory and
each Lot therein.
B. Annexation. Declarant hereby declares that
the Annexed Territory is made a part of the Properties subject
to the Master Declaration. The Annexed Territory is and shall
be held, conveyed, hypothecated, encumbered, leased, occupied,
built upon or otherwise used, improved or transferred in whole
or in part, subject to this Supplemental Declaration, and the
Master Declaration.
C. Equitable Servitudes. The covenants,
conditions and restrictions of this Supplemental Declaration and
the Master Declaration are hereby imposed as equitable
servitudes upon the Annexed Territory and each Lot therein, as a
servient tenement, for the benefit of each and every other Lot
and Condominium within the Properties and the Master Association
Property, as the dominant tenements.
D. Covenants Appurtenant. The covenants,
conditions and restrictions of this Supplemental Declaration
shall run with, and shall inure to the benefit of and shall. be
binding upon all of the Annexed Territory, and shall be binding
upon and inure to the benefit of all Persons having, or
hereafter acquiring, any right, title or interest in all or any
portion of the Annexed Territory, and their successive owners
and assigns.
E. Restrictions. This Supplemental Declaration
is recorded pursuant to Section 2.3 of the Master Declaration,
and each of the provisions hereof shall be deemed a part of the
"Restrictions" (as defined in the Master Declaration), and they
may be enforced as therein provided for the enforcement of: other
provisions thereof.

F. Membership. The Owners of Lots in the
Annexed Territory shall automatically become Members of the
Master Association for Rancho La Quinta ("Master Association").
G. Phase of Development. The Annexed Territory
is hereby designated as a "Phase of Development" (as defined in
the Master Declaration) of the Properties.
2. Land Classi-fications. Pursuant to Section
2.3.3(iv) of the Master Declaration, the Annexed Territory is
classified as follows:
A. Residential Area. The Residential Area in
the Annexed Territory is hereby designated Residential Area as
defined in Section 1.54 of the Master Declaration. Each Lot in
the Residential Area is subject to an easement for access,
ingress, maintenance and repair for the benefit of the Golf
Course Property (defined in the Declaration) as described in
Section 12.8 of the Declaration.
B. Masten Association Property. The Master
Association Property in the Annexed Territory is hereby
designated to be Master Association Property as defined In
Section 1.34 of the Master Declaration. The Master Association
Property shall be conveyed to the Master Association prior: to
the first Close of Escrow for the sale of a Lot in the
Residential Area, as further provided in Section 3.6.1 of the
Master Declaration. The Master Association shall become
responsible for maintenance of the Master Association Property
concurrently with the commencement of Common Assessments in the
Annexed Territory.
C. Landscape Maintenance Areas. The Landscape
Maintenance Areas in the Annexed Territory are defined in
Section 1.30 of the Master Declaration. The Landscape
Maintenance Areas in Phase 2 are located on each of the Lots in
the Residential Area in the front yards. The Landscape
Maintenance Areas extend from the street edge to the walls of
the courtyard and the front exteriors of the buildings
constructed on the Lots. The Landscape Maintenance Areas
include landscaping only and do not include the driveway;, walls
of the courtyard or the exterior of the building located on the
Lots.
3. Assessment Obligations. The rights and
obligations of all Owners of Lots located in the Annexed
Territory with respect to ,assessments shall be as set forth in
the Master Declaration and this Supplemental Declaration. All
assessments provided for in the Master Declaration shall
commence as to each Lot in the Annexed Territory on the first
day of the first month following the month in which the first

Close of Escrow occurs for the sale of a Lot in the Annexed
Territory. There are no Cost Centers in Ranchos and Haciendas
Phase 2.
4. Architectural Committee Rules. The Architectural
Committee may but need not adopt and enforce Architectural
Committee Rules which are solely applicable to the Annexed
Territory. Such separate .Architectural Committee Rules shall be
in addition to any other Architectural Committee Rules generally
applicable to the Properties and may address design, color,
siting and other matters within the jurisdiction of the
Architectural Committee which are distinctive or unique to the
Annexed Territory.
5. Use Easements.
Declarant hereby reserves exclusive easements of use and
enjoyment ("Use Easement") for the benefit of Lots 62 to 75,
inclusive, 86, 101 to 106, inclusive, and 108 which are Ranchos
style Lots ("Ranchos Lots") in Ranchos and Haciendas Phase 2
("Benefited Lots") over other Ranchos Lots in Phase 2 ("Burdened
Lots") as generally shown and assigned on Exhibit "l" attached
hereto. Many of the Ranchos Lots in Phase 2 are entitled to a
Use Easement over adjacent Ranchos Lots and give up Use
Easements to the same or other adjacent Ranchos Lots.
Therefore, most of the Ranchos Lots in Phase 2 are both
Benefited Lots and Burdened Lots. The Use Easements shall
extend laterally from the lot line of the Benefited Lot to
either the foundations and structures of the Residences or to
the interior surfaces of the fences surrounding the Use Ease-
ments, as such foundations, Improvements and fences are
initially constructed by Declarant or reconstructed with
Architectural Committee approval. The drawings attached as
Exhibit "l" showing the Use Easement areas contain only ap-
proximate dimensions and are not necessarily drawn to scale.
Use Easements shall not be extinguished, in whole or in part, by
merger or otherwise; provided, however, that Declarant may
extinguish, in whole or in part, or otherwise modify a Use
Easement, in accordance with Declarant's development plan for
the Properties, so long as Declarant owns in fee simple both the
Burdened Lot and the Benefited Lot.
There is also reserved and conveyed to each Owner of a
Use Easement an encroachment easement over the Burdened Lot to
expand the Use Easement, as necessary, to the actual size that
it is constructed by Declarant prior to such conveyance.
Declarant reserves for the Owner of each Burdened Lot and each
correspondingly Benefited Lot, a nonexclusive easement for
reasonable ingress and egress to and from the particular Use
Easement area. Declarant further reserves for itself and for
Owners of Burdened Lots easements appurtenant to such Burdened
Lots for purposes of accommodating (1) encroachment of
overhanging eaves and other- items as initially constructed on
the Burdened Lot by Declarant or as constructed with

Architectural Committee approval, (2) drainage over the Use
Easement areas in accordance with the established drainage
pattern and (3) installation, maintenance and repair of utility
lines serving Improvements installed on the Burdened Lot by the
Declarant or with the approval of the Architectural Committee.
The Owner of the Burdened Lot shall have the right, at
reasonable times, upon reasonable notice and in a reasonable
manner, to enter upon the Private Yard Area, defined in the
Master Declaration, adjacent to his Residence for the purpose of
maintaining, repairing or restoring the structural wall of his
Residence, the structure of which it is a part, the gutter and
downspout attached to his Residence and any fence owned by him
which adjoins or abuts the Private Yard Area. The Use Easements
are subject to the restrictions established in the Master-
Declaration.
6. Miscellaneous Provisions.
A. Amendment and Duration. Until the first
Close of Escrow for the sale of a Lot in the Annexed Territory,
this Supplemental Declaration may be amended or terminated by a
written instrument executed and Recorded by Declarant. Upon the
first Close of Escrow in the Annexed Territory, this
Supplemental Declaration, may be amended or terminated only by
complying with the requirements of Section 12.2 of the Master
Declaration. Unless amended or terminated as provided herein,
the provisions of this Supplemental Declaration shall continue
and remain in full force and effect for so long as the Master
Declaration remains in effect. The Annexed Territory may be
deannexed from the Properties and this Supplemental Declaration
only by complying with the same procedure for deannexing
property from coverage of the Master Declaration, as set forth
in Section 2.3.6 of the Master Declaration.
B. Enforcement and Non -Waiver. Reference is
hereby made to the provisions of Section 12.5 of the Master
Declaration, which Section is hereby incorporated in this
Supplemental Declaration by such reference as though set forth
herein.
C. Restrictions Construed Together. All of the
provisions of this Supplemental Declaration shall be liberally
construed together with the Restrictions to promote and
effectuate the fundamental concepts of the Properties, as set
forth in the Master Declaration. Except as may be otherwise
provided in this Supplemental Declaration or the Master
Declaration, the rights and. obligations of the Owners located in
the Annexed Territory shall be the same as the rights and
obligations of the other Owners now or hereafter affected by the
Master Declaration.
D. Restrictions Severable. Notwithstanding the
provisions of the foregoing Paragraph 6C, each of the provi-sions
of this Supplemental Declaration shall be deemed independent and

severable, and the invalidity or partial invalidity of any
provisions or portion thereof shall not affect the validity or
enforceability of any other provisions hereof.
E. Meaning of Terms. Except as otherwise
expressly provided herein, the capitalized words and phrases in
this Supplemental Declaration shall have the same meanings as
defined in the Master Declaration.
F. Captions. All captions or titles used in
this Supplemental Declaration are intended solely for
convenience of reference and shall not affect the interpretation
of any of the terms or provisions of this Supplemental
Declaration.
