❑ The adjustment shall not create a greater number of parcels than originally existed.
❑ The resulting parcels shall conform with City Zoning and Building Codes.
❑ The adjustment shall not cause existing uses or improvements of the property to be out of compliance with any
provision of the City Codes.
MINIMUM SUBMISSION REQUIREMENTS
❑ Existing grant deeds or title reports for all affected parcels.
❑ An acceptable legal description of each existing parcel and a metes and bounds description of each new parcel
proposed.
❑ Closing calculations for each new parcel proposed.
❑ Original, unrecorded Grant Deeds for each new parcel with the following:

MEMORANDUM OF ESTABLISHMENT
OF
SIDEYARD EASEMENTS
THIS MEMORANDUM OF ESTABLISHMENT OF SIDEYARD EASEMENTS (this
"Memorandum"), is made and entered into on November 16 2001, by Coyote Comer,
L.L.C., a California limited liability company ("Coyote"), regarding each residential lot ("Lot") as
each, such Lot is identified and included within the hereafter described Property.
RECITALS
A. Coyote is the owner of certain real property located in the City of La Quinta, County
of Riverside, California, more particularly described on Exhibit "A" attached hereto and by this
reference made a part hereof (the "Property").
B. Coyote hereby establishes and confirms that each Lot shall have a "sideyard"
easement, which easement shall be for the benefit of and as a burden upon each Lot, pursuant to the
terms and conditions of this Memorandum.
1. TnE EASEMENT. Each Lot shall be encumbered by and subject to a permanent,
non-exclusive easement, pertaining to those particular areas within the Property more particularly
described on Exhibit "B" attached hereto and by this reference made a part hereof (the "Easement
Area"), with such easement subject to and consistent with the following:
(a) PURPOSE. The owner of each Lot (the "Benefit Lot") and Coyote, shall have
an easement for ingress and egress on, over, under and through that portion of the Easement Area
which is located within the five (5) foot setback ("Sideyard") of each other Lot (the "Burdened Lot")
which is adjacent to (i.e., shares a boundary with) the Benefit Lot, and the Benefit Lot shall be
concurrently burdened by an easement (for the benefit of each respective Burdened Lot) for ingress
and egress on, over, under and through that Sideyard portion of the Easement Area located within
the Benefit Lot. The Benefit Lot shall only have an easement as to the Sideyard of each adjacent

Burdened Lot, and each Burdened Lot shall only have an Easement as to the Sideyard of each
adjacent Benefit Lot. The Sideyard easement shall be utilized by the owner of a Benefit Lot and by
Coyote only for the following purpose: Placement and installation of `improvements" including (i)
air conditioning equipment, (ii) swimming pool equipment, (iii) walls and gates, (iv) landscape
material including irrigation system; and maintenance and upkeep of all such improvements.
Notwithstanding any other provision of this Memorandum, the Sideyard easement shall also be
utilized by the fire department for ingress and egress as determined by the fire department.
(b) TERM. The easement shall commence on the date this Memorandum is
recorded in the Official Records of Riverside County, California and shall continue as long thereafter
as residential improvements currently and in the future are located on and within the Property.
(C) COSTS/Ex?ENSES.
(1) Each Sideyard easement (and all improvements located therein) shall be
maintained at the sole cost and expense of the owner of the particular Burdened Lot, except that a
homeowners association (pursuant to section 3(e) of this Memorandum, below) shall maintain the
swimming pool and landscaping located in such Easement Area.
(2) Each owner of a Burdened Lot shall obtain and maintain, at all times, and
at no cost to any other Lot owner, general liability insurance against claims for bodily injury, death
and property damage occurring in, on or about, or from the use, maintenance, repair or replacement
of the Easement Area or any improvements constructed on, over or under the Easement Area in (at
a minimum) conformance with the coverage limits as established in the Declaration of Restrictions
and any other agreements and/or covenants and restrictions which govern the Property.
(3) In utilizing the easement and/or in performing any work in the Easement
Area, the owner of the Benefit Lot shall cause its employees, agents and/or contractors to: (i)
perform all work in a first-class workmanlike manner, lien free and free of adverse claims, and
pursued diligently to completion; and (ii) cause all persons performing such work to minimize
interference with the Burdened Lot.
2. INDEMNIFICATION. Each owner (at the particular time an event arising under this
provision occurs) of a Benefit Lot, for itself and its successors and assigns, hereby indemnifies, holds
harmless and agrees to defend the affected owner of the Burdened Lot, and its successors and assigns
(collectively, the "Indemnified Parties") from and against any and all claims, liability, costs and
expenses, including court costs and.reasonable attorneys fees and disbursements (collectively
"liabilities") arising from the easement and/or this Memorandum.
3. MISCELLANEOUS.
(a) MODIFICATIONS AND WAIVERS. This Memorandum may not be changed or
terminated orally. No waiver of any party of any breach hereunder shall be deemed a waiver of any

other or subsequent breach.
(b) GOVERNING LAW. This Memorandum shall be construed, interpreted and
applied in accordance with the internal laws of the State of California without giving effect to
doctrines relating to conflicts of laws.
(c) CAPTIONS. ETC. The titles of the Articles, Sections or subsections of this
Memorandum are for convenience only and shall not be considered or refereed to in resolving
questions of interpretation or construction.
(d) RULES OF CONSTRUCTION. This Memorandum shall be construed in
accordance with its plain meaning, without regard to any presumption or other rule requiring
construction against the party causing this Memorandum to be drafted. If any words or phrases in
this Memorandum shall have been stricken out or otherwise eliminated, whether or not any other
words or phrases have been added, this Memorandum shall be construed as if the words or phrases
so stricken out or otherwise eliminated were never included in this Memorandum and no implication
or inference shall be drawn from the fact that such words or phrases were so stricken out or
otherwise eliminated. All terms and words used in this Memorandum, regardless of the number or
gender in which they are used, shall be deemed to include any other number and any other gender
as the context may require.
(e) COVENANTS RUNNING: wrrH THE LAND: SUCCESSORS AND ASSIGNS. The
easement Memorandumed hereby, and the rights and obligations of the parties under this
Memorandum are and shall continue to be covenants running with the land affected thereby and shall
be bolding upon and inure to the benefit of the parties hereto and to their respective heirs, executors,
administrators and successors and assigns. Any sale or other transfer, whether or not for
consideration, by a party of all or any interest in its respective property automatically shall confer
the benefits and burdens of this Memorandum on the transferee of such interest and relieve the
transferor of any rights and obligations arising and accruing from and after such transfer. The rights
and benefits accorded to Coyote in and under this Memorandum shall, as necessary and appropriate
(pursuant to section I (c) of this Memorandum, above and to the Governing Documents), be accorded
to and include at all times any homeowners association with jurisdiction over and as to the Property.
(f) ENTIRE MEMORANDUM. This Memorandum and the Exhibits hereto, which
are incorporated in and form a part of this Memorandum, contain all of the terms agreed upon
between the parties with respectto the subject matter hereof and supersedes all prior understandings,
if any, with respect thereto.
(g) COUNTERPARTS. This Memorandum maybe executed in several counterparts,
each of which shall be an original, but all of which shall constitute but one and the same instrument.
