WHEREAS, ASL LA QUINTA INC. (the "Company") is the General Partner of
the Partnership:

maintain and operate a multi -family apartment complex (the "Apartment Complex") on the

That is our concern. The easement needs to recorded with the LLA. As long as all of the
easements are recorded and provide both primary and secondary access/egress we will have
no objection. Further the secondary access/egress may be restricted to emergency access
only however, public egress must remain unrestricted.

You had emailed a comment regarding Parcel B of the above lot line adjustment not having a
secondary access to our Community Development Department and your evaluation that the Fire
Department would have a problem with the Lot Line Adjustment, as shown.
In order to provide clarification, there is an existing easement off of Dune Palms Road at
Parcel 2 and 3 propertly line recorded on the property on the west. Unfortunately it does
not connect Parcel B directly. The site plan for the La Quinta Family Apartments shows
such an easement. Please refer to the Site Plan and confirm if this easement is sufficient
for EVA. If you need me to fax you a copy, please advise. We will ask that this easement
be indicated in the Lot Line Adjustment.

Jerry,
As I mentioned in my phone call, we have come to an agreement with Mazzella and are proceeding to document
the necessary revisions. In the mean time, we should have the letter from Anne Mazzella and her attorney
authorizing the city to process the necessary applications in a day or two.
While Steve Ryan at Cox works on a draft Housing Agreement I think it would be good for us to review the
business issues relating to the agreement. We have included a transaction term sheet that we have sent to Steve
as an outline of the business points of the transaction as we typically see them. This does not address the normal
safeguards the city will require, only the "financing terms". I think it would be helpful it we could arrange a meeting
next week with you and Frank to review the terms and process for completing the agreement.
I am sure there will be more questions generated by the memo, but at least it is a starting point.

Bruce --it is now 5:19PM and no funds have been received from Heritage as required by the: seller.
Consequently, the parties have not agreed to an extension and the escrow remains terminated. We
consider this deal dead.
Per Doug Bigley's agreement with Lou, if the documentation was not concluded by yesterday,
Heritage would sign a termination acknowledgement. We expect it to do so.
FYI, Lou spoke with a person at GMAC who said they were too busy to fund this deal now and could
perhaps complete it next week. That is beyond the seller's outside date, and is not acceptable. Also,
apparently Heritage was blaming ME for the delay. I strongly object to being so mischaracterized.
Perhaps if the personnel at Heritage had been more forthright with the City, GMAC and the Mazzellas,
this deal could have closed.

Public Works cannot approve this based on the Fire Department's condition that a secondary easement be placed
on Parcel B.
We have based our evaluation on the following:
• As it exist, the easements shown on Parcel Map 28422 (mid block) access only Parcel A. If this, is the only
remaining easement and the easement shown on the south end of Parcel Map 28422 is estinguished,
there is no secondary access to Parcel B.
It appears that a flag lot is being created without a recorded means of secondary access/egress to parcel
B. It would also appear that Parcel B is planning a secondary access/egress through Parcel A, in the NW
corner. Is the easement as shown in the exhibit on page 3 that is going through parcel A and the adjoining
property recorded or will it be recorded with this action? If it is, we would not have an objection, however if
not there could be severe problems with the approval of this project. Thanks

will it be recorded with this action? If it is, we would not have an objection, however if not there could be severe

The following conditions are requested on SDP 2003-788:
For any buildings with public access i.e. recreational halls, clubhouses, etc. or buildings with a commercial use i.e.
gatehouses, maintenance sheds, apartments, etc. Super fire hydrants are to be placed no closer than 25 feet
and not more than 165 feet from any portion of the first floor of said building following approved travel ways
around the exterior of the building.
The water mains shall be, designed to provide a for a potential fire flow of 2500 GPM. Based on a building size of
27,027' feet and a 50%credit for fire sprinklers the required fine flow will be 2,250 GPM for a 4-hour duration at
20-PSI residual pressure.,
Blue dot retro-reflectors Shall be placed in the street 8 inches from centerline to the side that the fire hydrant is on,
to identify fire hydrant locations.
City of La Quinta ordinance requires all buildings, other than single family, 5,000 sq. ft. or larger to be fully
sprinkled. NFPA 13 Standard. Sprinkler plans will need to be submitted to the Fire Department. Area separation
walls may not be used to'reduce the need for sprinklers.
Any turn or turn-around'requires a minimum 45-foot turning radius. Any dead-end roads that exceed 150 feet
must have an approved fire department turn -around.
All structures shall be accessible from an approved roadway to within 150 feet of all portions of the exterior
of the first floor.
The minimum dimension for access roads and gates is 20 feet clear and unobstructed width and a minimum
vertical clearance of 13 feet 6 inches in height
Any gate providing access from a public roadway to a private entry roadway shall be located at least 35 feet
setback from the roadway and shall open to allow a vehicle to stop without obstructing traffic an the road. Where
a one-way road with a single traffic lane provides access to a gate entrance, a 38-foot turning radius shall be used.
Gates shall be automatic,, minimum 20 feet in width and shall be equipped with a rapid entry system (KNOX).
Plans shall be submitted to the Fire Department for approval prior to installation. Automatic gate pins shall be
rated with a shear pin force, not to exceed 30 pounds. Gates activated by the rapid entry system shall remain open
until closed by the rapid entry system.
The required water system, including fire hydrants, shall be installed and accepted by the appropriate water
agency prior to any combustible building material being placed on an individual lot. Two sets of water plans are
to be submitted to the Fire Department for approval.
The applicant or developer shall prepare and submit to the Fire Department for approval, a site :plan designating
required fire lanes with appropriate lane painting and/or signs.
Building plan check is to run concurrent with the City plan check. Submittals are the responsibility of the owner.

(b) Any governments] police power not excluded by (a) above, except to the extent that a notice of the exercise thereof or a notice, of a

Lot Line Adjustment application? The APNs are 649-030-016 and 017. Even though we are reducing the parcel
size in our LLA, I assume we will use the street address reserved for Parcel 016 as the address for our project. Is
this correct? If not, can you tell me the street address we will use, or when it will be assigned? I'd appreciate
