Local Listing Broker Agreement Extension

This Local Listing Broker Agreement Extension (hereinafter, known as the
Agreement) is dated and entered into Irvine, California on this 26th day of
November, 2013, by and between BLB Resources, Inc. (hereinafter "BLB
Resources"), a California corporation with its principal place of business at 16845
Von Karman Avenue, Suite 100, Irvine, CA 92606 and Jeff Litton. Inc. , a
California Corporation , with its principal place of business at
601 E Tahauitz Canyon Wav, Palm Springs. CA 92262, (hereinafter "LLB"),
(BLB Resources and/or LLB referred to as "Party' individually or collectively as
"Parties").
The above referenced parties hereby agree to all the terms and conditions of the -- - - --
originally dated 6-1-11 Local Listing Broker Agreement, and any Amendments
and Extensions to the Local Listing Broker Agreement, with exceptions noted
below.
Term: This Agreement shall be effective as of December 1st, 2013, and shall
remain in effect through March 31 st, 2014 unless earlier termination by either of
the parties hereto.
REPRESENTATIONS AND WARRANTIES BY BLB RESOURCES; RELEASE
BY SUBCONTRACTOR
a. Notwithstanding any provisions herein to the contrary, neither HUD nor
BLB RESOURCES makes any representations or warranties, express
or implied, as to the condition or habitability of the Properties or the
safety of such Properties or any surrounding neighborhood.
SUBCONTRACTOR, on behalf of itself and its owners, agents, and
employees, and the successors and assigns of any of the foregoing,
solely assumes the risk of and hereby releases and agrees to
indemnify, defend, and hold harmless BLB RESOURCES and its
shareholders, directors, officers, employees, agents, successors, and
assigns, from any and all actions, claims, demands, obligations,
liabilities, damages, costs, expenses, and attorneys' fees of any kind or
nature whatsoever suffered by SUBCONTRACTOR or its owners,
employees, agents, successors, or assigns, arising out of any
dangerous conditions existing at or criminal acts occurring at or near
the Properties, including, without limitation, criminal acts committed by
squatters living at the Property.

b. SUBCONTRACTOR acknowledges that BLB RESOURCES has not
made any representations as to the estimated or actual minimum or
maximum number of HUD -owned properties that may be assigned to
SUBCONTRACTOR under this Agreement, that SUBCONTRACTOR
is not relying on receiving any minimum number of properties under
this Agreement, and that there is no guarantee as to any minimum
number of properties that may be assigned to SUBCONTRACTOR by
BLB RESOURCES under this Agreement. Furthermore,
SUBCONTRACTOR acknowledges that BLB RESOURCES has not
made any representations, and there are no guarantees with respect to
the estimated value or.geo.gr4phic location of HUD-owned.properties
that may be assigned under this subcontract, and that
SUBCONTRACTOR is not relying on assignment of properties of any
c. SPECIAL NOTICE APPLICABLE ONLY TO SUBCONTRACTORS IN
CALIFORNIA:
Civil Code Section 1542: SUBCONTRACTOR represents that it is not
aware of any claim other than the claims that are released hereby.
SUBCONTRACTOR acknowledges that it is familiar with the provisions
of California Civil Code Section 1542, which provides as follows:
A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS
WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO
EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING
THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST
HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT
WITH THE DEBTOR.
SUBCONTRACTOR, being aware of said code section, agrees to
expressly waive any rights it may have thereunder, as well as under
any other statute or common law principles of similar effect.
