GUIDE SPECIFICATIONS
Contractor to supply and install collectors, nominal size (412, 410,
48) with overall frontal area of (47.3, 39.3, 31.4) square feet each. Collectors shall
be fabricated from a propylene copolymer with stabilizer combination providing long
tens resistance to heat and light. The weight of collector when filled with water shall
be no more than 1.3 pounds per square foot of frontal area. The collectors shall be
capable of withstanding an internal static pressure of 85 psi at operating tempera-
ture and shall be resistant to corrosion, freezing, and internal scale accumulation.
Collectors shall be capable of thermal performances of at least 85% efficiency
when inlet fluid temperature equals ambient temperature and be capable of collect-
ing solar energy when the inlet fluid temperature exceeds the ambient temperature
by 601F with 250 BTU per square foot per hour.
Pressure head loss of a single panel must not exceed 0.14 feet water at recom
mended flow rate.
Collector shall have multi -plate design to allow for moisture ventilation of the
mounting surface and wind relief during adverse weather conditions.
Collector mounfing shall consist of 18-8 chromium -nickel stainless steel mounting
hardware with a minimum of two continuous transverse straps having black
polypropylene coating. Transverse straps shall be fastened with 18.8 chromium -
nickel stainless steel damps and brackets.
Water connections shall be made with hose sections made from EPDM (ethylene-
propylene- diene-terpolymer) 70 durometer minimum hardness. Hose damps shall be
all stainless worm gear type with 188 chromium -nickel stainless band.
The collectors shall meet or exceed the minimum standards established by the
Florida Solar Energy Center, other applicable nationally recognized standards, and
shall be manufactured in the U.S.A..

Contract Agreement
Solar Pool Heating System Installation for Bella Cristia
You are entitled to a completely filled in copy of this agreement, signed by both you and the contractor, before any
work may be started,
THIS AGREEMENT made the 21 t day of November, 2014 has been made between SunUp Solar Systems, Inc.,
License.#992607, hereinafter called the 'Contractor," and Bella Cnstia hereinafter called the 'Buyer,* for the project
located at the following address: 78705 Avenida La Torres, CA 92253. The Contractor agrees to provide the
following labor, materials, and installation for the Buyer and the Buyer agrees to purchase the following:
Description of Project
• Provide and install three solar pool heating systems, each system to include the following:
o (11) 4' X 12' and (5) 4' X 10' SunUp (Aquatherm) unglazed solar thermal collectors.
o Pentair SolarTouch controller (with noctumal cooling mode) to control solar pool heating system operation.
o Pentair IntelliFlo Variable speed pool pump
o Pentair Motorized diverter valve - integrated with solar control system and sensors.
• Provide and properly, install system per CSI Program requirements.
• Exterior piping will be painted to matchthe stucco. -
• Provide and install all necessary valves, vacuum breakers, and connections for each: pool.
• Provide City of La Quinta Building Permit.
• Make systems operational and provide operating instructions and manuals to Buyer.
Installed Price for each system: $16,002 CSI Rebate: $16,002 Net Cost: $0
Upon receipt of
an executed contract, deposit check, HOA Federal Tax ID number, and recent gas bill, SunUp will complete the CSI
Application as soon as possible. SunUp agrees the deposit is 100% fully refundable in the event the CSI Rebate is
substantially reduced and Buyer decides to cancel the contract. Buyer to verify CSI Rebate: amount equals the
contract price before proceeding with project.
The annual energy savings are 2286 Therms.

INFORMATION ABOUT THE CONTRACTORS STATE LICENSE BOARD (CSLB)
CSLB is the state consumer protection agency that licenses and regulates construction contractors. Contact CSLB for
information about the licensed contractor you are considering, including information about disclosable complaints,
disciplinary actions and civil judgments that are reported to CSLB. Use only licensed contractors. If you file a complaint
against a licensed contractor within the legal deadline (usually four years), CSLB has authority to investigate the complaint.
If you use an unlicensed contractor, CSLB may not be able to help you resolve your complaint. Your only remedy may be in
civil court, and you may be liable for damages arising out of any injuries to the unlicensed contractor or the unlicensed

START AND COMPLETION OF WORK The work to be performed under this Contract shall be commence approximately
30 days after Buyer verifies the CSI Rebate equals contract price. The Project shall be completed approximately 25 days.
after start date, subject to permissible delays as defined in this contract. Failure of the Contractor, without lawful excuse, to
substantially commence work -within 20 days from the start date, is a violation of Contractors License Law. Contractor shall
be deemed to have substantially commenced work when contractor moves equipment;or material onto the jobsite.

TERMS AND CONDITIONS
'-DELAYS IN INSTALLATION Buyer agrees that Contractor and Contractor's installers are not responsible for delays in
delivery or installation due to weather, fire, strikes, shortages, war, terrorism, government or utility regulations or permitting
or inspection delays.
ACCESS Buyer agrees to allow and provide Contractor and his/her equipment access to the property.
PAYMENT Buyer agrees to pay Contractor the total price, according to the schedule set forth on Contract, including any
change orders or extras caused by unforeseen conditions or requests of the Buyer. Upon request Contractor shall furnish a
statutory unconditional waiver and release form prior to receipt of the next payment. Contractor will charge at the rate of
1.5% per month for all balance past due per the Payment Schedule. Buyer agrees to pay all collection costs (including
attorney fees and court costs) incurred by the Contractor to collect past due amounts.
WARRANTY INFORMATION Contractor provides a limited warranty on all labor and system installation for five (5) years
from date of system commissioning and warrants such to be free from any defects in workmanship and/or materials.
Contractor will replace or repair at its sole discretion any item it determines to be faulty as a result of errors and/or
omissions on the part of the Contractor. This warranty does not apply to conditions resulting from normal wear and tear,
vandalism and/or natural catastrophes. Should any entity and/or individual perform any work, service or maintenance to any
portion of the solar system other than the Contractor, this warranty will be voided. Routine cleaning of solar collectors is not
considered work, service or maintenance for purposes of this agreement.
UNFORESEEN CONDITIONS If unforeseen or concealed conditions are discovered, or if actual conditions are materially
different than as represented by the Buyer, then Contractor shall be entitled to a mutually agreeable change order adjusting
the price and/or time for completion to accommodate such conditions.
ADDITIONAL WORK & CHANGE ORDERS Buyer may order additional work or changes in writing at any time. Any
additional work or changes will be completed ona time and material basis. The Buyer will be required to pay the Contractor
the sum of $85.00 per hour for every man- hour associated with any additional work or change. The Buyer will also be
responsible for the cost of any additional equipment and materials required plus a 10% handling charge. No extra work will
be performed without formal written documentation signed by the Buyer directing the Contractor to proceed with the
additional work or changes per the pricing provided by this section. The Buyer shall pay for any additional work or changes
within 10 calendar days from the date the work is completed. All work will cease until any required payments are made. Any
existing code violations at property that prohibit or impede the Contractor's ability to complete scope of work will be repaired
at the Buyer's expense on a time and material basis. Buyer is responsible for equipment once equipment is delivered to
property address. Contractor is not responsible for vandalism, theft, or damage to equipment caused by others or Acts of
God.
ENERGY PRODUCTION Contractor is not responsible for changes in the amount of energy generated or therms produced
by installed system due to obstructions to the sun such as trees, towers, building or other obstructions, changes in
customer's water heating and/or space heating usage, or changes in environmental conditions such as weather,
precipitation, smoke, fog, cloud cover or air pollution.
RIGHT TO STOP WORK Contractor shall have the right to stop work if any payment shall not be made, when due, to
Contractor under this Agreement; Contractor may keep the job idle until all payments due are received. Failure to make
payment, within ten (10) days of the date due, is a material breach of this Agreement and will entitle Contractor to cease any
further work.
CLEAN UP Contractor will remove from Owner's property debris and surplus material created by his operation and leaves it
in a neat and broom clean condition.
ASBESTOS AND HAZARDOUS WASTE Unless the contract specifically calls for the removal, disturbance, or
transportation of asbestos or other hazardous substances, the parties acknowledge that such work requires special
procedures, precautions and/or licenses. Therefore, unless the contract specifically calls for same, if Contractor encounters
such substances, Contractor shall immediately stop work and allow the Owner to obtain a duly qualified asbestos and/or

4hazar0us material contractor to perform the work or do the work himself at Contractor's option. Said work will be treated as
an extra under this contract.
\,ASBESTOS, LEAD, MOLD, AND OTHER HAZARDOUS MATERIALS Owner hereby represents that Owner has no
knowledge of the existence on or in any portion of the premises affected by the Project of any asbestos, lead paint, mold
(including all types of microbial matter or microbiological contamination, mildew or fungus), or other hazardous materials.
Testing for the existence of mold and other hazardous materials shall only be performed as expressly stated in writing.
Contractor shall not be testing or performing any work whatsoever in an area that is not identified in the Scope of Work.
Unless the contract specifically calls for the removal, disturbance, or transportation of asbestos, polychlorinated biphenyl
(PCB), mold, lead paint, or other hazardous substances or materials, the parties acknowledge that such work requires
special procedures, precautions, and/or licenses. Therefore, unless the contract specifically calls for same, if Contractor
encounters such substances, Contractor shall immediately stop work and allow the Owner to obtain a duly qualified
asbestos and/or hazardous material contractor to perform the work or Contractor may perform the work itself at Contractor's
option. Said work will be treated as an extra under this contract, and the Contract Term setting forth the time for completion
of the project may be delayed.
In the event that mold or microbial contamination is removed by Contractor, Owner understands and agrees that due to the
unpredictable characteristics of mold and microbial contamination, Contractor shall not be responsible for any recurring
incidents of mold or microbial contamination appearing in the same or any adjacent location, subsequent to the completion
of the work performed by Contractor. Owner agrees to hold Contractor harmless, and shall indemnify Contractor harmless
for any recurrence of mold or microbial contamination. Owner also agrees that Contractor shall not be responsible, and
agrees to hold Contractor harmless and indemnify Contractor, for the existence of mold or microbial contamination in any
area that Contractor was not contracted to test and/or remediate. Further, Owner is hereby informed, and hereby
acknowledges, that most insurers expressly disclaim coverage for any actual or alleged damages arising from mold or
microbial contamination. Contractor makes no representations whatsoever as to coverage for mold contamination, though at
Owner's: additional expense, if requested in writing, Contractor will inquire as to the availability of additional coverage for
such contamination or remediation, and if available, will obtain such coverage if the additional premium is paid for by Owner
as an extra.
ARBITRATION OF DISPUTES ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATED TO THIS CONTRACT,
OR THE BREACH THEREOF, SHALL BE SETTLED BY BINDING ARBITRATION IN ACCORDANCE WITH THE
CONSTRUCTION INDUSTRY ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION, AND
JUDGMENT UPON THE AWARD RENDERED BY THE ARBITRATOR(S) MAY BE ENTERED IN ANY COURT HAVING
JURISDICTION THEREOF. CLAIMS WITHIN THE MONETARY LIMIT OF THE SMALL CLAIMS COURT SHALL BE
LITIGATED IN SUCH COURT AT THE REQUEST OF EITHER PARTY, SO LONG AS BOTH PARTIES LIMIT THEIR
RIGHT TO RECOVERY TO THE JURISDICTION OF THE SMALL CLAIMS COURT. ANY CLAIM FILED IN SMALL
CLAIMS COURT SHALL NOT BE DEEMED TO BE A WAIVER OF THE RIGHT TO ARBITRATE, AND IF A COUNTER
CLAIM IN EXCESS OF THE JURISDICTION OF THE SMALL CLAIMS COURT IS FILED IN THE MUNICIPAL OR
SUPERIOR COURT, THEN THE PARTY FILING IN SMALL CLAIMS COURT MAY DEMAND ARBITRATION PURSUANT
TO THIS PARAGRAPH.
NOTICE: BY INITIALING IN THE SPACE BELOW YOU ARE AGREEING TO HAVE ANY DISPUTE ARISING OUT OF
THE MATTERS INCLUDED IN THE 'ARBITRATION OF DISPUTES' PROVISION DECIDED BY NEUTRAL ARBITRATION
AS PROVIDED BY CALIFORNIA LAW AND YOU ARE GIVING UP ANY RIGHTS YOU MIGHT POSSESS TO HAVE THE
DISPUTE LITIGATED IN A COURT OR JURY TRIAL. BY INITIALING IN THE SPACE BELOW YOU ARE GIVING UP
JUDICIAL RIGHTS TO DISCOVERY AND APPEAL, UNLESS THOSE RIGHTS ARE SPECIFICALLY INCLUDED IN THE
'ARBITRATION OF DISPUTES' PROVISION. IF YOU REFUSE TO SUBMIT TO ARBITRATION AFTER AGREEING TO
