This Grant of Easement (this "Easement") is made and entered into as of thea /day of
April, 2003, by and between ALBERT E. RAINALDI, an individual (hereinm.fter, together with
his successors in interest as to the Grantor Property, as defined below, referred to as "Grantor"),
and PGA WEST 11 RESIDENTIAL ASSOCIATION, INC., a California non-profit mutual benefit
corporation (hereinafter, together with its successors in interest as to the Grantee Property, as
defined below, referred to as "Grantee").
RECITALS '
A. Grantor is the owner of certain real property in the City of La Quinta, County of
Riverside, and State of California described as follows:
Lot 1 of Tract No. 29121, as shown by map on file
in Book 284, pages 18 and 19, of Maps, records of
Riverside County, California (the "Grantor
Property"). • "
B. Grantee is the owner of certain real property in the City of La Quinta, County of
Riverside, State of California described as follows:
Lot 2 of Tract No. 25500-2 as shown by Maps
recorded in Book 217, pages 19 through 24,
inclusive of maps, records of Riverside County, F
' California (the "Grantee Property").
C. The north portion of Grantee's Property encroaches on a three (?) foot strip of land +
on the south portion of Grantor's Property.
D. Grantor desires to grant to Grantee a nonexclusive easement or.. the south portion
of Grantor's Property for ingress and egress purposes only through and across a three (3) foot
portion of Grantor's Property for the, benefit of Grantee's Property, all under the terms and '
conditions set forth in this Easement.

r DELLARATION
1. Grant of Easement. Grantor hereby grants to Grantee a nonexclusive easement
appurtenant to the Grantee Property exclusively for ingress and egress to and from the Grantee
Property for members of Grantee and their agents, tenants and invitees, on and over the south
three (3) feet of Grantor's Property as depicted on Exhibit "A" attached hereto and incorporated
herein by reference (the "Easement"). The Easement granted herein includ--s those incidental
rights necessary for the maintenance and repair of the concrete or asphalt pav-=ent covering the
Easement as well as the maintenance and repair of any landscaping installed by Grantee over or
upon the Easement. The Easement granted herein is nonexclusive in that Grantor and the owners
and assignees of the Grantor Property reserve the right to use all or any portion of the Grantor
Property for any purposes which do not materially interfere with the Easement.
2. Character of Easement. The Easement shall be construed as an easement
appurtenant to the Grantee Property. All provisions of this instrument, including the benefits and
burdens, run with the land.
3. Repair and Maintenance of Easement. Grantee, or its successors and assigns (the
"Easement Holder"), shall have the obligation to perform the maintenance,'repair, replacement,
and reconstruction of all concrete, asphalt surfaces and landscaping on the Easement (hereinafter
the "Work").

4. Failure to Perform Work. In the event Easement Holder for any reason fails to
perform the Work in a timely fashion, the fee owner of the Grantor Property, or portion thereof
that is burdened with such Easement, including Grantor for so long as Grantor"continues to be the
fee owner of such real property (the "Burdened Property Owner"), ' may make a written demand
upon Easement Holder to timely accomplish such Work. If Easement Holder fails, for any reason, -
to commence performance of the Work within ten (10) days of delivery of such written demand,
and to thereafter diligently prosecute the same to completion, such Burdened Property Owner shall
have the right, but not the obligation, to perform the Work. An amount equal to One Hundred
Ten Percent (110 %) of the actual costs incurred by the Burdened Property Owner in performing
such Work shall be due and payable by the Easement Holder to such Burdened Property Owner
within ten_(10) days of request therefor by such Burdened Property Owner.
5. Enforcement. The terms and conditions of this Easement shall run with the Grantee
Property and shall inure to the benefit of and be enforceable by the Easement Holder and the
Burdened Property Owner, their respective legal representatives, successor and assigns, and the
Easement Holder and the Burdened Property Owner shall have a right of .action to enforce by
proceedings at law or in equity, all conditions and covenants imposed by the provisions of this
Easement, or any amendment hereto, including the right to prevent the violation of such conditions
and covenants and the right to recover damages for such violation.
6. Repair of Damage. Any improvements upon the Grantor Property that are damaged
or destroyed in whole or in part as a result of the use of the Easement for the Easement purposes

described herein ("Damaged Improvements") shall be repaired, replaced, restored or reconstructed
(the "Repair Work") at the sole cost and expense of the Easement Holder as soon as reasonably
possible following such damage or destruction to the condition that existed prior to such damage
or destruction. If Easement Holder fails, for any reason, to commence the performance of the
Repair Work to the Damaged Improvements within ten (10) days of delivery cf a written demand
by the Burdened Property Owner, and to thereafter diligently prosecute the same to completion,
such Burdened Property Owner shall have the right, but not the obligation, to -3erform the Repair
Work. An amount equal to One Hundred Ten Percent (110%) of the actual costs incurred by the
Burdened Property Owner in performing such Repair Work shall be due and payable by the
Easement Holder to such Burdened Property Owner within ten (10) days of a request therefor by
such Burdened Property Owner.
7. Mechanics' Liens. Easement Holder shall not suffer or permit to be enforced
against any portion of the Grantor Property any mechanics', materialmens', contractors' or
subcontractors' liens arising out of the Work or Repair Work. Easement Holder shall cause any
of such liens to be removed or the enforcement thereof stayed (whether by payment, posting of
a property bond, or otherwise) before the foreclosure of any such liens againsT any such portions
of the Grantor Property.
8. Indemnity. Grantee, for itself and on behalf of any other Easenent Holders who
acquire the easement rights and obligations described herein, agrees to indemnify, protect, defend
and hold harmless Grantor and any other Burdened Property Owner from and against any and all
claims, obligations, expenses, liabilities, and costs, including, but not limited -:o, attorneys' fees,
for property damage and bodily injury, sickness, disability, disease, or death of any person or
persons arising directly or indirectly (i) from the failure of the Easement HDlder to diligently
perform the Work or Repair Work in a manner that ensures that the Easement is retained in a safe
and acceptable condition; (ii) out of Easement Holder's activities in discharging its obligations
hereunder; (iii) out of any defect in the construction, installation or maintenance of the Easement
upon the Grantor Property; or (iv) out of the use of the Easement by Easement Holder or its
agents, tenants and invitees.
9. Easements to Run With the Land. The easement rights granted in this Easement
and all rights and obligations pertaining to such easement rights shall run with the Grantor
Property and the Grantee Property in accordance with Section 1468 of the California Civil Code
and shall inure to the benefit of the Grantee Property. The covenants, conditions and restrictions
pertaining to obligations to construct, manage, operate, control, maintain, repair, or restore and
replace the improvements on the Easement shall run with title to the Grantee Property in
accordance with Section 1468 of the California Civil Code and shall inure tc the benefit of the
Grantor Property.
10. General Provisions.
(a) Non -Waiver. Failure on the part of party to complain of any action or
non -action, breach or default on the part of the other party, no matter how long the same may

continue, shall never be deemed to be a waiver of any rights o remedies hereunder, at law or in
equity. A waiver at any time of any provision hereof shall not be construed as a waiver at a
subsequent time of the same or any other provision.
(b) Entire Agreement. This Agreement constitutes the entire agreement among
the owners of the Property pertaining to the subject matter hereof, and fully supersedes any and
all prior agreements among the parties hereto respecting the subject matter hereof. In addition,
no amendment or modification to this Agreement shall be valid unless set forth in writing and
signed by each of the parties.
(c) Severability. Any provisions of this Agreement which may be prohibited
by law or otherwise held invalid shall be ineffective only to the extent of such prohibition or
invalidity and shall not invalidate or otherwise render ineffective the remaining'provisions of this
Agreement.
(d) Legal Action and Fees. In the event of an controversy, claim or dispute
between the parties hereto arising out of or relating to this Agreement, the prevailing party shall
be entitled to recover from the non -prevailing party its reasonable expenses, in�',Juding, but not by
way of limitation, attorneys' fees and,expert witness fees.
(e) Governing Law. This Agreement is being executed and delivered and is
intended to be performed in the State of California and shall be governed by and construed in
accordance with the laws of said state.
(f) Notice. Any notice to be given to Grantor, or .any other Burden Property
Owner, ;Grantee, or Easement Holder shall be in writing and shall be deemed to have been
properly delivered when directed to such addressee as follows:

Any party may change the address to which such communications are to be directed to it
by giving a written notice to the other parties in the manner provided in this paragraph. Any
notice given pursuant to this paragraph shall be deemed to be delivered when addressed to the -
addressee as set forth herein and at the time a written notice by mail is deposited in the United
States Mail, postage prepaid; or the time any other written notice, including facsimile, telegram,
or other electronic mail message, is personally delivered to the recipient or is delivered to a
common carrier for transmission, or actual transmitted by the person giving the notice by
electronic means, to the recipient.
(g) Mortgagee Protection. No breach of the covenants, conditions or
restrictions herein shall affect, impair, defeat, or render invalid the lien or charge of any mortgage
or deed of trust made in good faith and for value encumbering any portion of the Grantor Property
or the Grantee Property, but all of said covenants, conditions, and restrictions shall be binding
upon and effective against any owner whose title is derived through foreclosure or trustee's sale,
or otherwise, with respect to either the Grantor Property or the Grantee Property.
