Smith, a single man, as to an undivided one third (1/3) interest ("Smith"), and Joan Hammond Rothermund Revocable Trust Dated September 27, 2000, Joan Hammond Rothermund Trustee as to an undivided one third (1/3) interest ("Rothermund"), all as tenants in common (collectively "THE OWNERS OF PARCEL 5"), with reference to the following: A. LQD is the owner in fee simple of Parcels 3 and 4 as shown on Parcel Map 29889 recorded in Book 200, pages 51 to 52, inclusive, of Maps, Records of Riverside County, California ("Parcel Map"), and Rudman, Smith and Rothermund as the owners in fee simple of Parcel 5 as shown on the Parcel Map. (All references herein to "Parcels" are to Parcels as numbered and shown on the Parcel Map.) B. The Parcel Map covers twelve parcels located in a commercial complex to be known as La Quinta Professional Plaza ("Project"). The Project is intended to be developed, operated and maintained in accordance with a Specific Plan approved by the City Council of the City of La Quinta, California on April 17, 2001, pursuant to Resolution Number 2001-049 ("Specific Plan"). The Project is subject to a Declaration of Covenants, Conditions and Restrictions recorded on January 23, 2002, as Instrument No. 2002-037565, Records of Riverside County, California ("Declaration"). C. LQD intends to construct a two story office building containing approximately 5,000 square feet on Parcel 3 ("Parcel 3 Building" or "Building 3") and a two story office building containing approximately 4,500 square feet on Parcel 4 ("Parcel 4 Building" or "Building 4"), and Rudman, Smith and Rothermund intend to construct a two story office building containing approximately 5,000 square feet on Parcel 5 ("Parcel 5 Building" or "Building 5"). A site plan showing the location of Parcels 3, 4 and 5 and their relationship to each other is attached hereto as Exhibit "A". A south elevation showing the location of proposed Parcel 3, 4, and 5 Buildings and their relationship to each other is attached hereto as Exhibit "B". D. Article IV, Section B of the Specific Plan states that in order to promote the campus like nature of the Project, two story buildings are clustered, with each building's second story element linked with balconies. Buildings located on immediately adjacent Parcels (such as Parcels 3, 4 and 5) are intended to be linked with such connecting balconies. Without the establishment of certain easement rights as provided herein, the plan to link such balconies could conflict with certain provisions of the Uniform Building Code as adopted by the City ("Code") concerning fire walls, protected openings, and other related requirements, and California Code of Regulations, Title. 19, concerning fire protection equipment, where adjacent buildings connect along common property lines. Further, without the establishment of such easement rights, Code provisions would require that each building contain two staircases, an elevator (if certain types of second floor uses are implemented) and a central fire system, i.e., a total of six staircases, three elevators and three central fire systems. oliphanteasement rev8.wpd8/7/03 E. Section 104.2.7 of the Code states that where there are practical difficulties involved in carrying out the provisions of the Code, the building official may grant modifications for individual cases where the building official finds that a special individual reason makes strict letter of the Code impractical and that the modification does not lessen fire protection requirements or structural integrity. Section 1.4.2.1 also states that the building official shall have the power to render interpretations of the Code and adopt and enforce rules and supplemental regulations in order to clarify the application of provisions of the Code. F. The purpose of this Agreement is to create irrevocable easement rights between and among Parcels 3, 4 and 5 in order to establish and maintain connecting balconies and the campus=like atmosphere called for by the Specific Plan, and to allow for the construction and maintenance, with respect to all three Parcels (and Buildings thereon), of three staircases instead of six, one elevator instead of three, and one central fire system (sprinkler and alarm) instead of three. NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS: 1. Agreements Regarding Construction. With respect to construction, the following shall apply: A. Buildings 4 and 5 will be constructed prior to construction of Building 3, and Building 3 will be constructed as part of a second phase after the construction of Buildings 4 and 5. B. In connection with the construction of Buildings 4 and 5, the following will apply: (1) Three staircases will be constructed. One staircase will be constructed on the east side of Building 5 ("Building 5 Staircase"), a second staircase will be constructed on the south side of Building 4 ("Building 4 Staircase"), and a third temporary staircase will be constructed on the east side of Parcel 3 ("Building 3 Temporary Staircase"). (2) A balcony to serve as a walkway will be constructed.on the south side of the second story of Building 4 ("Building 4 Balcony"), and a balcony to serve as a walkway will be constructed on the south side of the second story of Building 5 ("Building 5 Balcony"). The Building 4 Balcony will be physically connected to the Building 5 Balcony, and not be obstructed in any way or by any method or means that would impair full use of both walkways for pedestrian, wheelchair and related purposes. (3) An elevator to service Buildings 4 and 5 (and Building 3 after construction) will be constructed on the south side of Building 4 in the stairwell area of the Building 4 Staircase ("Building 4 Elevator"). (4) A central wet pipe fire system designed in accordance with NFPA 13 and off premises waterflow monitoring service as required by the Code to service Buildings 4 and 5 (and Building 3 after construction) will be constructed in the east side and in the equipment room of Building 5 and will branch through Buildings 4 (and Building 3 after construction), ("Building 5 Central Fire System"). C. In connection with the construction of Building 3, the following will apply: (1) The Building 3 Temporary Staircase will be removed when Building 3 is constructed and a permanent staircase will be constructed on the west side of Building 3 ("Building 3 Permanent Staircase"). oliphanteasement rev8.wpd8/7/03 2 (2) A balcony to serve.as a walkway will be constructed on the south side of the second story of Building 3 ("Building 3 Balcony"). The Building 3 Balcony will be physically connected to the Building 4 Balcony, and not be obstructed in any way or by any method or means that would impair full use of both walkways for pedestrian, wheelchair and related purposes. D. Except to the limited extent provided herein, all construction of Buildings, balconies, staircases, elevators and central fire systems shall be done in compliance with the Code requirements of the City Building Department. 2. Agreements Regarding Easements. With respect to easements, the following shall apply: A. Parcel 4 Grants. Parcel 4 grants to Parcels 3 and 5 the following: (1) a permanent easement to use the Building 4 Staircase, (2) a permanent easement to use the Building 4 Balcony, and (3) a permanent easement to use the Building 4 Elevator. B. Parcel 5 Grants. Parcel 5 grants to Parcels 3 and 4 the following: (1) a permanent easement to use the Building 5 Staircase; (2) a permanent easement to use the Building 5 Balcony, and (3) a permanent easement to use the Building 5 Central Fire System. C. Parcel 3 Grants. Parcel 3 grants to Parcels 4 and 5 the following: (1) a temporary easement to use the Building 3 Temporary Staircase until Building 3 is completed, (2) a permanent easement to use the Building 3 Permanent Staircase after Building 3 is completed, and (3) a permanent easement to use the Building 3 Balcony after Building 3 is completed._ D. Use of Easements. The grants of easements referenced above are effective immediately, however, actual use of the easements shall commence upon completion of construction of Buildings .and facilities as contemplated herein. E. Location of Easements. The general location of the easements referenced above is as set forth herein, however, actual locations will not be determined until construction is completed, at which time surveys will be conducted to establish actual locations, and this Agreement will be amended to reflect such actual locations. F. Grantors, Beneficiaries and Users of Easements. The initial grantors of the easements shall be the parties to this Agreement. The beneficiaries of the easements shall be the parties hereto and their fee title successors in interest,. however, each beneficiary shall have the right to allow use of the easements by tenants, agents, employees, guests and invitees of such beneficiary. G. Construction. 'The initial construction of the building improvements are governed by the construction contract dated August 5, 2002. H. Maintenance. The owner of each Parcel will be obligated (at all times subsequent to completion) to maintain all Building and improvements on such owner's Parcel in a reasonably clean, safe, sanitary, attractive and operational condition. Such maintenance shall be at such owner's own cost; provided, however, all costs reasonably related to operation and maintenance of the Building 4 Elevator. and the Building 5 Central Fire System shall be shared among the owners of the three Buildings based on use to the extent contemplated by California Civil Code Section 845. For purposes of this provision; use shall be determined based upon actual square footage of space from time to time contained within completed Buildings (rather than actual occupancy from time to time after completion). I. Insurance. The owner of each Parcel/Building shall be responsible for obtaining casualty and liability insurance to cover risks associated with such ownership. J. Character of Easement. The easements granted herein are appurtenant to the Parcels which they benefit. K. No Third Party Beneficiaries. Except to the limited extent specifically provided herein, this Agreement is not intended to and shall not confer any benefits or rights on third parties not part of this Agreement. Notwithstanding the foregoing, the City of La Quinta shall be a third party beneficiary of this Agreement. r 3. Other Aereements. A. Indemnity for. City. Each party to this Agreement agrees to and shall (with liability to be joint and several) defend, indemnify and hold the City of La Quinta and its officers, employees and agents ("City Indemnitees") free and harmless from any and all causes of action, claims, obligations, losses, liabilities, judgments, damages, injuries,etc., including reasonable attorneys' fees and costs of litigation (collectively "Claims") arising out of and/or in any way relating to (i) any City determination, under Sections 104.2.7 and/or 1.4.2.1 of the Code or otherwise, that Code requirements maybe satisfied. and/or that occupancy permits may be issued based upon compliance with the provisions of this Agreement, or (ii) the construction, use, maintenance and/or operation of buildings, facilities and easement areas in the manner provided and/or contemplated herein. In the event the City Indemnitees are made a party to any action, lawsuit, or other adversarial proceeding in any way involving the activities described in (i) or (ii) above, each party to this Agreement shall provide a defense to the City Indemnitees, or at the City's option, reimburse the City Indemnitees their costs of defense, including reasonable attorneys' fees incurred in defense of such claim. In addition, each party shall be obligated to promptly pay any final judgment or portion thereof rendered against the City Indemnitees. B. Concurrent Completion of Building Shells for Parcel 4 and 5 Buildings. Each party to this Agreement acknowledges and agrees that notices of completion (or other evidence of completion acceptable to the City) must be filed /recorded with respect to "building shells" for both the Parcel 4 Building and the Parcel 5 Building before any tenant or other occupancy permit is issued for either the Parcel 4 Building or the Parcel 5 Building. C. Operational Compliance with Code. Except to the limited extent provided herein, subsequent to construction all operation of Buildings, balconies, staircases and elevators shall be in compliance with the Code requirements of the City. Each party to this Agreement acknowledges and agrees that total or partial damage, destruction or closure of one (or two) of the three Buildings may have an adverse impact on the remaining Buildings. By way of example only, if second storyuses in either the Parcel 3 Building or the Parcel 5 Building require elevator access, and total or partial damage, destruction or closure of the Parcel 4 Building terminates such elevator access, such uses may have to be terminated. 4. General Provisions. A. Heirs, Successors and Assigns. The easements, rights and obligations herein created shall be binding upon and inure to the benefit of the heirs, successors -and assigns (with respect to fee title ownership) of each of the parties hereto. B. Enforcement. The easements, rights, obligations, covenants,. terms and provisions contained in this Agreement may be enforced by proceedings at law or in equity in accordance with the intents and purposes contemplated herein. C. Governing Law: This Agreement is executed and intended to be performed in the State of California, and the laws of that State shall govern its interpretation and effect. D. Captions. The captions or headings of paragraphs in this Agreement are for convenience only and are not to be interpreted as controlling, or affecting the subject matter contained thereunder. E. Severability. If any term, provision, covenant or condition or this Agreement is held by a court of competent j urisdiction to be invalid, void or unenforceable, the remainder of the Agreement shall remain in full force and effect and shall in noway be affected, impaired or invalidated. F. Attorney s� Fees. In the event of any controversy, claim or dispute between the parties hereto, arising out of or relating to this Agreement, or the breach thereof, the prevailing party shall be entitled to recover from the other party reasonable expenses, attorneys' fees and costs. G. Complete Integration. This instrument completely integrates all terms of the arrangement between the parties with respect to the matters continued herein, and no other agreements, statements., representations or promises made by either party, or by any employee, officer, or agent of either party, which are not contained in this instrument, Agreement shall be binding or valid. H. Cooperation. Each party agrees to and shall do and perform such other and further acts and execute, acknowledge and deliver such other and further documents as may be reasonable necessary, expedient or convenient to effectuate the intents and purposes of this Agreement. I. Incorporation of Exhibits and Recitals. All Exhibits attached hereto and all recitals referenced herein are incorporated into and made part of this Agreement as though set forth in full. J. Necessity of City Approval. This Agreement is contingent upon and shall not be effective until it is approved by the Building Department and City attorney of the City of La Quinta. K. No Amendment or Revocation without City Approval. This Agreement may not be amended or revoked in whole or in part or in any mariner without first obtaining the prior written consent of the City of La Quinta or its' designated official.
