Burdened Property Owner's obligation of maintenance of the Storm Drain Improvements shall include, without limitation, the obligation to cause an inspection be made of the Storm Drain Improvements to ensure that such Storm Drain Improvements are free of unreasonable accumulations of debris as follows:, (a) annually, and (b) after a major rainstorm in which at least two and four tenths (2.4) inches of rain falls in any twenty-four (24) hour period (singularly and collectively the "Inspection"). 'Burdened Property Owner shall provide to Benefited Parties a written summary of the scope and findings of the Inspection within ten (10) days of completion of such Inspection. Nothing contained herein shall limit or otherwise prohibit, and the Benefited Parties hereby expressly reserve and retain the right, to construct, modify and/or maintain at the Benefited Parties' sole expense, storm .drain improvements within the Storm Drain Easement Area, in addition to those Storm Drain Improvements required to be constructed and maintained by Burdened Property Owner, at Burdened Property Owner's expense as described hereinabove (the "Additional Storm Drain. Improvements"). The scope of the Burdened Property Owner's obligations to maintain the Storm Drain Improvements as described hereinabove shall also extend to the Additional Storm Drain Improvements and Burdened Property .Owner agrees to maintain the Additional Storm Drain Improvemerim in the same manner as. the Storm Drain Improvements. Benefited Parties agree to reimburse the Burdened Property Owner for all reasonable additional maintenance costs that Burdened Property Owner incurs in excess of those maintenance costs that -Burdened Property Owner incurs or should have incurred in performing its maintenance obligations for the Storm Drain Improvements, arising from Burdened Property Owner's compliance with Burdened Property Owner's Additional Storm Drain Improvements maintenance obligations. (b) Failure to Perform Work. If Burdened Property 'Owner for any reason fails 'to perform the Work in a timely fashion, the Benefited Parties, including Grantor for as long as Grantor continues to be the fee owner of any portion of the Benefited Property, may make a written demand upon the Burdened Property Owner to timely accomplish such Work. If the Burdened. Property Owner fails, for any reason, to commence the performance of the Work within two (2) days of delivery of such written demand, and to thereafter diligently prosecute the same to completion, such Benefited Parties shall have the right, but not the obligation, to perform the Work., An amount equal to one hundred ten percent (110%) of the actual costs incurred by Benefited Parties in performing such Work shall be due and payable by the Burdened Property Owner to such Benefited Parties within ten (10) days of a request therefore by such Benefited Parties. (c)ntry- Entry may be made upon the Storm Drain Easement Areas without notice only in the event of emergency repair involving potential danger to life or property. Entry for the performance of any of the Work as a result of Burdened Property Owner's failure to timely perform the Work, may be made upon written notice of not less than two (2) days. The easement for ingress and egress shall be over the Storm Drain Easement Areas only and shall be exercised with as little inconvenience. to the Burdened Property, Owner as reasonably possible. Access to the Storm. Drain Easement Areas to Accomplish the performance of the Work shall be had from the portion of the Burdened Property that is contiguous to such Storm Drain Easement Area to the extent reasonably possible. Permission to use any other portion of the. Burdened Property for such purposes shall be EXHIBIT"A Page 3 reasonably given subject to control of the Burdened Property Owner in accordance with Section 813 of the California Civil Code. (d) Commencement. The obligations of the Grantee or Burdened Property Omer to improve, construct, manage, operate, control, maintain, repair, restore and replace the Storm Drain Improvements within the Storm Drain Easement Areas described in this Storm Drain Easement shall commence upon recordation of this Deed in the Official Records of the Riverside County Recorder.. 4.3 General Conditions. (a) Enforcement. The terms and conditions of the Storm Drain Easement shall run with the Real Property and shall inure to the benefit of and be enforceable by the Benefited Parties, their respective legal representatives, successors- and assigns, and the Benefited Parties shall have a right of action to enforce by proceedings at law or in equity, all conditions and covenants imposed by the provisions of this Storm Drain Easement, or any amendment thereto, including the right to prevent the violation of such conditions and covenants and the right to recover damages for such violation. (b) Repair of Damage. Any improvements, upon the Burdened Property that, are damaged or destroyed �in whole or in part as the result of the use of the Storm Drain Easement Areas for the easement purposes described herein ("Damaged Improvements") shall be repaired, replaced, restored or reconstructed (the "Repair Work") at the sole cost and expense of the Burdened Property Owner as soon as reasonably possible following such damage or destruction to the condition that existed prior to such damage or destruction excluding any Damaged Improvements arising from the gross negligence or willful misconduct of the. Benefited' Parties. If Burdened Property Owner fails; for any reason, to commence the performance of the Repair Work to the Damaged Improvements within ten (10) days of delivery of a written demand by the Benefited Parties, and to thereafter diligently prosecute the same to completion, such Benefited Parties shall have the right, but not the obligation, to perform the Repair Work. An amount equal to one hundred ten percent (I 10%) of the actual costs incurred by Benefited Parties in performing such Repair Work shall be due and payable by the Burdened 'Property Owner to such Benefited Parties within ten (10) days of a request therefore by such, Benefited Parties. (c) Mechanics Liens: Benefited Parties shall not suffer or permit to be enforced against any portion of the Burdened Property any mechanics', materialmen's, contractors' or subcontractors' liens arising out of any act or omission of the Benefited Parties. Benefited Parties shall cause any of such liens to. be removed or the enforcement thereof stayed (whether by ;payment, posting of a property bond, or otherwise) before the foreclosure of any such liens against any:such portions of the Burdened Property. (d) Indemnity. Property (as such drainage requirements may change from time to time) or out of the Burdened Property Owners" activities in discharging its obligations hereunder, or out of any defect in the construction or the design of the Storm Drain Improvements constructed and/or installed by the Burdened Property Owner upon the Property, excluding that portion of any Claims arising from the gross, negligence or willful misconduct.of the Indemnified Parties. 5. For Benefit of Benefited Property. KSL Resorts, or any successor in title to the Benefited Property (the "Benefited Property Owner"), has the unilateral right, to install any trees or other landscaping or construct any improvements at any location within the Benefited Property which could be in near proximity to the Property, or any portion thereof, adjoining the Benefited Property; (d) acknowledges and agrees that nothing contained herein shall be construed to limit or restrict in any way, the right of the Benefited Property Owner to make any and all modifications, additions, deletions and/or alterations to the Benefited Property, or any golf course facilities as such Benefited Property Owner deems appropriate, in its sole and absolute discretion, °including, but not limited to, relocating fairways, holes, tees and/or golf cart paths; (e) . acknowledges and agrees that KSL Resorts, and any successor Benefited Property Owner, makes no warranties or representations that a golf course will be developed and constructed adjacent to the Property or that, if so developed and constructed, will' be maintained and operated in the manner that existed or was contemplated at the time of the recordation of these CC&R's; and (f) acknowledges and agrees that the Benefited Property is separate from the Property, that it does .not comprise any common area or common property that is to be available for the common use of the Property Owners, and that. the Property Owner shall not have any special right or privilege to enter upon or use the Benefited Property (including without limitation, no right or privilege to enter upon or gain access to the Benefited Property for EXHIBIT"A" Page,8 Grant Deed.doc 10/18/02 construction purposes) or the golf course facilities which may be developed thereon, other than pursuant to such terms and conditions as are offered to members of the general public from time to time by the Benefited Property Owner or for the easement purposes set forth herein. 3.3 Prohibited Uses/,Restrictions.. The Property shall be subject to the condition, covenant and restriction (the "Restriction") that neither the Property nor any part thereof shall be used in whole or in part, for purposes of (a) the development and sale of residential units to the home -buying public pursuant to a Final Subdivision Public Report issued by the DRE ("Residential Units"), and/or (b) operation of a hotel, motel, travel lodge, resort or other transient occupancy facility. Provided, however, Benefited Parties acknowledge that Grantee intends to construct on the Property, a residential rental project all or a part of which Grantee will make available only for rental use for a minimum term of one month ("Residential Rental Units"). Benefited Parties agree that notwithstanding anything to the contrary contained hereinabove, that Grantee may (x) develop and operate, Residential Rental Units on the Property, on condition that, and only if, the fee ownership of each of the Residential Rental Units are held by a single individual and/or entity and the Residential Rental Units are only available for rental use for a minimum term of one month and/or (y) with Benefited Parties' prior written consent which consent shall not be unreasonably withheld, develop and sell Residential Units which are subject to a recorded condominium plan ("Residential Condominium Units"). Benefited Parties may condition their prior written approval of the development and sale of Residential Condominium Units upon Grantee granting to Benefited Parties a right of first refusal to acquire any such Residential Condominium Units, under terms and conditions reasonably acceptable to both Grantee and Benefited' Parties. For purposes of ownership of Residential_Rental Units by an entity, any entities with common ownership or "common control" (collectively, "Common Entities"), shall be treated as a single entity. The tenor "common control" as used above, shall mean having an interest in an entity which in the aggregate gives the owner thereof, the right to control the management and policies of that entity. This Restriction shall be a covenant running with the land as described in California Civil Code Section 1468 and shall terminate as provided in Section 3.4 below. The Property shall be the property burdened by this Restriction and the Benefited Property shall be the property benefited by the .Restriction. The Restriction .shall be binding upon all parties acquiring any right or title in the .Property or any portion thereof and shall inure to the benefit of Grantor and its successors and assigns who may acquire an interest in all or any portion of, the Benefited Property. All rights, options and remedies under this provision are cumulative, and no one ofthem shall be exclusive of any other, and Grantor and/or the Benefited Parties shall have the right to pursue any one or all of such rights, options and remedies or any other remedy or relief 'which may be provided by law whether or not stated in this Grant Deed, including, without limitation, the right to prevent the violation of the Restriction and the right to recover damages for such violation by any, of the Grantee Parties. Failure of the Grantor and/or the Benefited Parties to enforce the Restriction in any certain instance or on any particular occasion shall not be deemed a waiver of such right as to any future breach of the Restriction. If any action :shall be instituted in connection with this Restriction, the party prevailing in such action shall be entitled to recover. from the other party all of its costs of action including reasonable attorneys' fees as fixed by the court therein. Energy Commission (CEC). Using the approved MicroPas 6.01 Performance Calculation Software each building was modeled separately at all four orientations. The resulting energy use for the worst-case exposure was then compared to the allowed energy budget. Because the proposed energy budget`was found to be lower than that allowed by the Standard. Design Energy Budget; the building complied with the current Title 24 Residential Requirements using the following requirements:. 1. R-30 insulation in attic space, 2. R-13 insulation in exterior wall; 3. R-19 insulation over commercial retail spaces; 4, Radiant barrier with an emissivity less than 0.05 and must be installed to cover the roof trusses, rafters, gable end walls and other vertical attic surfaces; and must meet attic ventilation ,criteria; 5. R-42 duct insulation; 6. Vinyl framed with dual pane glass for all units; ❑ Operable windows with U -value of 0.60. ❑ Sliding glass door with U -value of'0.55. L3 Fixed windows with U -value of 0.57. ❑ Solar heat gain for all windows and doors to be 0.55. 7.
