THIS AGREEMENT is between Mr. & Mrs. Malcolm Lee("Owner"),

a Califorrda corporation ("Contractor") whose address is 79-752 Morris Ave., La Quinta, CA

1. Description of Work: Contractor proposes to furnish limited materials, equipment and.labor
necessary for the completion of the project described herein, (the "Project"'). Project
specifications are set forth herein and include the following: Design Build Landscape.
• Mobilization.
Removal of vegetation & disposal.
• Re -contour back yard with 1' - 2' mounding.
• Supply & Install 20 tons of "Dos Rios" cobble.
• Supply and Install 25 - 5 gallon shrubs.
• Supply and Install 12 tons of Cresta Boulders.
• Enlarge concrete patio area 350 sy.ft. Gray color.
• Construction of water feature, _ 250 sq.ft.
• Install new irrigation system for existing plants and new plants.
• Remodel Barbeque area. Owner to provide new BBQ.
• Construction of new block pilasters with wrought iron — 891.f,. x 6' high.
• Install new landscape lighting — 15 lights.
All material is guaranteed to be as specified, and the above work to be performed and completed in a good,'
expeditious, and workmanlike manner. Should this proposal not be accepted by. Owner within 30 days of the.
date of Contractor's signature, then Contractor,may'at Contractor's sole option revoke this proposal and submit
a new proposal with current pricing.
2. Cost: The total cost for the above specified work is $19,737. .

3. Pavments: Payment of 10% of the total cost ofthe work or $1,000., whichever isIess,
is to be submitted to Contractor upon execution'of this Agreement. Contractor is under no
obligation to proceed with the work to be performed tinder this Agreement until said
payment is made. Invoices will be submitted to Owner as set forth on Schedule "A", attached
hereto. If. payments are not made by Owner as specified on Schedule "A" attached hereto, then
in addition to all other rights under this Agreement, Contractor may charge interest at the. legal
rate beginning on the first day that payment is due by Owner. and not received by Contractor.
4. Right to Stop Work: Contractor may stop work if any payment, including any
payment :For extra work, is not made to Contractor as set forth under this Agreement. If such
nonpayment occurs, Contractor may keep the job idle until all payments are received, and is
under no obligation to perform further work until required.. payments are made. Any delays due
to non-payment will be considered to have been caused by Owner:
5. Changes In Scone of Work: If Owner directs any modification or addition to the work
covered by this Agreement, the cost shall be added to the Agreement price. All provisions of this
Agreement shall. apply to any such changes. Modifications or additions to the scope of work set
forth in this Agreement shall be made only bywritten Change Order issued by Owner and signed
by Owner and Contractor. Invoices for any work or material provided pursuant to a Change
Order shall be paid for in the same manner and upon the same schedule as all other invoiced
work for the Project. Expense incurred because of unusual or unanticipated underground
conditions shall be paid for by Owner as extra work.

6. Project Commencement and Completion: Contractor shall begin work within 10 days of
execution. of contract and shall prosecute the work diligently to completion. Contractor expects and anticipates
that the work to be performed under,this Agreement shall be completed in 35 working days from notice
to proceed. Substantial commencement of the work to be performed under this agreement shall be deemed to
have occurred once Contractor's employees begin work on the premises. Failure of the contractor without
lawful excuse to substantially commence work within 20 days from the approximate date specified in this
Agreement is a violation of the Contractors License Law.
7. DelUs: Contractor shall be excused for any delay in commencement or completion of
the work specified under this Agreement caused by acts of God; acts of Owner, of Owner's
agents, or of Owner's employees or independent contractors; inclement weather; labor trouble;
acts of public utilities; changes requested by Owner; Owner's failure to make payments as
specified under this Agreement; or other contingencies unforeseen by Contractor and beyond its
reasonable control.
8. Damages for Delays: If completion of the'Project is delayed beyond the time specified
in this Agreement, and the delay is caused by Owner's failure to make the premises available to
Contractor or to do all. required of Owner to have the premises ready for Contractor to diligently
perform the Project, or. by Owner's failure to promptly pay invoices submitted by Contractor,
Owner agrees that Owner shall pay to Contractor any and all sums expended by Contractor for
rental of outside equipment rented or leased by Contractor for use on the Project. Contractor
shall bill Owner for all sums due and owing for the rental or lease of outside equipment at
Contractor's sole discretion, and Owner agrees to pay said sums upon presentation of invoice -by
Contractor.

9. Insurance: Contractor maintains all appropriate insurance including workers'
compensation and employer's liability insurance; commercial general liability insurance covering
all operations; automobile liability insurance, including coverage for all owned, hired and non -
owned vehicles.
10. Final Payment Waives Claim: Owner, by making final payment- under this contract,
waives any claim that it may have against the Contractor for damages from defects that are
known to Owner or apparent from reasonable inspection at the time final. payment is made.
I I_ Attorney's Fees and Costs: In any dispute arising from'this Agreement, whether at
law or equity, the prevailing party shall be entitled to actual attorney's fees, costs and other
expenses incurred in bringing or defending the action. Should Contractor I* required to initiate
lien proceedings or take collection action in order to obtain payment, Owner agrees that Owner
shall be liable for all costs and expenses incurred therein, -including attorney's fees and costs_,
12. Assignment: Neither party may assign this contract, or payments due under the
contract, without the other party's written consent Should Contractor consent to such
assignment, 'such consent shall not in any manner by considered as consent to any other
assignment or to create' any obligation of Contractor to consent to additional assignments, nor
shall Contractor's consent to assignment serve to modify or terminate any of Owner's obligations.

f 13. Contractor's License Notice: Contractors are required by law to be licensed and
regulated by the Contractors' State License Board which has jurisdiction to investigate
complaints against contractors if a complaint regarding a patent act or omission. is filed within
four years of the date of the alleged violation. A complaint regarding a latent actor omission
pertaining, to structural defects must be filed within 10 years of the' date of the alleged violation.
Any questions concerning a contractor may be referred to the Registrar, Contractors' State
License Board, P.O. Box 26000, Sacramento, CA 95826.

15. Governing Law: This Agreement is entered into in the' State of California, and shall
be construed, interpreted and enforced according to the laws of the. State of California. Any
dispute arising from this Agreement shall be brought and venued in the Superior Court of
California. County of Riverside, Indio Branch.
16. Invalidity: Should any provision of this Agreement be waived or declared by a court
of competent jurisdiction to be invalid, such waiver or invalidation shall in no way invalidate or
constitute a waiver of the remaining provisions of this Agreement.
17. Right To Cancel Transaction: "You, the buyer, may cancel this, transaction at any
time prior to midnight of the third business day after the date of this transaction.; Seethe attached
notice of cancellation form for an explanation of this right."
