WHEREAS, grantee is the owner of those certain parcels of real
property located in the County of Riverside, California ("Grantee's Property"),

more particularly described in Exhibit "B" attached hereto; and
WHEREAS, Grantor has agreed to quitclaim unto Grantee, its legal
representatives, successors and assigns, a right and easement to use Grantor's
Property for street, utility and other related purposes.
NOW, THEREFORE, in consideration of the mutual covenants and
agreements herein contained and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged, the parties hereto
agree and declare as follows:
1. Pursuant to and in confirmation of the above recitals, Grantor,
for itself, its heirs, legal representatives, successors and assigns, does
hereby quitclaim to Grantee, its legal representatives, successors and assigns,
exclusive rights, in perpetuity, on, under, over, across and through Grantor's
Property (a) for pedestrian and vehicular access, ingress, egress and passage;
and (b) for the construction, installation, use, maintenance, repair and
replacement of, and access to, sewage, water, electrical, gas, cable television,
telephone and other utility lines, facilities and works.

2. The rights and easements granted herein shall run with the land
for all purposes and shall burden and affect Grantor's Property, as the servient
land, and shall be appurtenant to and for the benefit of Grantee's Property, as
the dominant land. It is further agreed that Grantee shall have the express
right, in its sole discretion, to expand the dominant land benefited hereunder
to include any lands adjacent to or in the vicinity of the Grantee's Property,
including, without limitation, that parcel of real property conveyed to Hensley
and Cunningham Development Company, which conveyance was recorded on December
28, 1979, as Instrument No. 275856, in the Official Records of Riverside County,
California.
3. Each of the grants described in Section 1 of this Agreement shall
include the right of the Grantee to construct and thereafter to maintain, repair
and replace, at its sole cost and expense, such paths, roads, roadways, streets,
conduits, pipes or other Improvements necessary or appropriate to the design,
development, construction or use of the respective easement. As used in this
Agreement, the right to construct, maintain and use shall authorize the Grantee
to construct, use, maintain, operate, repair, replace or remove such facilities
or equipment, and shall include any rights incidental thereto.
4. In connection with the rights and easements granted herein,
Grantee hereby covenants to Grantor as follows:.
•a. During the construction or improvement of Avenida Fernando
by Grantee, underground water, electric, gas and television cable services
shall be placed or located within the Avenida Fernando right—of—way (or
within an adjacent public utility easement) and, thereafter, shall be,
available for use by Grantor in accordance with the rules, regulations,
rate schedules, etc., of the utility or other entity controlling such
service.
b. All pipes, cables and other utility lines hereafter placed
on Grantor's Property by Grantee shall be placed underground.
C. In the event a security or guard gate is hereafter
constructed on Avenida Fernando between Grantor's Property and Eisenhower
Drive, Grantor shall have a free right of access through such gate at all
times.
d. Upon the construction or improvement of Avenida Fernando by
Grantee, Grantee agrees to place a standard size "curb cut" on Avenida
Fernando to accommodate Grantor's presently existing driveway.
e. While the grants contained herein shall be exclusive in
favor of Crantee,. its legal representatives, successors and assigae,

6. All exhibits hereto are hereby incorporated herein by reference
and made a part hereof.
7. This document may be executed in one or more separate
counterparts, each of which, when so executed, shall be deemed to be an
original. Such counterparts shall, together, constitute and be one and the same
