attached hereto and made -a part hereof, to David Heimark and
Teresa Heimark (the "Buyer") for $72,000.00 and escrow closed on
October 10, 1991. The entire proceeds from the sale of said
parcel, net of escrow fees and closing costs, were paid by
escrowholder.directly to the Internal Revenue Service ("IRS") to
pay gift taxes mistakenly believed to be owed by the Estate. The
gift taxes were believed to be owed as a result of the gifts of
the Real Property made by J. MARY MARTIN pursuant to the Power of
Attorney. The Transferees have an interest in the net proceeds
received from the sale of such parcel described on Exhibit 11B11
attached hereto and made a part hereof.
9. On or about June 20, 1991, the Transferees sold that
certain parcel of the real property described on Exhibit "C"
attached hereto and made a part hereof, to Mary C. Marshall (the
"Buyer") for $60,000.00 and escrow.closed on June 21, 1991. The
entire proceeds from the sale of said parcel, net of escrow fees
and closing costs, were paid by escrowholder directly to the IRS
to pay gift taxes mistakenly believed to be owed by the Estate.
The gift taxes were believed to be owed-as'a result of the gifts
of the Real Property made by J. MARY MARTIN pursuant to the Power
of Attorney. The Transferees have an interest in the net
proceeds received from the sale of such parcel described on
Exhibit "C" attached hereto and made a part hereof.
NOW, THEREFORE, IT IS ORDERED as follows:
1. William H. Martin and Mary Martin, Trustees of The
Martin Family Trust dated November 19, 1990, Robert E. Scott,
Trustee of The Loys E. Scott Living Trust dated November 13,
1987, and Ruby M. De Kay, Trustee Under Declaration of Trust for

The De Kay Family Trust dated July 16, 1990, shall immediately

convey title to the Real Property (excluding the parcels

described on Exhibits "B" and "C") to Petitioners, as personal,

necessary -in order to fully complete the conveyance.
