SPECIAL CONDITIONS --PERMIT NO. 1492
--- Borrow Site Permit ---
The following conditions shall be met to the satisfaction of the
City Engineer.
1. Permittee shall submit to the city for approval a permanent
erosion control plan for the entire area to be disturbed.
2. Permittee shall be responsible for providing continuous dust
and erosion control. Permittee shall provide to the city name/s
and phone number/s of individual/s responsible for maintaining
fugitive dust control after hours, weekends, holidays, etc.
3. Streets shall be kept clean. They shall be completely
cleaned at the end of the working day and more frequently if
required.
4. Contractor shall comply with the local noise ordinance.
Operation and maintenance of equipment within one half mile of
human occupancy shall be performed only during the time periods
as follows:
October 1st to April 30: Monday -Friday 7:OOa.m.-5:30p.m.
Saturday 8:OOa.m.-5:OOp.m.
May 1st to September 30: Monday -Friday 6:00a.m.-7:OOp.m.
Saturday 8:OOa.m.-5:OOp.m.
Work shall be prohibited anytime on Sunday and federal
holidays,.
5. Permittee shall assume responsibility for repair of any
pavement breakdown at the haul road access to any public or
private street and for any damage to other City streets or
facilities.
6. Any on-site haul road shall be effectively destroyed at the
conclusion of the work to prevent use by unauthorized vehicles.
7. Construction traffic shall be permitted to exit the borrow site
from Ave 47 or 48 and enter the Walmart site from Washington
St. subject to the approval of the City Engineer. Construction
traffic shall not be allowed to cross Hwy. 111 from Adams St.
Advance warning signs and traffic control shall be installed
and maintained in accordance with Cal Trans Standards.
Permittee shall submit a traffic control/ circulation plan for
approval by the City Engineer prior to the start of any work.
8. Permittee shall submit to the city a copy of the letter from
the owner of the borrow site authorizing the permittee to
export material. Permittee shall comply with all conditions of
the letter/agreement between the property owner and A.J. Happ.
9. Prior to the clearing and grubbing operation permittee shall
pre -water the area to be cleared to prevent airborne dust.
10. The water tower on Adams St. near Ave 47 shall 'be removed
within 30 days after it has been installed.

AGREEMENT
This Agreement is dated July 20, 1992 by and between A.J.
Happ Excavation & Paving (AJH) and Newco Development Company
(Newco).
1. Removal of Soil. Newco owns the property (Property)
located on Highway 111 in La Quinta, California. Newco hereby
grants to AJH its partners, if any, parents, affiliates,
subsidiaries, if any, and the officers, directors, employees,
designees, representatives, agents, licensees, contractors,
guests, invitees and any and all other persons or entities
authorized by AJH (Authorized Persons), a non-exclusive right and
license (License) to enter the Property, or any portion thereof,
for the purpose of removing not more than 24,000 cubic yards of
soil. All .of the foregoing activities will be conducted at the
sole cost and expense of AJH.
2. Term. AJH has the License to enter the Property
beginning on the date of this Agreement and ending on the earlier
of the removal of not more than 24,000 cubic yards of soil from
the Property, September 30, 1992 or any other termination of this
Agreement (Term).
3. No Changes. Except for removal of the soil, AJH will
not make any alterations, improvements, additions or
installations in or about the Property during the Term.
4. Insurance. During the Term, AJH will obtain and keep
in force a policy or policies of combined single limit, bodily
injury and property damage insurance in the amount of $1,000,000
per occurrence insuring AJH against any liability arising out of
the use of the Property by AJH. AJH will carry adequate worker's
compensation insurance.
5. Certain Activities. The soil will be removed in such
manner that there will be no injury to the Property, or to the
drainage patterns on the Property, or in such a manner that will
cause drainage and/or erosion from the Property to affect
adversely the Property or.any adjoining real property. The soil
will be removed in accordance with plans provided to AJH by
Ernest J. Freggiaro of Cashdan-CBS. AJH will not take any
action, or permit any action to be taken, which would result in
any injury to any person or property upon the Property. All
state, county and local laws and rules and regulations
promulgated pursuant thereto.
6. Hazardous Materials. As used in this Agreement, the
term "Hazardous Materials" means the following: asbestos, PCB's
(whether or not highly chlorinated), radon gas, radioactive
materials, explosives, chemicals known to cause cancer or
reproductive toxicity (whether or not occurring naturally)
hazardous waste, toxic substances or related materials; those
substances defined as "hazardous substances," "hazardous
materials," "hazardous waster," and/or "toxic substances," in the
comprehensive Environmental Response, Compensation and Liability
Act of 1980, as amended, 42 USC 9601, et sea., the Hazardous
Materials Transportation Act, 49 US et seg., and in the
regulations adopted and publications promulgated in connection
therewith and in similar State of California, Riverside County
and City of La Quinta ordinances and the regulations adopted and
publications promulgated in connection therewith. AJH will not
permit, nor cause nor allow any Hazardous Materials to be placed
on the Property, used on the Property, transported to or from the
Property, recycled on the Property, stored,on the Property or to
be brought on the Property for any period of time.or for any
reason.
7. Indemnification. AJH indemnifies and holds Newco
harmless against any and all liabilities, losses, claims, costs,
demands, damages, deficiencies, expenses or costs (including
attorneys' and accountants' fees and costs and court costs)
arising from or in connection with any acts or omissions of AJH
or any Authorized Person on or with respect to the Property
including but not limited to, for any damage to person or
property on the Property or stemming from Hazardous Materials.
AJH's obligation for indemnification survives the any termination
of this Agreement.
8. Termination. This Agreement may be terminated by Newco
upon. 24 hours written notice to AJH in the event of any breach of
this Agreement by AJH.
This Agreement.is made as of the date written in the first
paragraph.
