Overland, Pacific & Cutler (OPC) understands the City of La Quinta (City) is soliciting proposals from
qualified firms to provide construction management and administrative support services. We are pleased
to submit this proposal to provide the requested services and are committed to providing the City with the
necessary resources to manage its future projects.
In the submittal that follows, we will provide OPC’s qualifications to provide management and administrative
services. We will also share the professional resumes of our in-house proposed team members, and our
subconsultant, Pro-Active Engineering, who will assist with Design Services. I will act as the Principal-in-
Charge of the team. I am authorized to financially commit the firm and I will be responsible for the ultimate
success of your assignments.

2. Statement of Qualifications
Overland, Pacific & Cutler, Inc. (OPC) is a California Corporation founded in 1980 that
specializes in project management, administration, and real estate related services for
public-agency projects. Today, we maintain 7 offices throughout California, 1 of fice in
Nevada, and 1 office in Texas. At OPC, our people are full-time employees with
excellent benefits. Our employees have diverse ethnic backgrounds and multilingual
capabilities. We are committed to providing outstanding client service, professional a nd
knowledgeable personnel, and efficient business processes. Our employees are made
up of approximately 120 management, acquisition, appraisal, relocation, and utility coordination

OPC has the staff, experience, and resources to provide the City with the assistance necessary for its CIP
Project Management and Administrative Support Services requirements. We have performed similar scope
on projects (with great success) for the RCTC State Route 91 Corridor Improvement, SANBAG Devore
Interchange, City of Bakersfield Centennial Corridor Improvement Project , and various projects for both
the Community Redevelopment Agency of Los Angeles (CRA/LA) and the City of Long Beach.

Overview
Since 1986, Mr. Everett has been involved in virtually every aspect of real estate consulting pertaining
to right of way and real property acquisition, relocation assistance, and property management services.
His experience includes program and project man agement for public improvement, community
development, school district, transportation, and private engineering firm projects. He plans, manages,
and implements client programs under federal, state, and local guidelines.
As CEO, Mr. Everett sets company goals and objectives. By implementing creative planning, he
anticipates the needs of the Firm to better serve OPC’s clients. He also focuses on selecting and retaining
the most highly-qualified staff in the industry, fostering an atmosphere of success and company growth.
He is responsible for driving change within the organization, as well as presiding over the organization's
day-to-day operations.
Project Examples
▪ Los Angeles World Airports (LAWA), Noise Mitigation Program. Principal-in-Charge for
the largest voluntary acquisition and relocation program in the nation at the Los Angeles
International Airport. The team successfully acquired 100 properties totaling over 450 units. OPC
assisted owners and contractors in coordinating pre-close of escrow inspection requirements and
repairs. Additionally, OPC worked directly with the Los Angeles County Tax Assessor’s Office to
assist home owners with property tax base transfers. On a most aggressive schedule, OPC
provided relocation services for over 1,400 residential cases including 150 government subsidized
households. By developing a relationship with numerous Housing Authorities and various property
managers, OPC’s specialized referral department built a comprehensive list of over 4,500 rental
units which included unit amenities and photographs.
▪ City of Burbank, Elm Avenue, North Naomi, West Verdugo, San Fernando Road,
Thornton Road. Provided essential management oversight on multiple projects for the City of
Burbank. Services included relocation plans, residential relocation services (both permanent and
temporary) and acquisition. Project contracts have totaled over $700,000.

▪ City of Pico Rivera, Passons Grade Separation. The City of Pico Rivera partnered with the
City of Santa Fe Springs, Burlington Northern Santa Fe Railroad (BNSF), Caltrans Division of Rail,
and several other transportation agencies to secure funding for the $43 million grade separation
project. Provided project management and oversight for this grade separation project which
allowed Passons Boulevard to pass under the railroad tracks, eliminating a dangerous c rossing
where many residents had been injured or killed. Handled the legal description and plat map
preparation, appraisal, title clearance, property acquisition, and relocation assistance for all
parcels required for the project, including part and full takes and approximately 100 relocations
under FHWA oversight. Of the part takes, 2 commercial centers, a school, railroad, MTA, and
single family properties were affected. A 90-unit building was acquired and all occupants relocated
without ever issuing a 90-day notice to vacate.
▪ City of Oxnard, Rice Avenue Interchange Realignment. Directed the activities for 56
mixed-use, full- and part-take acquisitions, 30 homeowner and tenant relocations, and 18
business and non-profit organizations relocations. Managed the Las Cortes Project, also in the
City of Oxnard, which involved temporary relocation for a 260-unit building being demolished and
rebuilt in the City, involving approximately 50 permanent displacements.
▪ City of Glendale, State Route 134 Freeway Realignment. Project Manager for this State
Route project which involved 8 complex industrial part -take acquisitions. The project was
performed under the supervision of Caltrans, and involved turn-key services including appraisal,
right of way engineering, project management, and eminent domain support. This unique project
required major takes from not only Glendale but Los Angeles city departments, including flood
control and railroad, affecting the Griffith Park Trust.
▪ Los Angeles Unified School District, Various Projects. Provided management of the
appraisal, title, escrow, acquisition, relocation, interim property management, and demolition
services for the School District’s projects which involved over 300 acquisitions, 250 residential
and 80 business relocations. OPC was the major consulting firm for LAUSD’s extensive school site
development program and aided the district in its school site selection process by providing many
“in-house” consultants that helped the district with oversight and management of its pr ograms
and its relocation plan preparation. In round numbers, OPC helped with 40 school sites, acquired
approximately 1,000 properties, and relocated approximately 4,000 households and businesses.
▪ Lynwood Unified School District, Multiple Project Sites. As Principal-in-Charge/Program
Manager, provided full-service program management for seven school sites that included 100
acquisitions and 350 relocations. The program management included: Title coordination,
appraisal coordination, acquisition, relocation, and property management services, in addition to
representation to the State of California Department of General Services and the Office of Public
School Construction regarding funding matters and bond applications.
▪ City of Montclair, Grade Separation Project. This project involved 23 full- and part-take
acquisitions. Additional services provided included 3 business relocations, appraisal, and escrow
coordination.

▪ Glendale Housing Authority, Multiple Project Sites. Provided project management on
several Housing Authority projects including appraisal oversight, relocations, and other right of
way services.
▪ City of Baldwin Park, Various Projects. Provided project management on several projects
including the Downtown Revitalization including relocation plan creation and on-call support for
public outreach projects.
▪ San Bernardino Economic Development Agency, Multiple Projects. Managed various
projects for the City of San Bernardino Economic Development Agency involving 45 full-take
acquisitions.

County of Los Angeles Department of Public Works, 1990-2001
For 11 years, served the County of Los Angeles Department of Public Works starting as a Real Property
Agent and progressing to become the Principal Real Property Agent with oversight responsibility for all
acquisition, excess property, and property management oversight. Responsible for the oversight of all
County of Los Angeles Department of Public Works, which included all County Flood, Waterworks,
Airport and Road facilities, property acquisitions and supervision of a staff of 15 property agents.
Planned work programs, developed procedures, made appea rances before the Board of Supervisors to
justify recommendations concerning property issues. Experience at the County included preparation
and/or review of complex real property transactions, recommendations and reports for the Board of
Supervisors and other governmental agencies. Responsible for the implementation of auction, sales,

Overview
As Manager of OPC’s Special Services Group, Mr. Cosper oversees teams that provide Construction
Management, Administrative Support Services, Right of Way Engineering, Estimation, Property
Management, Property Services, and GIS Mapping. He is responsible for carrying out and implementing
a wide array of services and functions related to the implementation of major right of way projects.
Specifically, Mr. Cosper is responsible for managing the Contractor Procurement and Management,
Design Engineering Coordination and Planning, Environmental Planning Studies, Risk Management and
Risk Register, Cost Estimating, Resource Allocation, Project Budgeting and Scheduling, and other
additional services. His past experience includes the design of improvement projects inc luding plan
preparation, design report/memorandum preparation, plans and specifications, engineering calculations,

over 450 partial and full acquisitions with varying degrees of difficulty and approximately 250
residential and business relocations. This design-build project will widen approximately 16 miles
of active highway through the urbanized area of Corona and the County of Riverside. Responsible
for the preparation of PS&E’s, contractor procurement and bid management, and program
management for the demolition of over 80 existing si ngle family/multi-family residential,
industrial, and commercial properties within the City of Corona. Tasks include the prequalification
of a panel of contractors, development of a public works bid process for demolition, and
implementation of a construction management and inspection program for demolition
improvements. Also responsible for the preparation of construction obligation requirements for
the design build contractor.
▪ City of Long Beach Redevelopment Agency, Atlantic Avenue Theatre and Furniture
Removal Project, Long Beach. Special Services Manager. This project involved the
maintenance, management, and demolition of a historic theatre and furniture property of
approximately 1 acre in size. Responsible for the preparation of PS&E’s, contractor procurement
and bid management for the demolition requirements. Also responsible for providing assistance
in staff report preparation.

Engineer/Construction Manager, DMC Design Group – This project included ultimate urban
arterial roadway, storm drain improvements, detention basins, and transmission water line
improvements to a one mile segment of Hamner Avenue. Project also included installation of over
1,000 lf of an MSE retaining wall system, and a forty foot wide Contech Super-Span steel arched
tunnel. Responsible for the preparation of PS&E’s, a comprehensive drainage report for the
extension of an existing 72” diameter RCP storm drain, structural calculations, contractor
procurement, management and inspections during construction, and assistance as-needed for
staff report preparation.

as-needed services for elevator service repair, interior tenant improvements, parking lot striping,
and electrical lighting repair to a parking structure building in the City of Los Angeles. Responsible

Overview
Mr. Brown has over twenty-five years of experience in project management in local government public
sector real estate development, economic development, and redevelopment. He has assisted with the
development and redevelopment of hotels, single-family, and multi-unit residential homes, and
commercial properties. Mr. Brown has acquired, assembled, managed, and disposed of strategic real
estate assets to enhance the revenue base of California cities. In addition, Mr. Brown is experienced
with federal, state, and local laws in relation to public works infrastructure.

▪ TRIP/City of Bakersfield, Rosedale Highway Widening Project. Assisted Senior Project
Management with acquisition services for the partial acquisition of 137 parcels for the construction
of two additional lanes (one in each direction) between Allen Road and Gibson Street on Rosedale
Highway (SR-58). SR178 Widening Project. Assisted Senior Project Management with
acquisition services for the partial acquisition of 70 parcels to widen SR-178 from two to six lanes
from 0.68 miles east of Morning Drive to Masterson Street, and from two to four lanes from
Masterson Street to Miramonte Drive. 24th Street Improvement Project. Assisted Senior
Project Management with acquisition and relocation services for full acquisition of 22 parcels and
43 partial acquisitions to improve SR-58 (Rosedale Highway) and SR-178 (24th Street) from the
southbound SR-99 ramp intersection to 0.2 miles east of M Street. The project may include
improvements for SR-99 northbound auxiliary lane for the Rosedale Highway exit. Centennial
Corridor Improvement Project. Assisted Senior Project Management with acquisition services
for 422 parcels, relocation services for approximately 310 residential occupants and 526
businesses, and property management for the project. The project is in the approved Early
Acquisition phase during the environmental process and will facilitate the extension of SR -58 to
the west of SR-99, providing a continuous freeway connection to the Westside Parkway (future
SR-58).
▪ Riverside County Transportation Commission (RCTC), SR-91 Corridor Improvement

The following projects represent our experience with similar work, and each includes name and phone

Riverside County Transportation Commission, CA
SR91 Corridor Improvement Project (SR-91 CIP), Design-Build
OPC provided the right of way delivery program for this model design-build
project along 14-miles of the SR-91 and 6-miles of the I-15. The $1.3 billion
project generated more than 20,000 jobs, and impacted over 250 property
owners and numerous utilities. Project improvements included the creation of
two tolled express lanes, new general purpose lanes, and direct connectors
linking SR-91 with SR-71 and I-15.
OPC’s activities started in the PA/ED phase where we provided detailed R/W
cost estimates and prepared R/W Data Sheets according to Caltrans guidelines.
Such documents addressed the impacts of over 500 properties within 3
proposed project alternatives and 20 unique design variations. As part of the
PA/ED phase, OPC prepared the Draft Relocation Impact Report, which
addressed the impacts of commercial/residential units affected by the project.
OPC worked closely with Proactive Engineering to identify approximately fifty
(50) parcels of land with moderate to severe operational impacts with potential
for full acquisition as a result of proposed facility. Comprehensive reports
identifying site improvement plans, estimates, preliminary drainage and water
quality management calculations and summary reports to minimize operational
impacts and eliminate potential for full acquisition. The reports were utilized for
appraisal purposes only and to aid property owners in the local agency
requirements for entitlements. OPC and Proactive Engineering worked closely
with Riverside County Transportation Commission and the City of Corona for
staff reports and as-needed administration services to supplement the parcel
mitigation design services.
OPC developed a comprehensive construction management and administrative
program for the demolition of over 80 existing single family/multi-family
residential, industrial, and commercial properties within the City of Corona
totaling over $5.5 million in construction costs. The program included a
prequalification of a panel of contractors, development of ten (10) notice of
inviting bid packages, administration of environmental, soils, and structural
studies, construction oversight and supervision, and sub-contractor
management. OPC utilized its Project Management Group (PMG) for the
development of a program schedule to monitor contractor progress, monthly
expenditure and forecasting reports, staff reports, and change order/invoice
processing and approvals. All phases were delivered to the design build
contractor ahead of schedule and under the program budget.
OPC implemented ongoing, efficient, and cost effective services such as design
and construction coordination, schedule and risk management, budget and
resource allocation, and various feasibility studies. For this reason, and as a
result of successful design-build project implementation, the SR-91 CIP is
projected to be completed 2 years ahead of schedule, with estimated capital
expenditure savings as high as $60 million.

City of Long Beach, CA
Various Projects
OPC has provided demolition oversight, property management, acquisition,
relocation, and administrative services for the City of Long Beach for many
years. OPC developed many of the City’s policies and procedures for demolition
oversight and property management. Services provided include environmental
remediation, demolition oversight, security, and event coordination. OPC also
managed the planning and construction management of major tenant
improvements and repairs for City owned properties.
OPC is currently managing, maintaining, and monitoring vacant land and

San Bernardino Associated Governments (SANBAG), CA
I-15/I-215 (Devore) Interchange Reconstruction Project
The I-15/I-215 Interchange Improvements Project focuses on reducing
congestion and accidents, as well as increasing traffic flow at this vital
interchange in San Bernardino County. The project proposes to add one lane
and truck-bypass lanes in both directions, reduce unsafe traffic movements, and
improve local connectivity. This project is one of a limited number of projects
throughout the state of California selected to use the design-build delivery
method. As a subconsultant to AECOM, OPC prepared right of way and utility
cost estimates and right of way data sheets for 6 design alternatives, each of
which consisted of over 125 parcels and several major utility impacts. OPC
analyzed impacts to residential, commercial, government, and railroad
properties in addition to water, sewer, gas, oil, power, and communication lines.
OPC was responsible for securing right of entry permits for geotechnical and
environmental studies on more than 200 parcels for the Devore Interchange.
OPC performed preliminary title and ownership research and negotiated with
over 200 property owners to obtain the rights of entry.
Additionally, OPC identified all the utilities within the project limits, conflicts,
solutions, and worked closely with the Caltrans design team. OPC managed the
potholing of 200+ potholes and continues to work closely with the utility owners
to secure relocation avoidance, early relocation, or protection in place where
possible. OPC continues to be engaged in the preliminary utility coordination
effort pre-design build contract.
OPC utilized its construction management and administrative program for the
demolition of four existing single family/multi-family residential properties within
the City of Devore totaling approximately $0.5 million in construction costs. The
program included a prequalification of a panel of contractors, development a
notice of inviting bid package, administration of environmental, soils, and

Thomas Roads Imp. Program (TRIP)/City of Bakersfield, CA
Centennial Corridor Project
This $720 Million project will build a new east-west transportation corridor on
the SR-58, providing a continuous alignment from SR-99 to I-5. The project
consists of approximately 400 full and part take acquisitions from residential
and commercial properties which will result in the displacement of roughly 310
households and 130 business establishments.
OPC had the opportunity to contribute substantial early planning and
environmental document assistance to the Centennial right of way program. In
2011/2012, as a subconsultant to Parsons, OPC prepared the project cost
analysis for the Centennial Corridor’s 3 alternative routes and the Caltrans Right
of Way Data Sheets for Caltrans District 6 approval. This investigation included
the analysis of over 1,200 parcels potentially affected by the various
alternatives. The cost analysis included estimating relocation costs, severance
damages, and loss of business goodwill for hundreds of residential and business
occupants. In addition to the R/W Data Sheet preparations, OPC prepared
several Caltrans required special studies in support of the environmental
document. The City requested OPC coordinate monthly focus meetings for
preparation of the Real Estate Acquisition Management Plan (RAMP). The RAMP
was prepared incorporating strategies discussed in the monthly focus meetings
for submittal to Caltrans in support of the MAP21 Application for Early
Acquisition purchasing.
OPC was recently awarded a contract for right of way services to include project
management, acquisition, relocation assistance, appraisal review, right of way
engineering, environmental investigations, and property management. OPC is
working with the City on the addition of demolition construction oversight and
management for a $10-12 million dollar demolition program utilizing its
comprehensive construction management program. Utilizing City procurement
and management guidelines, OPC is responsible for approximately $6 million
dollars of construction, maintenance, and right of way engineering services not
including the demolition program.
Currently 100 properties have been acquired and the project is approximately
two years from completion of initial right of way contract services.

San Bernardino Associated Governments (SANBAG), CA
I-215 Barton Road Interchange Improvement Project
OPC is in the beginning stages of the implementation of the right of way delivery
program for the I-215 Barton Road Interchange Project that will replace the
existing Barton Road interchange at Interstate 215.
A longer bridge will be built over the freeway to accommodate both the new
carpool lanes added to the freeway (late 2014) and the new general purpose
lanes planned to be added by 2040. The project also will feature new on-ramps
and off-ramps and realignment of local streets. The new bridge and ramps will
allow for higher traffic volumes and reduce traffic delays.
OPC’s activities started in the PA/ED phase where we provided detailed R/W
cost estimates and prepared R/W Data Sheets according to Caltrans guidelines.

six proposed project alternatives.

3. Understanding and Approach
Project Management and Administrative Support Services
The first and most important element of our project management approach will be to meet with City staff
early to determine the project requirements and objectives, and establ ish approved forms and documents
to be used in the City’s Capital Improvement Program. We will set up our lines of communication and
reporting, exchange contact information, and decide on the frequency of formal reporting requirements.
OPC’s designated Special Services Manager, Joshua Cosper, P.E., P.L.S., will participate in coordination
meetings and prepare updates to the status reports and schedule on a predetermined timeframe. In
addition to the day-to-day coordination with City staff and the project te am, we will interface with other
key project team members including contractors, design engineers, and municipal agencies.
Project Development Process
OPC will work with the City to develop a Project Study Report for all new projects that will include a
comprehensive estimate, schedule, and scope during the initiation phase of each project. This is crucial in
the identification of types of funding available, the specific approval process for funding, and overall
program management. OPC will develop schematics for the project, including multiple alternatives (when
necessary), with sufficient detail to identify project scope and constraints. The comprehensive estimate will
include all environmental studies, surveying, design engineering, construction, testing and inspection, righ t
of way, and City staff costs.
Utilizing either Microsoft Project or Primavera scheduling software, our staff will develop a project schedule
with key milestones from the initial funding through to the completion of construction. OPC will utilize the
initiation documents (i.e. studies, schematics, estimates) for all existing projects to develop a program
management plan and work with the City to make updates, as necessary, to secure funding.

Project Management/Administration
OPC has developed a comprehensive project administration and management program that includes the
development of requests for proposals or bids, bidding and procurement consistent with State Contract law
and local agency procurement guidelines, monthly invoice/change order processing, subcontracto r
prevailing wage and lien monitoring, construction inspection and oversight, and as-needed special studies.

For all construction related contracts and request for bids, OPC will review all bids received from contractors
and prepare a bid summary matrix consistent with itemized bid schedules. Lowest bids will be scrutinized
against the engineer’s estimate and other bids for anomalies and missing information to ensure the bid is
responsible and responsive. The review will be consistent with State Contract Law and City procurement
guidelines. Upon identification of lowest responsible/responsive bids, OPC will generate a summary report
and recommendation for City Council consideration to award a contract for construction.
For all professional/subconsulting services, OPC will utilize the City’s standard boilerplate documents to
develop Request for Proposals (RFP) that will include comprehensive scope, schedule, qualifications, and
expected deliverables from subconsultants. Upon receiving proposals from all qualified consultants/firms,
a written summary of findings and recommendation to award for the Professional Service Agreement (PSA)
will be produced and submitted to the City identifying the best overall value proposal (qualifications and
costs).
It is anticipated that OPC will participate in the project kick-off, routine Project Development Team (PDT),
and other as-needed meetings to help facilitate the projects. OPC will prepare written agendas and as-
needed exhibits for meetings, track action items , and other pertinent information, and prepare a written
summary for each meeting. OPC also anticipates participation in monthly City Council meetings as support
to the Public Works staff.
We will also maintain and track project schedules for contractor progress throughout the duration of the
project. Monthly tracking reports will be prepared identifying contractor progress, potential for liquidated
damages, and actual/budget expenditures and forecasts through the remainder of the project . Monthly
reporting templates will be submitted to the City for approval prior to use for any projects. OPC will prepare
all other written correspondence, as necessary, and memorandums that are necessary to facilitate your
projects.
Funding Agency Communication/Assistance
OPC has several staff members who have worked for California city redevelopment and public works
agencies that were responsible for project funding applications, obligations, and oversight. Utilizing the
Project Study Reports, our staff will work with the City to identify the appropriate funding
agencies/mechanisms and streamline the communication process. OPC has worked in this capacity with
several funding sources including DIF, TUMF, CDBG, and State/Federal transportation fees for agencies
throughout the Southern California area.
We will utilize the February 5, 2013 Development Impact Fee Report and update, as necessary, consistent
with the Mitigation Fee Act. OPC will work with the City to identify forecasted development, improvement
plan projects, estimated costs, level of service requirements and times, and other as- needed information
to perform the update. OPC will also work with subconsultants performing special studies to include the
analytics within the DIF Report update.
OPC will also provide as-needed assistance and documentation for the Coachella Valley Transportation
Uniform Mitigation Fee Program, Measure A Gas Tax Capital Improvement Plan, and corresponding
Maintenance of Effort (MOE) requirements. It is anticipated a comprehensive budget worksheet of all
projects and their associated funding, types of projects, actual and projected spending, and key
milestones/amounts throughout each fiscal year will be required to ensure MOE requirements are met.

It is anticipated the City will require design services to facilitate Capital Improvement Projects . OPC has
California registered civil engineers and land surveyors on our staff, as well as our subconsultant Proactive
Engineering Consultants, Inc., who are capable of performing the following design services:

BILLING TERMS:
OPC considers local travel/mileage, photocopying, first class postage, telephone, facsimile, and mobile
communication charges a normal part of doing business and such costs are included in the stated hourly
rates. Out-of-pocket expenses including pre-approved travel and lodging, outside exhibit preparation,
requested overnight courier or registered and/or certified mail (return receipt requested) charges, and
specialty reproduction (unless otherwise specified) are in addition to the contract amount and will be
charged at cost plus ten percent (+10%) for administration, coordination, and handling. Subcontracted
services, other than those listed above, will be invoiced at cost plus ten percent (+10%).
In the event OPC is required to perform any act in relation to litigation arising out of any project with the
Client (for example, expert consulting, responding to a complaint, or proceeding with discovery and trial),
such services are not part of this contract, nor are they part of our normal fees. If required, these types
of services will be invoiced at two times the regular hourly rates.
In the event this contract extends twelve (12) months beyond the initial date of execution, the hourly
rates and any remaining amount in the contract shall be adjusted upwardly by five percent (5%) per
annum, compounded annually, on the anniversary date of this contract.
Written communication services in other languages would be an additional cost and would be billed
separately based on quoted hourly rates by independent translation services. Verbal communication in
Spanish, if necessary, will be included at no additional charge.
OPC will submit monthly invoices for the professional and trade services rendered based on the hourly
rate schedule provided above. The client shall promptly pay the uncontested amount due within no more
than thirty (30) days after receipt of invoice. Upon completion of services, the remaining unbilled amount
of the project balance shall become immediately due and payable.
