("Seller" and "we"), and the City of La Quinta. ("Customer" "City" and "you" and "La Quinta'�. PROJECT DESCRIPTION PROJECT SCOPE The City of La Quinta is exploring a city wide public safety camera system to achieve efficiencies, enhance safety, increase quality of life, reduce crime, and provide real-time information, identify vehicles or persons. IPVision is uniquely qualified to work with La Quinta to provide these as well as additional benefits from the implementation of a City -Wide Surveillance system based on the Video Management Platform of Genetec www.genetec.com and their three software platforms of Omnicast (Video), Synergis (Access Control), and Auto Vu (license plate recognition) which are managed and operated under their Management Platform called Security Center. IPVision will provide a complete turn -key solution. Web Clients, Mobile Clients, and Desktop clients are all available for the use and management of this system. With Security Center, La Quinta can also take advantage of Intrusion Detection (burglar alarm) integration, Lobby Management integration, as well as other safety and security platforms into a single, centrally managed, and highly secure overall security system. IPVision is providing just a few of several case studies and documents demonstrating the Genetec Solution working in multiple cities across the USA, which include: • City of Chicago • City of Detroit • City of Lakeland • City of Richmond • City of Ft. License plate recognition cameras are also included from Genetec as well. On board analytics are also available and some are already built into the cameras and configurable based on La Quinta requirements for: • Cross line detection • Perimeter monitoring • Object left behind • People counting and Directional flow • Queue management • Gun shot, explosion, scream detection Both camera manufacturers are leaders in the network camera industry and can combined offer over 200 different form factors, sizes, shapes, resolution, quality, and functionality allowing IPVision and La Quinta to design and deploy the best camera for all unique requirements. IPVision will provide different solutions for different requirements based on the discussions and design collaboration with La Quinta. Sample cameras and demonstrations of the software are easily scheduled and will be provided once IPVision is selected as a potential systems integrator for this project. PROJECT SCHEDULING Customer and Seller, who will jointly manage this project, will together develop timelines for an anticipated schedule ("Anticipated Schedule") based on Seller's Project Management Methodology. Any dates, deadlines, timelines or schedules contained in the Anticipated Schedule, in this SOW or otherwise, are estimates only, and the Parties will not rely on them for purposes other than initial planning. IPVision, LL C $k% ago& %sir■ �I Irv� PROFESSIONAL SERVICES FEES The total fees due and payable under this SOW ("Total Fees") include both fees for Seller personnel's time ("Consultant Fees' and any other related costs and fees specified in the Expenses section ("Seller Expenses"). Unless otherwise specified herein, taxes will be invoiced but are not included in any numbers or calculations provided in this SOW. Customer will be invoiced for the Total Fees of $ III G 1 for product and services. Service Fees hereunder are FIXED FEES, meaning that Customer will be billed for this precise amount, as specified below. f — EXPENSES All Seller expenses in performance of the Services are included in the total cost. Seller Expenses include, but may not be limited to: airfare, lodging, mileage, meals, shipping, lift rentals, photocopies, tolls and parking. Travel Time will not be billed to the Customer for this project. Two (2) weeks' advance notice from Customer is required for any necessary travel by Seller personnel. Seller will provide Services benefiting the location specified by the customer. PROJECT -SPECIFIC TERMS 1. Customer is responsible for providing all physical and communications access, privileges, environmental conditions, properly functioning hardware and software, qualified personnel, project details, material information, decisions/directions, and personnel and stakeholder interviews that are reasonably necessary to assist and accommodate Seller's performance of the Services ("Customer Components"). 2. Seller is not responsible for delays in performance directly caused by the unavailability of the Customer Components and will have the right to invoice Customer, with prior written notice, for time Seller personnel is thereby idled or to reassign Seller personnel to work unrelated to this SOW and the services hereunder. 3. Customer will provide in advance and in writing, and Seller will follow, all applicable Customer safety and security rules and procedures. 4. Customer will secure and maintain the confidentiality of all Seller personnel information. 5. When Services are performed at a Customer -Designated Location, the site will be secure; Seller is not responsible for lost or stolen equipment. 6. This SOW can be terminated by either party without cause upon at least thirty (30) days' advance written notice. The Parties' Contact Persons shall be authorized to approve changes in personnel and associated rates for Services under this SOW. CHANGE ORDERS This SOW may be modified or amended only in a writing drafted by Seller, generally in the form provided by Seller and signed by both Customer and Seller ("Change Order"). Each Change Order will be of no force or effect until signed by Customer, transferred in its entirety to Seller so that it is received within thirty (30) days from the date on its cover page and then signed by Seller, except as otherwise agreed by Seller. The City of Detroit has taken this approach and created Project Green Light, which allows for efficient incident management and a collaborative response between citizens and the Detroit Police Department. The challenge: address violent crime in the City of Detroit When it comes to facing any challenge, particularly in an urban environment, understanding the situation goes a long way. In Detroit, Michigan, city officials looked at occurrences of crime and found that in the first half of 2015, nearly a quarter of the city's violent crimes happened within 500 feet of a gas station after 10 pm. Once they knew where crime was happening, city officials were in a better position to prevent or mitigate its impact. In traditional policing, a crime occurs and someone alerts the Police Department (PD) via a 911 call and the police then arrives. The issue with this is that there needs to be an investigation, the PD needs to find, question witnesses, and follow up; this can take many days/weeks to move forward and to solve crimes. With Project Green Light, if there is an issue at one of the greenlight locations, the PD has immediate access to the scene via cameras and this insight/view enables them to act in seconds. They can dispatch a patrol car and use a high definition video recording that is used to help the PD on the way to the scene. Overall, it helps solve crimes faster, and in many cases, this project helps to deter crime. The best chance any city's police force has of preventing or stopping crime is to intervene as quickly as possible, and with as much information as they can gather. When police officers arrive on a scene after the fact or if they enter a situation unprepared, it is much more difficult for them to do their jobs. While surveillance cameras can provide crucial information about what is happening in and around any location, simply adding more cameras does not go the full way to helping police officers respond in the most effective way. To leverage the full benefit of video surveillance cameras, a police force must have easy access to video footage in real-time and have a good coverage surrounding the area. Knowing all this, the City of Detroit worked with its citizens and used technology to help bridge the connection between businesses and the PD. To begin, business owners installed HD cameras inside and outside their establishment with additional lighting to sufficiently cover all areas of the property. Second of all, the business owners collaborated with the Detroit Police Department (DPD) by providing them with real-time access to their cameras at all times. Its name stems from the thirty- eight named lakes in the vicinity. The community and culture of Lakeland revolves around these vast bodies of water and the activities available at numerous parks and recreation centers. While surveillance efforts had been initiated to keep citizens safe, the City of Lakeland was dealing with many different disparate analog and DVR systems. In 2004, the water utility department first began the search to upgrade its video surveillance systems. The City of Lakeland wanted a more robust, and reliable IP-based security system which would help its departments take advantage of the growing fiber infrastructure throughout the city. With buy -in from city board members and the IT department, the water utility department moved forward with Genetec Omnicast IP video surveillance system. Three years later, the city's IT department initiated a city-wide expansion project which would expand the system across all other local organizations, and upgrade to IP access control in various buildings. An incident captured on camera at the aquatics center also contributed to policy improvements. After a resident member slipped at the aquatic center when exiting the pool, video archives showed that the pool equipment container was used as a hand railing. Infrastructure at a Glance Security Center sets the stage for even greater expansion With federally -mandated compliance standards being imposed on all electric utility organizations, the City of Lakeland is focused on re-evaluating and upgrading all of the Lakeland Electric systems, while possibly unifying perimeter protection with Security Center. The city is also making the Lakeland Linder Regional Airport a priority in its expansion, bringing more doors and cameras online. Finally, the city is also looking into AutoVu license plate recognition for both law enforcement and parking applications. Located at the center of the greater Richmond Metropolitan Area, and just 98 miles south of Washington, DC, Richmond is known for its historic and architectural charm, and flourishing cultural scene. For residents and an influx of daily commuters and visitors, Richmond offers just under 1,500 on -street metered parking spaces, 5,000 residential and time -limited on -street spaces, and over 5,000 off- street spaces in approximately 20 lots and garages. A few years ago, Richmond invested in a vehicle booting program for its on -street parking to encourage better parking compliance. While the booting program was effective, parking enforcement officers spent their shifts walking up and down parking zones and city streets checking vehicles at random to identify those with outstanding infractions. Enforcing the permitted residential and time -limited zones in the city of Richmond was also a very time-consuming process for parking enforcement officers. Officers would validate printed permit decals one by one which was susceptible to errors, especially when decals were not properly displayed or hidden behind dark tinted windows. In areas where parking rules designated 15 minutes up to 4 hours of free parking without a permit, chalking tires was routine. However, cunning visitors would monitor officers and wipe chalk off their vehicles' tires to avoid ticketing on the next walk -by. With objectives to maximize resources and boost the parking enforcement team's efficiency, the city of Richmond relied on the expertise of SP+ Parking, whose team is contracted to oversee the parking enforcement on behalf of the City of Richmond. Operators select the zone to enforce on the touch -enabled, in -vehicle laptop and drive up and down streets, while the AutoVu cameras scan license plates and alert operators to unpermitted, overtime or scofflaw vehicles. Uniquely for overtime parking, the digital tire chalking feature of AutoVu captures wheel images of parked cars to compare them to images from subsequent passes. Operators are presented with wheel images; if the tire valves have not shifted, the operator can then confirm the violation. "People don't even know that we are digitally chalking their tires now. If someone calls to say they were not parked in the area or did not surpass the time limit, we can pull up the images and disprove their claims. Moving to AutoVu Managed Services delivers 99% reliability While the AutoVu systems were delivering as promised by helping the parking enforcement team cover more ground in less time, IT -related issues began surfacing. Since the system was being hosted on internal servers, compatibly issues with IT policies would randomly cause the system to go offline. After some initial troubleshooting, the city of Richmond and SP+ Parking reached out to the AutoVu experts at Genetec for assistance.
