La Jolla St. Unit B, Anaheim, CA. 92806 (hereinafter "MB") and City of La Quinta — Civic Center Lake, (hereinafter "Customer"). Ph. 760- 777-7117 Fax: For and in consideration of the mutual covenants herein contained, the parties here to agree as follows: Program Outline: 1. Service the lake twice a week. 2. Algae & weed control will be accomplished throughout the lake. 3. Provide all water quality monitoring to include pH, water temperature, conductivity, dissolved oxygen, nitrates and phosphates on a monthly basis. 4. Provide labor, equipment and expertise in the application of aquatic herbicides and algaecides. 5. Marine Biochemists (Sole Provider) of chemicals for aquatic weed and algae treatments deemed necessary. 6. Provide service reports following each service visit upon request. 7. File monthly use reports with the County Agriculture Commissioner. 8. The use of bacteria and enzymes to reduce nutrients and sedimentation. 9.Option to use non -copper based algaecides like phycomycin. 10. Chemical control of Cattails to maintain current population. (Physical removal is an additional charge) 11. Guidance on the introduction of other emergent and floating plants to reduce nutrients levels in the water column. 12. Monitor functional fountain & aeration system. It is understood that regular maintenance will be necessary for the systems to properly operate. (Mechanical repairs will be an additional cost). 13. To recommend procedures to reduce eutrophication. 14. Maintenance for abnormal conditions is an additional cost. to Marine Biochemists 2940 E. (Emergent weed control other than Cattails is an additional cost). 17. Marine Biochemists will provide two emergency calls per year at no charge to the customer. Each emergency call after that will be billed at $125.00 per hour for the first person and $55.00 per hour for each additional person required. The cost for the aquatic vegetation control program is $1,575.00 per month. Terms for payment is Net 30 Days. (This Contract does not include treatment of any invasive species like Golden Algae). Marine Biochemists' liability on any claim, loss or liability arising out of, or connected with this Agreement, the services or use of the equipment furnished hereunder, shall in all cases be limited solely to the correction of nonconformities which do not substantially conform with the description of services hereunder. If for any reason Marine Biochemists is unable or fails to correct nonconformities as provided, Marine Biochemists' liability for damages arising out of any services or equipment provided hereunder for such failure, whether in contract or in tort (including negligence), law or equity, shall not exceed the amounts paid by City of La Quinta — Civic Center Lake for that portion of the services which fail to conform. except as otherwise stated herein, Marine Biochemists disclaim all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. It is specifically understood that Marine Biochemists shall not be liable under this agreement to City of La Quinta — Civic Center Lake for (i) any personal injury and/or property damage resulting from completed operations or any installed equipment, and (ii) lost profits, incidental, special, punitive or consequential damages in any nature thereof, whether or not the possibility if such damages has been disclosed to Marine Biochemists in advance or could have been reasonably foreseen by Marine Biochemists. Dr. Domogalla became the first commercial applicator of formulated chemicals for aquatic vegetation control. Through his work, he developed CUTRINE, the first patented chelated copper algaecide. Following Dr. Domogalla's death, Marine Biochemists was incorporated in 1968 and continued to provide contract application services on a regional basis. Applied Biochemists, Inc. was established to manufacture and sell CUTRINE. Since that time, these two companies have worked harmoniously together in developing innovative techniques and environmentally acceptable chemicals for aquatic vegetation control. Experience Marine Biochemists employs degreed biologists, chemists and environmental associates who have both a professional and personal interest in natural resource management. We are equipped and staffed to service any size account ranging from small backyard ponds to extensive lakeshore frontage. We have performed aquatic vegetation control at the following types of sites: public and private lakes; recreational and decorative ponds; industrial cooling and storm water retention ponds; waste treatment lagoons; parks, cemetery and golf course ponds; residential complex lakes and ponds; and fishing club ponds. Our personnel are available for presentations to groups such as lake property owners, fishing clubs, municipal committees and park districts. As recognized experts, our seasoned professionals have compiled an impressive list of accomplishments in their field.
