AMENDMENT NO. 1 TO AGREEMENT
WITH GHD, INC.
This Amendment No. 1 (“Amendment No. 1”) to Agreement for Contract
Services (“Agreement”) is made and entered into as of the 22nd day of March,
2021 ("Effective Date") by and between the CITY OF LA QUINTA ("City"), a
California municipal corporation and GHD, Inc., a Corporation (“Contracting
Party”).
RECITALS
WHEREAS, on or about September 16, 2020, the City and Contracting
Party entered into an Agreement to provide those services related to Highway
111 Corridor Form Based Code Planning and Engineering services, Project No.
2019-05, for the City. Total amount of Compensation to be paid to Contracting
Party was not to exceed $885,228 dollars. The term of the Agreement expires
on June 30, 2023; and
WHEREAS, changes the City and Contracting party mutually agree to
amend Section 1.1 – Scope of Services of the Agreement as outlined in detail
in enclosed Exhibit A, incorporated herewith by this reference; and
WHEREAS, pursuant to Section 2.3 of the Agreement, the Contract
Officer may approve Additional Services and related additional Compensation
amounting to no more than five percent (5%) of the Contract Sum.
WHEREAS, Section 2.1 Contract Sum is amended by an additional
$11,760 dollar, for a total not to exceed amount of $896,988 dollars, for the
Additional Services to include the additional data collection efforts detailed in
Exhibit A.
NOW THEREFORE, in consideration of the mutual covenant herein
contained, the parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and
promises hereinafter contained, and for good and valuable consideration, the
sufficiency and receipt of which are hereby acknowledged, the parties hereto
agree as follows:
1. Section 1.1 is amended to include Obtain and Analyze Street Light Data
in the attached “Exhibit A”, incorporated herewith by this reference.
2. Section 2.1 Contract Sum is amended to:

Task 2.1 Assemble Baseline Data and Develop Corridor Base Map is
expanded to include additional work necessary to obtain and Analyze
Street Light Data for use to prepare the Highway 111 Base Mapping.
The following work is added:
Obtain and Analyze Street Light Data

1. Obtain license to access Street Light Data for up to 50 zones
2. Extract turning movement estimates for 10 intersections
3. Validate turning movement estimates with available 2018 turning
movement counts
4. Extract origin/destination and other travel information associated
with at minimum the Demonstration Site and the Microscale
analysis site
5. Extract corridor transportation metrics (free flow travel time,
congested travel time, and origin/destination)

Exhibit B
Schedule of Compensation
Pursuant to Section 2.3 of the Agreement, the Contracting Party shall
receive additional compensation in the amount of Eleven Thousand Seven
Hundred and Sixty ($11,760) dollars for the Additional Services provided
herein. The maximum total compensation to be paid to Contracting Party
under this Agreement is Eight Hundred Ninety-Six Thousand Nine Hundred Eighty-
Eight Dollars ($896,988.00) (“Contract Sum”). The Contract Sum shall be paid
to Contracting Party in conformance with Section 2.4 of the Agreement.
