AMENDMENT NO. 2
TO AGREEMENT FOR CONTRACT SERVICES WITH GHD, INC.
This Amendment No. 2 (“Amendment No. 2”) to Agreement for Contract
Services (“Agreement”) is made and entered into as of the 22nd day of April,
2021 ("Effective Date") by and between the CITY OF LA QUINTA ("City"), a
California municipal corporation and GHD, Inc., a Corporation (“Contracting
Party”).
RECITALS
WHEREAS, on or about September 16, 2020, the City and Contracting
Party entered into an Agreement to provide those services related to Highway
111 Corridor Form Based Code Planning and Engineering services, Project No.
2019-05, for the City. Total compensation to be paid to Contracting Party was
not to exceed $885,228 dollars. The term of the Agreement expires on June
30, 2023; and
WHEREAS, on or about March 22, 2021, the City and Contracting Party
executed Amendment No. 1 and mutually agreed to amend the following
sections of the Agreement
x Section 1.1 Scope of Services – to obtain and analyze Street Light Data;
x Section 2.3 Compensation for Additional Services – to allow the Contract
Officer to approve Additional Services and related additional
compensation amounting to no more than five percent (5%) of the
Contract Sum; and
x Section 2.1 Contract Sum – increasing the contract amount by $11,760,
resulting in a new total not to exceed amount of $896,988; and
WHEREAS, the City and Contracting Party mutually agree to amend the
“Time and Materials” cost allocation, by Task, of Compensation for Services to
be Performed as outlined in detail in the enclosed Exhibit B.
NOW THEREFORE, in consideration of the mutual covenant herein
contained, the parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and
promises hereinafter contained, and for good and valuable consideration, the
sufficiency and receipt of which are hereby acknowledged, the parties hereto
agree as follows:

1. Section 2.1 Contract Sum “Time and Materials” assignment is amended as
follows:
Reallocation from Task 1 to Task 2
Reallocate a total of $7,600 in GHD labor from Task 1 (Form Based Code
Assessment) to Task 2 (Corridor Design Concept), as follows:
• $4,000 from Task 1.3 (Sample Form Based Code) to Task 2.1 (Assemble
Baseline Data & Develop Corridor Basemap)
• Reduced GHD involvement relative to anticipated role in Task 1.3.
Maintaining budget in Task 1.3 needed to review Draft deliverable and
provide comment
• $3,600 from Task 1.4 (City Council & Planning Commission Joint Study
Session) to Task 2.1 (Assemble Baseline Data & Develop Corridor
Basemap)
• Reduced need for GHD involvement in Task 1.3 reduces GHD role in
Task 1.4. Maintaining budget in Task 1.4 needed to attend Join Study
Session.
Reallocation within Task 2
In addition to the reallocation of effort and budget from Task 1 to Task 2,
“Time and Material” cost assignments are reallocated within Task 2. This
reflects reduced effort to discuss preliminary concepts as a standalone task.
This also reflects up-front work completed as part of corridor’s existing
conditions and alternatives analysis that will streamline preparation of later
phases, including work on the corridor plan document deliverables (2.4 and
2.7), corridor plan visualizations and cross sections (2.5). The reallocations
include:
• $2,180 from Task 2.3 (Review & Discuss Preliminary Concepts) to Task
2.1 (Assemble Baseline Data & Develop Corridor Basemap)
• $12,080 from Task 2.7 (Prepare Final Corridor Design Concept) to Task
2.1 (Assemble Baseline Data & Develop Corridor Basemap)
• $10,620 from Task 2.4 (Prepare Draft Corridor Design Concept) to Task
2.2 (Develop & Assess Preliminary Corridor Design Concepts)

Exhibit B
Schedule of Compensation
Pursuant to Section 2.3 of the Agreement, the Contracting Party shall
not receive additional compensation for the “Time and Materials” cost
adjustments authorized within Amendment No. 2, herein. The maximum total
compensation to be paid to Contracting Party under this Agreement is Eight
Hundred Ninety-Six Thousand Nine Hundred Eighty-Eight Dollars
($896,988.00) (“Contract Sum”). The Contract Sum shall be paid to
Contracting Party in conformance with Section 2.4 of the Agreement.
GHD’s Additional Work Request for Amendment No. 2 to Agreement, dated
October 14, 2020 is attached and made a part hereof.
