AMENDMENT NO. 2 TO SHORT-FORM SERVICES AGREEMENT
WITH DATA TICKET
This Amendment No. 1 (“Amendment No. 1”) to Short-Form Services
Agreement (“Agreement”) is made and entered into as of the 4th day of June,
2021 ("Effective Date") by and between the CITY OF LA QUINTA ("City"), a
California municipal corporation and Data Ticket, a California Limited Liability
Corporation (“Vendor”).
RECITALS
WHEREAS, on or about July 1, 2020 the City and Vendor entered into
an Agreement to provide parking and administrative citation processing, and
collection services (“Services”) for the City. The term of the Agreement
expired on December 31, 2020 (“Initial Term”); total compensation was not
to exceed $8,000; and
WHEREAS, on or about November 2, 2020, the City and Vendor
executed Amendment 1 to Agreement extending the term for an additional six
(6) months from January 1, 2021 to June 30, 2021 pursuant to Section 4 –
Term; and
WHEREAS, Section 5 Compensation of the Agreement shall be amended
to include additional compensation of $9,000.00, for a total not to exceed
amount of $17,000. for the additional services provided during the Initial and
any Extended Terms.
WHEREAS, Exhibit “C” shall be amended to reflect the additional $9,000
in additional services, for a total not to exceed of $17,000.00.
NOW THEREFORE, in consideration of the mutual covenant herein
contained, the parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and
promises hereinafter contained, and for good and valuable consideration, the
sufficiency and receipt of which are hereby acknowledged, the parties hereto
agree as follows:
1. Section 5. – Compensation is amended to read as follows:
Vendor shall receive compensation for services rendered under this Agreement at the
rates and schedule set forth in the attached Exhibit “C” but in no event shall Vendor’s
compensation exceed Seventeen Thousand Dollars ($17,000.00) without written
agreement.
2. Exhibit “C” – Compensation for Services is amended to read as follows:
The maximum total compensation to be paid to Vendor under this Agreement is not
to exceed Seventeen Thousand Dollars ($17,000.00) (Contract Sum) The Contract
Sum shall be paid to Vendor in installment payments made on a monthly basis based
on feed identified under the Fee Proposal Amendment, Option 1, attached hereto as
Attachment 1.
In all other respects, the original Agreement shall remain in effect.
