AMENDMENT TO ESTOPPEI, CERTIFICATE AND AGREEMENT
This Amendment to Estoppel Certificate and Agreement (this "Agreement'), effective
as of August 26, 1996, is by and between La Quinta Redevelopment Agency (the "Agency")
and La Quinta Seniors L.P., a California limited partnership (the "Partnership").
RECITALS
A. The Agency and the Partnership executed that certain Estoppel Certificate and Agreement,
dated as of August 26, 1996 and recorded September 12, 1996 as Instrument No. 345409
in the Official Records of Riverside County, California (the "Estoppel").
B. The Estoppel set forth certain facts regarding a loan made by the Agency to E.G. Williams
Development Corporation, a California corporation ("Development Corporation"), and
assigned to the Partnership by the Development Corporation (the "Loan").
C. The Agency and the Partnership wish to amend the Estoppel to correct certain facts
regarding the principal balance and accrued interest of the Loan set forth in the Estoppel.
NOW, THEREFORE, in consideration of the foregoing and for other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the
Agency certifies and the parties hereto agree as of the date of this Amendment as follows:
Replacement of Paragraph 1 to the Estoppel. Paragraph 1 of the Estoppel is hereby deleted
in its entirety and replaced with the following language:
"The Loan Documents are in full force and effect and, except to the extent amended or
modified by this Agreement, have not been amended or modified and shall remain in
full force and effect. Other than the Loan Documents and this Agreement, there are no
other documents, agreements or instruments evidencing or securing the Loan.
Concurrently herewith, the Agency certifies that the outstanding principal balance of

the Loan is $ 2 , 03 5 , 388 . Accrued interest on the Loan as of July 31, 1996 is
$ 151 , 293 , and no accrued interest is currently due and payable to the Agency.
2. No Further Amendment. Except as amended by Paragraph 1 of this Amendment, all of the
provisions of the Estoppel are unmodified and shall remain in full force and effect.
3. Governing Law. This Amendment shall be governed by and construed in accordance with
California law.
4. Counterparts. This Amendment may be executed in counterparts. Each such counterpart
shall constitute an original and all taken together shall constitute one Amendment.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement, effective
as of the date fast set above.
