Triton is incorporated in the State of California with the date of incorporation of February 26, 2010 f.Proof of Theory of Operation. Kristen met with Gilbert Villapando, Doug, Joel Noriega and one other gentleman from Acorn Technology Services on Wednesday September 22nd to understand the systems being utilized in the council chamber and control room. From the information Kristen gathered she has a good understanding of the existing audio, video, voting and control system the city is utilizing. However, it was also discovered that some improvements need to be made in certain areas that are not either being operated in a standard fashion or there are limitations associated with specific equipment or systems. i Currently there is a Blackmagic Design ATEM production switcher and not a presentation switcher that would serve the council chamber. The ATEM switcher should be utilized as the production switcher that only feeds what the city wants to distribute either via broadcast on the local cable channel or through a stream that can be seen on YouTube or from the City’s website. The ATEM switcher should only be utilized to produce the meeting content for people to view at home. Currently this is only the switcher and the program feed that is being seen at home is also being seen inside the council chamber. For example, if the ATEM operator selects a camera as a source that is being seen by the viewers at home and inside the council chamber. In typical city council video and operations, there is a separate presentation switcher that switches what is only to be displayed inside the council chamber. This content is related to what needs to be showcased inside of the council chamber and more specifically to be seen by the participants in the meeting inside the chamber. This content is typically a source as well on the production switcher so that it can be viewed by the people at home. Typically, the camera shots are not shown inside of the council chamber during a meeting, unless it is for very specific circumstance or event. This is not a typical operation because the broadcast/stream feed is typically different then what is shown inside the chamber because it needs to include the camera feeds whereas the people in the chamber do not need to see the camera feeds because they are watching live what is going on in the chamber. ii The second item that should be addressed is there is not enough audio controls and mixing capability between the council chamber audio system, Zoom PC, and broadcast/streamed production feed. The existing audio system includes a Shure audio mixer. This mixer has limited controls and to address the lack of audio controls the city should consider looking at a Digital Signal Processor. This would help with feedback, speech intelligibility, and the ability for remote participants to better hear and be understood. iii The last item that should be addressed is that the console with the racks needs to be cleaned up for both operational, maintenance troubleshooting, and engineering reasons. The equipment installed in the racks and on the desktop require technical furniture. Technical furniture is purpose built to provide the following: 1. Ergonomic layout so that the equipment that needs to be touched and controlled can be done in an ergonomic and efficient manner that allows for easy operation. 2. Cable management. The existing racks do not utilize any cable management which makes troubleshooting difficult. There is no strain relief on the cables so that the cables can be easily damaged and disconnected. Council meetings are hours long and the control room operator should be comfortable operating the systems. g.Triton Technology Solutions is not a subsidiary of a parent company. Triton is a licensed Low Voltage Contractor in the State of California, License # 951869 with an expiration date of September 30, 2022. Kristen Tetherton is one of the original founders of Triton Technology Solutions, Inc. and is the President of the company. Kristen began her career in the television broadcast, production, and audio-visual industry in 1991 after graduating San Diego State University with a Bachelor of Arts degree in mathematics. Kristen fell into this industry and became successful through hard work, attention to detail, and an aptitude to understand. She learned the equipment, technology, operations, and workflows of the television broadcast, production, and audio-visual industry. She had the support of several strong mentors along the way. Kristen’s career in this industry has spanned 31 years. She worked for Ikegami Electronics, Shoreline Video, Burst Communications and TV Magic. She started as a Sales Administrator, then her position grew into Sales, VP of Sales, VP of Strategic Sales and now President of Triton. With these positions she has managed projects through the entire process including pre-sales, closing the sale; coordination of the design between the client and engineer; facilitation of the ordering, purchasing, receiving and delivery of equipment to the project site; managing the technical team through installation, system testing and system overview; and close-out of the project. Kristen learned effective processes, techniques, and tools for managing complex projects from both the financial, strategic, and tactical aspects. As VP of Sales, Kristen managed the sales staff on a day-to-day basis, and continued to sell system integration services. As VP of Strategic Sales, Kristen focused on business development, sales and identifying other system integration opportunities outside of the standard broadcast, production, and audio-visual markets. In 2010 Kristen decided to form her own company. Kristen, with partners Gus Allmann and Pat Thompson, formed Triton. Pat Thompson left the company in 2015 to be a stay-at-home dad. Gus Allmann and Brian Rose are Kristen’s current partners. As the President of Triton, Kristen provides strategic leadership for the company and employees. She works with her team to establish long-range goals, strategies, plans and policies. She continues to work directly with clients through the sales process, project management, design, and implementation of the system. Kristen surrounds herself with an effective and competent team and continues to be part of the sale process, which she thoroughly enjoys. One of her most challenging projects was the installation and mounting of a 4.5M satellite dish on the top of a six-story building in downtown Los Angeles. This was challenging not because of the technology but the coordination it took with many entities; City of Los Angeles departments (Police, Permit, Traffic Control), crane, contractors, building owner, and freight carrier. One of the most interesting projects was a feasibility study and subsequent implementation of a tapeless video recording system for JAXA (the Japanese space agency) that was installed on the International Space Station. Kristen enjoys working in this industry and has continued to learn and grow throughout her career BECAUSE TECHNOLOGY NEVER ENDS. Gus Allmann has been closely involved in every aspect of television and related technologies since 1970. He has held many technical, operational and management positions within the industry from technician to Executive Vice President of Engineering, to presently Chief Technology Officer. He has operational experience as a camera operator, recording engineer, producer, director, and Vice President of Operations. His management expertise has been honed to a fine skill by leading diverse teams of varying skill level to obtain outstanding results in media services management, project, and program management. Gus’s background gives him extensive and unique insight into all aspects of the television and media industry. Gus’s background includes 19 years with the federal government providing technical support and management of media services for 8 sites around the world. He has also technical, general and sales management of several southern California video integrators and dealerships. Gus has the business, management, and engineering expertise to provide a comprehensive understanding of any system requirements to meet a wide range of customer expectations. In 1999, Gus founded system integrator TV Magic with Steve Rosen. Gus headed TV Magic’s engineering efforts creating standards for design documentation, installation procedures and all project processes. Under Gus’s direction in a few short years, TV Magic grew to be an industry leader in broadcast systems design and integration completing many high-profile projects and winning many industry kudos and awards. As Vice President of Engineering, Gus was responsible for the corporate level engineering standards, practices, and training for engineering personnel at offices in San Diego, Burbank, and New York/New Jersey. He provided critical design review of all engineers within the company including contract engineers and was the Responsible Managing Official (RMO) for the California Contractors C-7 license. While Gus supervised all engineering aspects of TV Magic projects, he maintained personal involvement as design engineer in several high-profile projects. Gus’s design for Trinity Broadcasting Network’s affiliate automated master control systems (160 channels across 32 affiliates) earned a prestigious Broadcast Engineering Magazine Excellence Award in 2007. Gus also completed the design and supervised integration of a state-of-the-art all digital tapeless news facility for the FOX Network affiliate in San Diego. He has the foresight to “future proof” designs and to make cost effective use of available technology. Capable of “pushing the envelope,” he ensures that technology is properly applied with the ergonomics of systems design and workflow patterns paramount to each project, ensuring that technical excellence does not outweigh human factors. Gus maintains his technical expertise through direct contact with manufacturers, training programs, customers, and professional organizations such as the Society of Broadcast Engineers (SBE) and the Society of Motion Picture and Television Engineers (SMPTE), the National Systems Contractors Association (NSCA), and others. He has published articles on facility design in Broadcast Engineering and co-authored other articles for various TV Technology publications. Brian Rose has been in broadcast operations and engineering for more than twenty years. He began his broadcasting career at a three-station radio group in Susanville, CA. Upon moving to Las Vegas, NV, he worked as a broadcast engineer for KNUU and KRLV. Shortly after moving to Las Vegas, he was hired as MIS Manager for the Talk America Radio Networks and promoted to Director of Engineering. After Talk America was purchased by the IDT Corporation, Brian supervised moving the nationally syndicated network to Newark, NJ, including the transfer of programming and operations. In addition, Mr. Rose designed and managed the construction of a new digital studio complex. This state-of-the art facility was featured in multiple industry leading trade publications including Radio World and BE Radio. Brian has also written reviews and articles on various types of broadcast equipment and systems, which have been published in trade publications such as Radio Magazine, Radio World, and TV Technology. While at IDT Corporation, Brian served as Vice President of Engineering & Operations for WMET in Washington DC (another network purchased by IDT). He supervised a 50-Kilowatt power upgrade at a transmitter site, designed and managed the construction of a new 8500 sq. ft digital studio complex containing two production rooms, a master control studio, talk studio, and a newsroom for the WMET network. Brian relocated back to his home-state of California in the early 2000’s, where he began working at TV Magic as a Project Engineer. He was involved in various projects including worship center A/V and TV production, city council chambers A/V and TV production, community center A/V projects, and more. He supervised the offsite and onsite work for HD upgrades at both the Saddleback Church in Lake Forest, CA and for Word of Life Christian Center in Las Vegas, NV. He served as Project Engineer for the David H. CITY OF COSTA MESA – The City of Costa Mesa contracted with Triton to provide the design and project oversight of their production, master control, and audio-visual systems that serve their Council Chamber, their Community Room, and Conference Room 1-A. This project included tenant improvement in these spaces that moved the city council meetings to another city facility. The City also contracted with Triton to design and build a flypack (mobile/portable video production) system to be used for the remote meetings and other productions. Their system was designed in multiple cases as they would be transported often. Their system was mostly video as they had an existing portable audio system, we integrated the video system with. This includes $1,000.00 allocated to be used for outside repair fees, materials/equipment, or freight fees. Outside repair fees would include bench work or repair services a manufacturer charges if equipment requires repair. Materials include cables, connectors, and other consumables that may be required as well as any low- cost equipment that may be required. Freight fees would be charged at Triton’s cost to ship any equipment that required repair by a manufacturer. The outside repair fees, material/equipment or freight frees would only be billed if required. Any outside repair fees would need to be approved by City staff prior to the repair occurring. Triton Technology will contract with the City of La Quinta to provide support services for a period of one year from the date of contract or purchase order. Any future upgrades to these systems performed by Triton or backed with system documentation will be supported during the term of the contract. SUPPORT SERVICES The support services will include: B Upon execution of the contract, Triton will provide an engineer and installer to come onsite for two days to provide the following tasks:  Evaluate the existing systems for performance and correct operation. Identify any deficiencies that make the system unstable.  Confirm the accuracy of the existing system drawings.  Confirm the Crestron code provided by the city is uncompiled and can be modified.  Inventory the equipment  Correct any deficiencies in connections including re-termination if possible.  If time allows potentially hand draw how the equipment in the racks is wired and add temp or non-permanent labels to the cabling.  At the conclusion of the two days onsite the engineer will provide a report that will report their evaluation of the system including any deficiencies found and any recommendations for corrections. This will include the items addressed in Proof of Theory of Operations, item “f” of the Cover Letter and recommendations to address these items. B Triton will provide one engineer to come on site four additional times in a year. The engineer will be onsite up to an eight-hour service day. B The service appointment will be scheduled 30 days prior to the service. We will try to accommodate scheduling this service sooner for an emergency or special event. Not all these items apply to all systems.  Cleaning equipment of dust including vacuuming of filters and equipment.  Confirm all video and audio levels are set properly and adjust as necessary.  Make any repairs or settings changes to the system that the client has notified Triton of prior to visit. Equipment requiring repair will follow procedures listed below.  Verify equipment software and firmware are up to date if needed including Engineering PC and other PC-based systems. Note that any changes to software or firmware are performed on an “as needed” basis in coordination with City staff and manufacturer.  Check audio system components related to the DSP.  Check input/output functionality at I/O or BSP panels  Test and calibrate mixer levels and work with client to adjust presets if needed  Overall system training which may not include specific equipment training.  Install new equipment at the visit if coordinated in advance of the visit. (This may require a design, other equipment, specialized installation materials or new cables pulled that may not be possible without prior coordination). B Provide written report of services performed including any recommendations or items that need to be addressed in the form of a report provided with one week of site visit. B Once notified of a condition or issue or an issue is observed onsite, Triton will provide phone and/or email technical support within 4 hours of the initial notification. This assumes initial notification would be within normal business hours not including weekends or holidays and the response would be within normal business hours as well. Once the problem has been identified Triton will help the client through the phone, remote login, or email to find a work around if possible. If no work around is possible, then Triton will schedule an appointment to come onsite at the first available opportunity. B Unlimited phone, offsite remote access support, text and/or email support during normal business hours, M-F 8am – 5pm excluding weekends and holidays for system technical problems. B This contract includes offsite time for research of any potential solutions, working with the device manufacturer’s tech support on behalf of the City and in coordination with City Staff if needed, or coordination of RMA’s. B Offsite remote access via Internet is included in this agreement if the city allows access to Triton’s personnel. See Triton’s “Triton’s Data and Network Security Liability Disclosure” for more information. All remote access systems to be provided by City of La Quinta and access must be approved for each instance. Triton will however bill these items separately. In most cases this cost is minimal ($250 or less) per service call. However, if a need arises requiring a substantial use of materials for a service call, Triton will identify these costs and will get approval from the City’s designated staff prior to the service call. B Any changes made to the system, during a regular scheduled maintenance appointment, that requires the existing documentation to be updated, Triton will update the documentation and provide both AutoCAD and pdf files to the city. This assumes the city already has electronic files of their documentation in AutoCAD. If electronic files do not exist, they cannot be updated. For any equipment that requires offsite repair by either the manufacturer or an authorized repair facility, Triton will provide the following service: B Triton will work directly with the manufacturer through the troubleshooting and return authorization process. B Once Triton receives a proposal for the service work (sometimes this information can be given prior to the manufacturer receiving the product and other times they need to physically evaluate the unit) we will provide a proposal to the city. The repair would not be completed until the City Staff approves the repair cost. B Triton will uninstall the equipment during the planned service visit. Triton will package it and ship it using ground freight except under the following conditions: expedited shipment, packaging for oversized items, palletized equipment, or items required to go by truck. These exceptions will be invoiced directly to the City at Triton’s cost. B Once the item is repaired and sent back, either the city’s own staff can reinstall it or Triton. If Triton reinstalls it, the city can elect to use one of the four annual service days they have available, or Triton will invoice this at the hourly service rates. B Triton will try in good faith try to acquire loaner equipment from the manufacturer while the city’s equipment is in for repair. If none is available the city has the option to rent equipment, which is not included in this contract. ASSUMPTIONS AND EXCLUSIONS: B Rental fees for lifts or other specialty equipment to gain access to, or test equipment is not included and would be billed to the city. B Triton will require unrestricted access to equipment and/or area(s) during normal business hours on scheduled visits. B Equipment and/or system failure(s) due to or caused by fire, abuse, unconditioned or fluctuating electrical power, misuse, negligence, natural or environmental causes (such as tornados, earthquake, lightning, corrosion, flood or other acts of God or other causes beyond our control) or equipment not part of the mentioned systems is not covered in this agreement. For more information, Triton’s Data and Network Security Liability Disclosure is available upon request. B This agreement includes one engineer to be onsite. If additional staff is required during an onsite visit, they will be billed at the onsite hourly rates noted above or one of the remaining days can be used to cover their cost. B Triton warrants the consumables needed for a repair to be free from defects for a minimum period of one (1) year from the date of the service call. Consumables are cables, connectors, solder, rack screws, or other consumables used or required during a service and or repair that is provided by Triton. The labor performed during an onsite visit is warranted for 90 days. Parts like lamps, fuses and batteries or other equipment parts are warranted under their standard manufacturer warranty. B This agreement does not include any benchwork services. Benchwork services will be provided by the equipment manufacturer, but Triton will coordinate the repair if required. B The proposal pricing is good for 90 days. B Liquidated damages are excluded from these services B There are no bonding requirements for these services therefore pricing for a bid, performance or payment bond are not included in the pricing. B Triton does not perform any high voltage electrical work requiring a C10 license including installation of new conduit pathways. B All permits to be provided by the city. B Any design work requiring and Electrical, Mechanical, Civil, or Acoustical Engineer is not included in this scope of services. PAYMENT TERMS The total cost for this agreement is $13,625 with the price and payment terms as follows: B $1,000.00 allocated to be used for outside repair fees, materials, equipment, or freight fees. Sales tax is applicable to some of these items and will also need to be included in this amount. This amount or a portion thereof will only be invoiced at time it is used with payment due in Net 30 days. B $12,625.00 for the services specified in this agreement. This fee will be billed as:  $2,000 to be invoiced at time of contract with payment due in net 30 days.  $3,625 to be invoiced at completion of two days onsite and delivery of report with payment due in net 30 days. LIST COMPLIMENTARY SERVICES Complimentary services Triton provides is as follows: B Design and Project Oversight. Triton provides these services to government clients for when the project needs to go out to bid. This includes a detail design and written technical bid specifications for the systems designed. Project Oversight includes attending the Job Walk, answering questions and helping the client answers any questions that come up. Project Oversight also includes answering any RFI’s or RFQ’s the contractor may ask during the installation or commissioning process. Triton provides oversight of the project as the Contractor builds the system this includes confirming they are meeting the bid specifications, creating a punch list for items that need to be fixed or resolved before the client signs off on the project. B Design. Triton provides this service when the client wants to design the system and install it. B Installation and Commissioning. Triton provides the installation and commissioning services for systems they have designed. Training is included. All of these services are available per the fee schedule above it the client wants to contract these additional services as Time and Materials. Triton can also quote firm fix pricing for these services as well and that pricing will vary based on the scope of work. B Gus Allmann, Chief Technology Officer – Gus would be the secondary technical contact for any reason. For any projects Gus is responsible for he manages the engineering and installation crew assigned to the project. B Brian Rose, VP of Engineering – Brian would be the main point of contact for all technical or service-related issues. He typically handles all government clients and appoints other engineers, programmer, or installer on a case-by-case basis depending on the issue. He is responsible for the overall evaluation of the issue and can very quickly determine the right person to address the issue. For any projects Brian is responsible for he manages the engineering and installation crew assigned to the project. B Tammy Thompson, Office Manager – Tammy is the main point for contact for accounting and or equipment purchases/returns/RMA’s or other general operational or administrative tasks. SUBCONTRACTING SERVICES Triton uses a very select few sub-contractors to provide services. We only use a select few because we are happy with the quality of service that they provide, and they have skills we may not, or we don’t use often enough to be efficient or proficient. We have been using the same sub-contractors for ten years. We use our sub-contractors on a case-by-case basis. The sub-contractors we use provide programming for specialized control and audio software, installation crews for when we need to scale up for an installation, and potentially other engineers depending on the project and their skillset. For this project we anticipate that Triton’s staff will be utilized the majority of time.
