RECITALS A. City is the legal owner of a fee interest in certain real property located in the County of Riverside, State of California, commonly known as Parcels 7, 8, 9, 10, 13, 14, and 16, of Parcel Map No. 37207, as filed in Book 242 of Parcel Maps, at Pages 72 through 87, inclusive, and being in La Quinta, California, and more particularly described in Exhibit C attached hereto and incorporated herein by reference (hereinafter referred to as the "Property"). B. City desires to grant to reserve a perpetual and irrevocable easement in, on, under and across a portion of the Property described in Exhibit A and depicted in Exhibit B (both of which are incorporated herein by this reference) for public utility purposes. CONDITIONS AND RESERVATIONS NOW, THEREFORE, City reserves and declares as follows: 1. DESCRIPTION OF EASEMENT AREA. City hereby reserves non-exclusive easements for the purposes listed below on that portion of the Property described on Exhibit A and depicted in Exhibit B (the "Easement Area"). 2. PURPOSE. The easements are for a perpetual and irrevocable easement for (i) below surface grade use of the Easement Area for public utility purposes including, but not limited to, public sewer, water, gas, electric, telecommunications, cable and (ii) the surface use of the Easement Area for access purposes and vertical improvements appurtenant to the subsurface improvements. 4843-7765-7210.1 DOC #2018-0464669 Page 2 of 24 3. DECLARATION OF RESTRICTIONS. City shall retain all normal rights and incidents of ownership of the underlying fee interest in the Property not inconsistent with this Declaration. Specifically, City shall retain the right to improve the surface of the Easement Area with paving including relating to parking and access and with landscaping (provided the same does not present of a risk of root intrusion to the subsurface improvements) but may not improve the surface of the Easement Area with vertical improvements. Following the installation of public utility improvements pursuant to this Agreement, if access to such improvements for repair or maintenance purposes or for new installations requires the surface improvements to the Easement Area to be damaged or removed, following such work, the party performing such work shall return the surface of the Easement Area to the condition prior to the commencement of such work. City, its successors, assigns, and future property owners must relocate any utilities or other encumbrances located within the Easement Area at City's, its successors, assigns, or future property owners' sole cost and expense if requested by City for use of the Easement Area. 4. DURATION; SUCCESSORS AND ASSIGNS; RUNS WITH THE LAND. This Declaration shall be binding upon the owner and the heirs, assigns or successors in interest to the Property described above in perpetuity and shall not expire. This Declaration and terms, conditions and restrictions shall run with the land and be binding on the heirs, assigns and successors of the City in the manner provided for herein. 5. TAXES AND ASSESSMENTS. This Declaration and conditions shall be deemed to constitute a servitude upon and burden to the Property within the meaning of Section 3712(d) of the California Revenue and Taxation Code, or successor statute, which survives a sale of tax - deeded property. 6. COUNTERPARTS. This Declaration may be executed in one or more counterparts, which, taken together, shall constitute one complete and enforceable reservation of easements.
