The City and Rindlesbach Construction, Inc. Profit Sharing Plan, ritindlesbach") entered into a certain improvement. agreement ("Improvement Agreement") to develop housing within a subdivision coromonlyr known as Polo Estates Tract Map 31852 located in La Quints;, California (the "Subdivision"). The Improvement Agreement,, among other things, required Rindlesbach to construct certainon-site and off -site improvements (collectively "Public: Improvements') on the Project;, B. The Improvement Agreement.: required Rindlesbach to provide surety bonds in eonnecti.on with the Public Improvements. Rindlesbach did procure and deliver to the City: (1) Bond 5007404, in the penal sum of $780,618,, which was issued by Bond Safeguard, as surety, on behalf ofRind'lesbach, as principal, and the City, as obligee, and (2) Bond 5.007405, in the penal sum of $764,186, which was issued by Bond Safeguard, as surety, onbehalf of Rindlesbach, as principal, and the City, as obligee (collectively the "Bonds}'). C. The City has declared Rindlesbach in default of the Improvement Agreement because of its failure to complete the Public hnprovements; D The City made a claim against the Bonds for the completion of the PublicImprovements,; and E, The City and Bond Safeguard have worked together to prioritize the work remaining to be completed and have agreed that Bond Safeguard shall complete the improvements set forth in Exhibit "A," attached hereto and made a part hereof as if set forth in full (hereinafter "Scope of Work") AGREEMENT NOW; THEREFORE, inconsideration of the terms and conditions set forth in this Agreement; and. for other good and valbable consideration, the receipt and adequacy of which is acknowledged„ the City and Bond Safeguard agree as follows: I. Madison Street Work-. In lieu of performing any work on or in connection with Madison Street, within thirty days of execution of this Agreement, Bond Safeguard shall pay the City the sum of $28.O,000. b,. Power Pole Relocation: The City shall demand and use its best efforts to compel Imperial. Irrigation District: to relocate the power poles at its own cost and expense. Bond Safeguard may demand that the City provide evidence that it used its best efforts to seek to compel Imperial Irtrgation District to relocate the power poles at its own; cost and. cost expense. ii. In the event the City is required to pay for the cost of the relocating the power poles, Bond Safeguard shall reimburse the City for the costs ofrelocating the i •ever poles, up to the sum of $75OOCE Bond Safeguard's total liability in t'sttt, 2 connection with the relocation of the power poles on. the Subdivision shall not exceed the total sum of $75,O00. Bond Safeguard shall hire a contractorto complete all items under the Scope of Work_ Without limiting the foregoing, Bond Safeguard shall require its, contractor to comply with all insurance requirements contained in the linprovement Agreement and any and all applicable labor laws. 4_ The Scope of Work shall bee completed within six (6) months from. the date that the CVWD provides written acceptance of the Updated Landscaping planes (the "Completion Date"). inthe event that the construction of the work is interrupted or prevented by acts: of Go d, acts of war or rebellion, labor, disturbances (other than those caused by Bond Safeguard or its contractor), acts of Government or governmental officers or any cause beyond the control of Bond Safeguard, the time for completion shall be extended by an amount- of time equal to the number of days ofdelay. 5. Bond Safeguard's contractor will be submitting to the City listsof work items at intervals to be determined in the agreement between Bond Safeguard and its contractor Each list of work items will show the contractor's calculation of the percentage of work completed for each portion of the Scope of Work as of the end of the period covered b:y the list of work items. When Bond Safeguard's contractor is ready to have completed work inspectedby the City, the contractor will'arrange for the inspection through the City's inspection hotline and the inspection will occur in the normal course of the City's operations, After receipt of the hotline telephone call requesting an 3 inspection, the City shall inspect the contractor's work covered by the list of work items, and shall either. a_ Issue written approval ofthe contractor's list of work items to the contractor and Bond Safeguard', which approval shall constitute a representation by the:City to Bond Safeguard, based upon, the: City's inspection of the work, that to the best of the City's knowledge., information and belief„ the work has progressed to the point indicated in the list of work items, and the duality of the work is in accordance with the requi rements of this Agreement and Scope of Work; or. b. Ilia the City's opinion the representations to Bond. Safeguard as stated in sub -paragraph. (a), above cannot be made, the City wit notify the: contractor and Bond Safeguard' in writing of its reasons for' withholding approval of the list of work iteths, in whole or in:, part: i.. At such time as the contractor has corrected: the reasons for the City's failure to approve the list of work; items, the: contractor stall notify the City through the inspection hotline, and the City shall re-irispect in the normal course after receiving said notification. ii, Upon Completion of said re -inspection, theCity shall either issue its approval or advise Bond Safeguard and the contractor in writing of its reasons for withholding approval in .they manner set forth in subparagraphs (a) aid (h)„ above. 6. Upon completion, of the Scope of Work•,. Bond Safeguard shall he entitled le, a full release of the Bounds and the City shall release Bond Safeguard front any and all claims; causes of action, liabilities and damages, including attorneys' fees,, arising out of or related to Bonds, the nt Agre ent, the Public Improvements and the Subdivision. 4 7. Routine day-to-day operations and decisions as to the manner of performance of the Scope of Work will be made by the contractor hired by Bond Safeguard. It is acknowledged that no contractual relationship exists between the cornpleting contractor and the City with regard to the work., Ins this regard, Bond Safeguard and the City understand and agree that it has no authority to request any change orders from the contractor or Bond Safeguard unless the direction is in writing and signed by an officer of the City with sufficient authority and agreed to by Bond Safeguard. 8. Notwithstanding anything, herein to the contrary, the parties agree that the liability of Bond Safeguard, as surety, under the. aforesaid Bonds is lirnitcd to the penal stun of $1,544,804, and nothing in this Agreement constitutes as waiver of such penal sum or an increase of Bond Safeguard's inability or responsibiiitiess under the aforesaid Bonds., An payments made by Bond Safeguard to a. contractor hired by Bond Safeguard to complete the Scope of Work as provided for in, this Agreement regarding the improvements covered by the Bond on the. Project shall serve to reduce the penal sum of the. Bonds and Bond Safeguard's liability. thereunder: 9., This Agreement contains the entire understandings and agreements, of the parties hereto. He asked Council to communicate with the company and take action to keep the store in place. Mayor Adolph explained the city's efforts to retain Ralph's and/or find a replacement as soon as possible. PUBLIC SPEAKER: Sheila Clemens, La Quinta — Ms. Clemens said she does not want the closing of the Ralph's Grocery to cause that center to be a ghost town. PUBLIC SPEAKER: Thomas Allen Worthy — Mr. Worthy said he is homeless and applied for housing to Coral Mountain Apartments. Mr. Worthy also spoke about his litigation against Eisenhower Medical Center. PUBLIC SPEAKER: Samantha Hoffman, La Quinta — Ms. Hoffman spoke in favor of keeping Ralph's Grocery open and asked residents to contact Ralph's at 800- 576-4377 or on Ralphs.com.
