AMENDMENT NO. 1 TO AGREEMENT WITH
CENTRAL COMMUNICATIONS
This Amendment No. 1 to Agreement with Central Communications ("Amendment
No. 1 ") is made and entered into as of the 1 st day of July, 2023 ("Effective Date") by and
between the CITY OF LA QUINTA ("City"), a California municipal corporation and
CENTRAL COMMUNICATIONS, an S Corporation ("Contracting Party").
RECITALS
WHEREAS, on or about July 1, 2022, the City and Contracting Party entered into
an Agreement to provide telephone answering services for the City. The initial term of
the Agreement expires on June 30, 2023; and
WHEREAS, the City and Contracting Party have mutually agreed to extend the
Agreement for one (1) additional year from July 1, 2023 to June 30, 2024.
WHEREAS, Section 5 Compensation of the Agreement is being amended to
include additional compensation through June 30, 2024 for services in the amount of
$10,000.00, for a total not to exceed amount of $25,000.00; and
WHEREAS, Exhibit "C" shall be amended to reflect the additional $10,000 in
additional services, for a total not to exceed amount of $25,000.00.
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows:
1. Section 4 — Term is amended to read as follows:
The term of this Agreement shall be from July 1, 2022 to June 30, 2023 ("Initial Term"),
unless earlier terminated as set forth in the attached Terms and Conditions. This
Agreement is being extended for one (1) additional year from July 1, 2023 to June 30,
2024 ("Extended Term").
2. Section 5. — Compensation is amended to read as follows:
Vendor shall receive compensation for services rendered under this Agreement at the
rates and schedule set forth in the attached Exhibit "C" but in no event shall Vendor's
compensation exceed Twenty -Five Thousand Dollars ($25,000.00) without written
agreement.
3. Exhibit "C" — Compensation for Services is amended to read as follows:
The maximum total compensation to be paid to Vendor under this Agreement is not to exceed
Twenty -Five Thousand Dollars ($25,000.00) (Contract Sum). The Contract Sum shall be paid to
Vendor in installment payments made monthly and in an amount identified in the Fee Schedule
below for the work tasks performed and properly invoiced by Contracting Party.
In all other respects, the original Agreement shall remain in effect.
IN WITNESS WHEREOF, the City and Contracting Party have executed this
Amendment No. 1 to the Agreement on the respective dates set forth below.

COMPENSATION FOR SERVICES
The maximum total compensation to be paid to Vendor under this Agreement is not to
exceed Twenty -Five Thousand Dollars ($25,000.00) (Contract Sum). The Contract Sum
shall be paid to Vendor in installment payments made monthly and in an amount identified
in the Fee Schedule below for the work tasks performed and properly invoiced by
Contracting Party.
Fee Schedule
Plan includes a Monthly Base Rate of Six Hundred Eighteen Dollars ($618) which
includes 500 minutes of live agent time. Rate for additional time is $1.14 per minute and
a recurring monthly charge of $5 per month for telecom fee.
