SCOPE OF WORK SERVICE AND SUPPLIES Service Maintenance Agreement Level IV All devices provided in this proposal come with Service Maintenance Agreement Level IV which covers full-service maintenance contract including all labor, repair parts, preventive maintenance service, and supplies such as staples, toner, developer, fuser, and drums. Paper and IT/network-related issues are NOT covered by the agreement. Should the City needs IT/network-related issues, ABD Office Solutions provides service $125.00 for three (3) workstations; $25.00 for each additional. The service maintenance contract coverage extends to the duration of the lease term. Remedial and Preventive Maintenance ABD Office will provide regularly scheduled remedial and preventive maintenance services for the equipment identified in this proposal — Monday through Friday, except regular and City holidays, during the hours of 8:OOAM to 5:OOPM. Schedule will be provided to each department at the beginning of the lease. Service will be accommodated on holidays, weekends, and after-hours upon request provided that (a) there should be a notification three days prior to scheduled date of service and (b) with an additional charge of $150.00. Preventive maintenance services will be based on the specific needs of the equipment as determined by the manufacturer. Notices of discontinuing production of device, which may require preventive maintenance, will be provided. On-call remedial maintenance will be performed on an as -needed basis as determined by City or by device diagnostics. Inventory of OEM Kyocera spare parts are kept at ABD Office Solutions' warehouse located at 180 Vander St. Corona, CA 92878. All maintenance services will be performed by Kyocera -trained technicians. Supplies ABD Office Solutions will insure availability of consumable supplies. All supplies will be delivered to designated locations within 72 hours of request. To increase efficiency and to prevent copier downtime due to used -up toners, ABD Office Solutions will be providing one (1) extra OEM Kyocera toner for each device and will also be using Kyocera Fleet Services (KFS) which maintains all devices in one network maintenance solution. It carries out essential monitoring and maintenance of the devices for quicker identification and response to issues via cloud. This is a Kyocera software application that is installed in every device. This may be for term of leased equipment, the duration of service maintenance, or at the discretion of the customer. KFS is hosted off-site in the highly secure Microsoft Azure Cloud. Benefits of the application include: 1. No additional server is necessary. 2. More consistent uptime for all Kyocera devices in the fleet. 3. Real-time device diagnostics and alerts. 4. Convenient firmware updates. 5. Remote error resolution, code -resetting. 6. Ongoing monitoring of supply levels. 7. Virtually eliminates need for maintenance by end-users. Operating Procedures A. Customer Support Services All of the City's concerns regarding the devices are to be communicated using ABD Office Solutions' dedicated personnel, contact numbers and/or e-mail addresses indicated in this proposal. Calls and/or e-mails are being documented once received and will be provided with Work Order number. The requests for supplies, repairs, service, and/ or preventive maintenance services will then be directed to supplies and service and repairs department, respectively. Accounts and invoice -related concerns will be directed to Admin & Finance Department. The department will create a sales order or a work order, whichever is applicable. Supplies will be shipped and service and repairs will be scheduled and will be passed down to key staff responsible accordingly. ABD Office Solutions will provide ongoing telephone support regarding the use of the equipment to end-users' departments and the technical support department during office hours or from Monday through Friday 8:OOAM - 5:OOPM. This avoids unnecessary stock -piling high volumes of toners and wasting time on routine toner order and replacement. It also enables quicker identification and response to device issues via cloud. With remote monitoring, maintenance needs can be preempted and planned. Thus, Kyocera devices are expected to perform satisfactorily. Ninety-six percent (96%) performance / equipment uptime should be expected among the Kyocera machines provided. C. Response Time ABD Office Solutions guarantees the availability of genuine Kyocera replacement parts, applicable accessories, and equipment within four (4) hours of initial report communicated either via email or telephone during regular business hours Monday through Friday, exclusive of holidays, during the hours of 7:30am to 4:00 pm. Requests submitted after 1:00 pm will be responded to no later than 9:OOam the next business day. If reposted defect/s remains unresolved for a period of 24 to 72 hours or more, the vendor will provide the City with a comparable loaner unit, including installation, at no charge. Repairs necessitated as a result of alteration, additions or deletions, adjustment, or repair by anyone other than ABD Office Solutions (or its representative) are not included. Additional charges may apply if the damage resulted from: 1. accident, misuse, neglect, failure to follow instructions for proper use, care or cleaning of device or abuse of the equipment or component (such as, but not limited to, use of incorrect line voltages, use of incorrect fuse, use of incompatible devices or accessories, improper or insufficient ventilation, failure to follow operating instructions, or use of out of specification by anyone other than ABD Office Solutions. 2. An act of God such as, but not limited to, lightning, flooding, tornado, earthquakes, and hurricanes. 3. Failure due to an external factor - fire, flood, failures, fluctuations of electrical power or air-conditioning. 4. Repairs due to excessive use, wear, and tear. 5. Damage from theft, and similar form of neglect. 6. The loading of software, software configurations or any data files. 7. The moving of device from one geographic location to another. D. Loaner A comparable loaner unit will be provided by ABD Office Solutions if reposted defect/s remains unresolved for a period of 24 to 72 hours. The loaner unit will be installed at no cost other than the service maintenance agreement cost -per -copy in effect at the time to the City, will have the same minimum features and/ or configuration (Copy, Print, Scan, if applicable - Fax, Stapling, Hole Punch) and will have the same or faster print speed as to the device being temporarily replaced. However, the loaner unit may or may not be of the same make and model. Selection of loaner unit will be based on the features, print speed, and on the availability of the comparable device. E. Equipment Relocation An installed device may be relocated one (1) time per year free of charge to the City. However, if the same device will be relocated, the City agrees to the charge of $250.00 per device. The City shall notify ABD Office Solutions for any plans of device relocation. Potential damages caused by unauthorized relocation of the device are subject to additional charges not covered in this agreement. This does not include replaced or upgraded devices. F. Invoicing ABD Office Solutions will provide separate official invoices for each copier installation listing. Lease and maintenance payment will be billed separately. Vendor will also provide a monthly summary report delineating cumulative copy/print usage. The report will include machine number, make, model, location, and serial number. Copy charges will be billed monthly, in arrears, on actual copy usage. Payment terms will be Net 30 Days. Monthly invoices will reflect: 1. Invoice date and number 2. Purchase order contract number 3. Location, make, model, and serial number 4. Total number of copies 5. Current and previous reading 6. Date of meter reading 7. Taxes and total charges by location, machine, and serial number. 8. If applicable, invoice will also include line item identifying per copy credit Lease Charges will be billed monthly. Payment terms will be Net 30 Days. Invoices will reflect lease price and applicable taxes by machine, location, and serial number. INSTALLATION, PROGRAMMING, USER TRAINING, AND REMOVAL OF EQUIPMENT Installation, Inspection, and Acceptance In coordination with the City, ABD Office Solutions will deliver and install all devices (each will have an operating manuals/ guides) within the estimated dates indicated herein. All devices, being brand new and installed properly, are expected to work in the City's environment without difficulty or failure. City should notify ABD Office Solutions should there be any difficulty or failure of device performance. If a copier/printer does not perform to manufacturer's specifications within the first 120 days of initial installation, ABD Office Solutions will replace the units with a newly manufactured copier/printer of the same make/model. After 120 days, machines that develop a trend of requiring an excessive number of service calls defined as four (4) service calls in a month or six (6) service calls within a 90 -day period, including, but not limited to open service orders, will be replaced with comparable equipment of equal or greater capability at no additional charge or change to contract term. Vendor and City will mutually agree to the replacement, and the City will be the final authority for determining whether a machine has been subject to an excessive number of service calls. The replacement machine will be provided within 96 hours of written request by the City. Vendor's repeated failure to comply with this obligation shall constitute a material breach of the contract. User Training Training will be provided by authorized representative of ABD Office Solutions, at no cost, for all potential users as requested and scheduled per mutual agreement between Vendor and the City. On-site training schedule will be determined by the City at their convenience during regular office hours from Monday to Friday, 8:OOAM to 5:00 PM—excluding holidays—and should be scheduled within thirty (30) days after equipment delivery and installation. ABD Office Solutions will provide a minimum of (1) one-hour orientation and training which will include topics regarding all aspects of machine operation, maintenance, and supply replenishment for each machine placed in service. Additional training, as needed, will be available at no cost to the City. However, the City should notify ABD Office Solutions of such additional training which will be scheduled accordingly depending on the availability of the authorized representative. Removal and Surrender of Equipment The City does have option to purchase at end of 60 -month FMV lease term. Sixty (60) days prior to lease expiration, ABD Office will provide notice of such expiration and go over options, such as intent to end lease and return equipment or extend the lease month to month. If the City opt to return the devices, ABD Office Solutions will proceed with de -installation and haul - away free of charge after coordination with the City.
