Why Select CBE The applicable knowledge and experience that we have gained by working with municipal customers for so many years helps ensure that our partnership provides immediate benefits to the City. There will be no need for a "learning curve" since we are already very familiar with similar print environments. Further, we feel what further qualifies CBE as an equipment and service provider for major municipal accounts like City of La Quinta is our unique process from project beginning to project end. Making sure you get the right equipment is where it starts, and once equipment is mutually agreed upon, CBE strives to make the transition and implementation of our program as seamless as possible, and to minimize disruption to the daily workflow of City personnel. Close coordination and communication with single points of contact between City sites and CBE is extremely important. The CBE Implementation Team will work together with City personnel to create an implementation guide based on the template below. CBE will use an Implementation Dashboard (provided via live link) that is shared with the City. This spread sheet -based document includes; • MFP Information - Over 55 columns of specific information including contact information for each site, serial numbers, IP addresses, MAC address, Printer Names, installation dates, priority, etc. 4 • Issues and Action Items - Any issues or concerns are listed publicly by responsible person and resolution. • Contact List - an itemized fist of contact information for each person involved in the implementation. • Copier Staging Status - Prior to delivery, the Staging document follows the process of equipment being set up and properly programmed. CBE can assist with the removal any equipment that is currently owned. Delivery of new equipment can typically be scheduled two business weeks from the time the contract is agreed upon and executed. Delivery is then scheduled and coordinated with each site manager. Equipment is preconfigured to customer's specification, with appropriate software licenses enabled, then once delivered, a network technician will connect the device. Training can be scheduled the same day as delivery, or within a few days of delivery, depending on City of La Quinta availability and schedule. Monthly or Quarterly Business Reviews are recommended. End User Training Once the equipment is up and running, we shift to staff training. CBE firmly believes that proper user training is the cornerstone of any successful program. By ensuring that users are properly trained to operate the equipment, as well as utilize the advanced features to simplify document workflow procedures and increase efficiency, CBE increases the satisfaction of our users. To meet this goal, CBE offers in-depth customer user training upon installation of all new equipment. These training courses consist of a general overview of the features of the machine, a review of available document processes, such as finishing, scanning and other options, instruction on how to maintain the unit, such as clearing simple paper jams and adding toner, and training on how to place service calls and collect meter reads. CBE views user training as an ongoing process and is committed to providing follow-up training throughout the course of our relationship - at no additional charge. This ensures all users are comfortable with the installed fleet of equipment. CBE Service and Maintenance CBE Office Solutions is committed to providing our customers with a world- class service program that complements our advanced product line. We have gone to great lengths to establish a service program that is effective, simple to manage and efficient in delivering comprehensive service, while also achieving our overall goals of increased reliability and customer satisfaction. To meet these goals, CBE has invested vast resources into the development of a Service Maintenance and Support program that is recognized by many experts as the best in the industry. With 15,000+ MFPs and Solutions in the field in Riverside, San Bernardino, Orange, Los Angeles and San Diego Counties, all fully supported by CBE Service and Technical experts, the CBE service model ensures that our customers receive the same high level of service, compliant with CBE's prescribed standards, consistently across all locations. Technician Training Program The foundation of the CBE's service program is built around a training model designed to provide expert -level knowledge to each of CBE's manufacturer - authorized technicians. All technicians must complete technical training and 10 obtain product certification on each unit they will maintain prior to being authorized to provide field -service for that model. Product training begins with instructor -led classroom training, where each technician receives hands-on instruction in the operation and repair of each unit they will service. Upon completion of classroom training, and achievement of product certification, follow-up training is provided via both classroom -style and web -based programs, to ensure each technician is fully up to date on the service procedures for all models they will support. In addition, many CBE authorized technicians also attend training and receive certifications in a variety of network and software applications, resulting in well-rounded experts capable of supporting hardware, as well as the applications and network the units are integrated into. Reliable, Centralized Supply and Service Dispatch Quick Response: When you call for service, you are calling our headquarters in Irvine, CA. Your call does not go to Connecticut or Arizona. There is no delay due to a voicemail tree with multiple options to get you to your destination. When you call for supplies you get a live voice. When you call for service, you get a live voice. Our goal is that an incoming customer call should never go more than two rings before being answered. For your convenience, supply orders and service requests can be made just as easily online. Supply Replenishment CBE uses a supply replenishment process that delivers supplies on time, every time. One of the core goals is to reduce greenhouse gases by combining toner supply deliveries to minimize the number of boxes and shipments. Using an advanced algorithm, deliveries to the same site that are expected in any upcoming 10-20 day period are combined and delivered together, thereby reducing the number of truck deliveries. The algorithm monitors actual usage of each individual device and provides the necessary toner when needed. End users have access to the website platform that provides toner levels, date of expected depletion, date of expected supply shipment, UPS tracking numbers and pick tickets. 11 Having this information at hand provides a sense of relief to end users who see the low toner indicator on their copier. Each individual box of toner is affixed with a yellow tag indicating exact delivery location, device, and serial number. City of La Quinta can provide access to the web platform to individual administrators at each department site. Each site will only see the equipment at that site. 11 111111 llllllllllllllllll IIII Please see sample images on the following page. Deliver To; NYPRINTERMANAGER.com Welcome. When the law establishes a professional standard of care for Contracting Party's Services, to the fullest extent permitted by law, Contracting Party shall indemnify, protect, defend (with counsel selected by City), and hold harmless City and any and all of its officials, employees, and agents ("Indemnified Parties") from and against any and all claims, losses, liabilities of every kind, nature, and description, damages, injury (including, without limitation, injury to or death of an employee of Contracting Party or of any subcontractor), costs and expenses of any kind, whether actual, alleged or threatened, including, without limitation, incidental and consequential damages, court costs, attorneys' fees, litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and costs of investigation, to the extent same are caused in whole or in part by any negligent or wrongful act, error or omission of Contracting Party, its officers, agents, employees or subcontractors (or any entity or individual that Contracting Party shall bear the legal liability thereof) in the performance of professional services under this agreement. With respect to the design of public improvements, the Contracting Party shall not be liable for any injuries or property damage resulting from the reuse of the design at a location other than that specified in Exhibit A without the written consent of the Contracting Party. b. Indemnification for Other Than Professional Liability. Other than in the performance of professional services and to the full extent permitted by law, Contracting Party shall indemnify, defend (with counsel selected by City), and hold harmless the Indemnified Parties from and against any liability (including liability for claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, losses, expenses or costs of any kind, whether actual, alleged or threatened, including, without limitation, incidental and consequential damages, court costs, attorneys' fees, litigation expenses, and fees of expert consultants or expert witnesses) incurred in connection therewith and costs of investigation, where the same arise out of, are a consequence of, or are in any way attributable to, in whole or in part, the performance of this Agreement by Contracting Party or by any individual or entity for which Contracting Party is legally liable, including but not limited to officers, agents, employees, or subcontractors of Contracting Party. C. Indemnity Provisions for Contracts Related to Construction (Limitation on Indemnity). Without affecting the rights of City under any provision of this agreement, Contracting Party shall not be required to indemnify and hold harmless City for liability attributable to the active negligence of City, provided such active negligence is determined by agreement between the parties or by the findings of a court of competent jurisdiction. In instances where City is shown to have been actively negligent and where City's active negligence accounts for only a percentage of the liability involved, the obligation of Contracting Party will be for that entire portion or percentage of liability not attributable to the active negligence of City. Exhibit F Page 1 of 2 29 ATTACHMENT 'I d. Indemnification Provision for Design Professionals. 1. Applicability of this Section F.1(d). Notwithstanding Section F.1(a) hereinabove, the following indemnification provision shall apply to a Contracting Party who constitutes a "design professional" as the term is defined in paragraph 3 below. 2. Scope of Indemnification. When the law establishes a professional standard of care for Contracting Party's Services, to the fullest extent permitted by law, Contracting Party shall indemnify and hold harmless City and any and all of its officials, employees, and agents ("Indemnified Parties") from and against any and all losses, liabilities of every kind, nature, and description, damages, injury (including, without limitation, injury to or death of an employee of Contracting Party or of any subcontractor), costs and expenses, including, without limitation, incidental and consequential damages, court costs, reimbursement of attorneys' fees, litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and costs of investigation, to the extent same are caused by any negligent or wrongful act, error or omission of Contracting Party, its officers, agents, employees or subcontractors (or any entity or individual that Contracting Party shall bear the legal liability thereof) in the performance of professional services under this agreement. With respect to the design of public improvements, the Contracting Party shall not be liable for any injuries or property damage resulting from the reuse of the design at a location other than that specified in Exhibit A without the written consent of the Contracting Party. 3. Design Professional Defined. As used in this Section F.1(d), the term "design professional" shall be limited to licensed architects, registered professional engineers, licensed professional land surveyors and landscape architects, all as defined under current law, and as may be amended from time to time by Civil Code § 2782.8. Contracting Party agrees to obtain executed indemnity agreements with provisions identical to those set forth herein this Exhibit F, as applicable to the Contracting Party, from each and every subcontractor or any other person or entity involved by, for, with or on behalf of Contracting Party in the performance of this Agreement. In the event Contracting Party fails to obtain such indemnity obligations from others as required herein, Contracting Party agrees to be fully responsible according to the terms of this Exhibit. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set forth in this Agreement are binding on the successors, assigns or heirs of Contracting Party and shall survive the termination of this Agreement.
