2021-23 Riverside County - CDBG Cooperation Agrmt FY 2021-23 AMENDMENT 1 LQ Reso 2020-0341 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 FIRST AMENDMENT TO THE COOPERATION AGREEMENT FOR THE COMMUNITY DEVELOPMENT BLOCK GRANT, HOME INVESTMENT PARTNERSHIP PROGRAM, AND EMERGENCY SOLUTIONS GRANT FOR FEDERAL FISCAL YEARS 2021, 2022, AND 2023 THIS First Amendment to the Cooperation Agreement for the Community Development Block Grant, HOME Investment Partnership Program, and the Emergency Solutions Grant for rt - Federal Fiscal Years 2021, 2022, 2023, ("First Amendment") is made and entered this day of D �MM\OV , 2020, by and between the COUNTY OF RIVERSIDE, a political subdivision of the State of California, hereinafter referred to as "COUNTY", and the CITY OF LA QUINTA, hereinafter referred to as "CITY." COUNTY and CITY are collectively referred to herein as the "Parties." WITNESSETH: WHEREAS, COUNTY and CITY entered into that certain Cooperation Agreement dated November 10, 2020 ("Cooperation Agreement"), where CITY agreed to participate in the COUNTY's Urban County's Community Development Block Grant (CDBG), Home Investment Partnership Act (HOME), and Emergency Solutions Grant (ESG) programs, for Federal Fiscal Years 2021, 2022, 2023, hereinafter referred to as "Urban County Programs"; WHEREAS, COUNTY and CITY desire to amend the Cooperation Agreement to incorporate certain provisions required under CPD -20-03, Instructions for Urban County Qualification for Participation in the Community Development Block Grant (CDBG) Program for Fiscal Years (FYs) 2021-2023; NOW, THEREFORE, in consideration of the foregoing, and the promises and mutual covenants and conditions hereinafter set forth, the COUNTY and CITY hereby agree as follows: 1. Paragraph (c) of Section 4, COMPLIANCE WITH FEDERAL STATUTES. REGULATIONS AND OTHER APPLICABLE STATUTES, REGULATIONS AND ORDINANCES, is hereby deleted in its entirety and replaced as follows: "(c) The COUNTY and CITY are hereby obligated to take all actions necessary to assure compliance with Section 109 of Title I of the Act, Amended Cooperation Agreement For CDBG Funds 2021-2024 Page 1 of 4 which incorporates Section 504 of the Rehabilitation Act of 1973, Title II of the American with Disabilities Act, and the Age Discrimination Act of 1975, and Section 3 of the Housing and Urban Development Act of 1968, and comply with other applicable laws. 2. ENTIRE UNDERSTANDING. This First Amendment and the Cooperation Agreement set forth contain the entire understanding and agreement of the Parties hereto. There are no oral or written representations, understandings, or ancillary covenants, undertakings or agreements, which are not contained or expressly referred to within this First Amendment and the Cooperation Agreement. 3. COOPERATION AGREEMENT IN FULL FORCE AND EFFECT. Except as otherwise expressly modified herein, all other terms and conditions of the Cooperation Agreement remain unmodified and in full force and effect. 4. EFFECTIVENESS OF FIRST AMENDMENT. The effective date of this First Amendment is the date the parties execute this First Amendment. If the parties execute this First Amendment on more than one date, then the last date this First Amendment is executed by a party shall be the Effective Date. 5. FURTHER ASSURANCES. The Parties agree to execute such other documents and to take such other actions as may be reasonably necessary to further the purposes of this First Amendment. Mr. McMillen and Others, Your city recently approved and submitted a revised Cooperation Agreement with the County for the CDBG, ESG, and HOME programs for the 2021-2024 Urban County cycle, as well as a revised resolution. We thank you for your valuable assistance and cooperation. Upon review of these recently submitted Coop Agreements, HUD has determined that additional changes are required. These changes reflect technical corrections to the CPD Notice 20-3 and certain language that was omitted from the original Cooperation Agreements. HOWEVER, due to extreme time constraints, the HHPWS and HUD were able to develop a simple Amendment to the Cooperation Agreement. No changes are required to the resolution. Pursuant to Section 24 of the Cooperation Agreement, the County determined it will not be necessary to submit the amended agreements to the Board of Supervisors; the amended agreements need only be signed by the HHPWS Director. It is hoped that your City will follow a similar process — review by City Attorney then execution by Mayor. The only section of the Cooperation Agreement to be amended is Section 4, Paragraph (c): 1. Paragraph (c) of Section 4, COMPLIANCE WITH FEDERAL STATUTES, REGULATIONS AND OTHER APPLICABLE STATUTES, REGULATIONS AND ORDINANCES, is hereby deleted in its entirety and replaced as follows: "(c) The COUNTY and CITY are hereby obligated to take all actions necessary to assure compliance with Section 109 of Title 1 of the Act, which incorporates Section 504 of the Rehabilitation Act of 1973, Title II of the American with Disabilities Act, and the Age Discrimination Act of 1975, and Section 3 of the Housing and Urban Development Act of 1968, and comply with other applicable laws. Attached please find the First Amendment to the Cooperation Agreement. It is imperative that your City return the amendment to HHPWS as soon as possible. The amendment is absolutely necessary for your city to participate in the County's CDBG, ESG, and HOME programs. Electronic signatures are acceptable_ We apologize once again for these necessary actions, especially during the continuing COVID-19 pandemic and holiday season. Given this inconvenience and burden placed upon your City, HHPWS will reimburse your city for all reasonable costs incurred for processing and approving this Amendment as well as the recent resubmittal of the 2021-23 Cooperation Agreement. Eligible costs can include city attorney reviews, city clerk, and support staff. You will be provided further information should the city seek reimbursement.
