DEVELOPMENT DEPARTMENT OF THE CITY OF LA
QUINTA AMENDING THE AMENDED FINAL MAP FOR
TRACT NO. 31732 AND THE CONDITIONS OF APPROVAL
THEREOF, AND AUTHORIZING THE CITY MANAGER TO
SIGN RELATED AMENDMENTS TO THE SUBDIVISION
IMPROVEMENT AGREEMENTS AND LIEN CONTRACT,
RELATING THERETO

WHEREAS, the Design and Development Director of the City of La Quinta,
California did, on March 27, 2024, hold a duly noticed Public Hearing to consider a
request by Project LQ LLC for an amendment to the final map 31732, modifying existing
conditions of approval, for property located southeast corner of Monroe street and
Avenue 60, more particularly described as:
APN 764-810-001 THROUGH 079, 764-820-001 THROUGH 077, and 764-830-
001 THROUGH 078
WHEREAS, the Design and Development Department published a public hearing
notice in The Desert Sun newspaper on March 15, 2024 as prescribed by the Municipal
Code. Public hearing notices were also mailed to all property owners within 500 feet of
the site; and
WHEREAS, the final subdivision map for Tract No. 31732 ("Original Tract Map")
in the City of La Quinta, County of Riverside, State of California, was approved by the
City Council of the City of La Quinta ("City Council") on or about March 21, 2006 and
filed in the Official Records of the Riverside County Recorder on July 5, 2007, in Book
423 pages 48-60; and
WHEREAS, the Original Tract Map was amended by Amendment No. 2
("Amendment") filed with the Official Records of the Riverside County Recorder on or
about August 23, 2017, in Book 456 pages 97-106 (the Original Tract Map and the
Amendment are collectively referred to as the "Final Map"); and
WHEREAS, the owner of the real property described by the Final Map ("Real
Property") is Project LQ, LLC, a California limited liability ("Owner"), as successor -in -
interest and purchaser for value thereof; and

WHEREAS, the Owner assumed the two Subdivision Improvement Agreements
(titled Amended Subdivision Improvement Agreements, one agreement for On -Site
Improvements and one for Off -Site Improvements) dated July 5, 2007, as amended
August 1, 2017, and March 23, 2021, securing certain improvement obligations
associated with the Final Map, (the "Existing SIAs"); and
WHEREAS, in or around March 2021, the Owner requested certain amendments
to the conditions of approval for the Final Map ("Conditions of Approval"), a copy of
which are on file with the City Engineer, and are available for review upon request; and
WHEREAS, in or around March 2021, the Owner requested that the Conditions of
Approval to the Final Map be amended to allow a lien contract ("Lien Contract") pursuant
to Government Code Section 66499(a)(4) and La Quinta Municipal Code Section
13.28.030 to replace, for a period of three (3) years from date of recording, the City the
security currently provided by the payment and performance bonds under Government
Code Section 66499(a)(1) and the Existing SIAs (the "Existing Payment/Performance
Bonds"); and
WHEREAS, in or around March 2021, the Owner's request included amending the
Existing SIAs to accommodate the use the Lien Contract as temporary substitute
security for the Existing Payment/Performance Bonds by those certain SECOND
ASSIGNMENT AND AMENDMENT TO SUBDIVISION IMPROVEMENT
AGREEMENTS for the OFF-SITE IMPROVEMENTS and ON-SITE IMPROVEMENTS
(two separate agreements) (collectively, the "SIA Second Assignment/Amendments");
and
WHEREAS, on or about March 23, 2021, the Director of the Design &
Development Department for the City of La Quinta, pursuant to the authority to review
and approve amendments to final maps in La Quinta Municipal Code Section 13.04.060,
approved the Owner's request to substitute the security provided by payment and
performance bonds by the Lien Contract and authorized the execution of the SIA
Second Assignment/Amendments; and
WHEREAS, the Lien Contract was recorded March 31, 2021, as Document #
2021-0201417 in the Riverside County Recorder's Office; and
WHEREAS, in or around March 2024, the Owner requested certain amendments
to the conditions of approval for the Final Map ("Conditions of Approval"), a copy of
which are on file with the City Engineer, and are available for review upon request; and
WHEREAS, in or around March 2024, the Owner requested that the Conditions of
Approval to the Final Map be amended to allow Lien Contract to continue to remain a

substitution of security for any payment and performance bonds for an additional period
through and including March 23, 2029; and
WHEREAS, pursuant to the Owner's request in or about March 2024, the Existing
SIAs are to be amended to accommodate the requested ability to use the Lien Contract
as temporary substitute security for the Existing Payment/Performance Bonds by those
certain THIRD AMENDMENT TO SUBDIVISION IMPROVEMENT AGREEMENTS for
the OFF-SITE IMPROVEMENTS and ON-SITE IMPROVEMENTS (two separate
agreements), substantially in the forms attached to this Resolution as Exhibits "A" and
"B" (collectively, the "SIA Third Amendments"), and in forms approved by the City
Attorney. Also pursuant to the Owner's request in or about March 2024, the Lien
Contract is to be amended to accommodate the requested ability to have it substitute
as temporary security for the Existing Payment/Performance Bonds through and
including March 23, 2029, by that certain FIRST AMENDMENT TO LIEN CONTRACT
AND DEED OF TRUST, substantially in the form attached to this Resolution as Exhibit
"C" (the "First Amendment to Lien Contract") and in a form approved by the City
Attorney; and
WHEREAS, the Director of the Design & Development Department for the City of
La Quinta has the authority to review and approve amendments to final maps pursuant
to La Quinta Municipal Code Section 13.04.060; and
WHEREAS, a Mitigated Negative Declaration was adopted by the City of La Quinta
City Council on January 20, 2004, under Environmental Assessment 2003-492. The
Design and Development Department has determined that the proposed project is
consistent with this previously approved project, as no changes to the map itself are
proposed; and
WHEREAS, it shall continue to be a condition of the amendments to the Conditions
of Approval that the pending Final Tract Map No. 37959-R for reversion to acreage of
the Real Property be held in abeyance by the City but may be recorded if the Owner
fails to replace the Lien Contract with payment and performance bonds as required by
the Conditions of Approval and Existing SIAs, as set forth in the SIA Second
Assign ment/Amendments and this Resolution; and
WHEREAS, at said Public Hearing, upon hearing and considering all testimony
and arguments, if any, of all interested persons desiring to be heard, said Design and
Development Director confirmed it has met all requirements from La Quinta Municipal
Code Chapter 13.20 [Final Maps and Parcel Maps].
NOW, THEREFORE, BE IT RESOLVED by the Design and Development Director
of the City of La Quinta, California, as follows:

SECTION 1. The Recitals and findings therein are true and correct and incorporated
by reference into this Resolution.
SECTION 2. The Final Map Conditions of Approval are hereby amended to read as
follows:
A new Condition 36.A.4 is added to read as follows:
36.A.4. The lien contract authorized by Condition 36.A.1 (added by Director Hearing
Resolution No. 2021-001) and recorded as Document # 2021-0201417 on March 31,
2021 with the Riverside County Recorder ("Lien Contract') may continue to be used, for
a period up to and including March 23, 2029, as temporary substitute security for
payment and performance bonds ("Payment/Performance Bonds') required pursuant to
the conditions of approval and those certain Subdivision Improvement Agreements (2),
both dated July 5, 2007, and both as amended on or about August 1, 2017, and both
as amended on or March 23, 2021, by those certain THIRD AMENDMENT TO
SUBDIVISION IMPROVEMENT AGREEMENTS (2) for the OFF-SITE
IMPROVEMENTS and ON-SITE IMPROVEMENTS (respectively) and attachment
thereto as Exhibits 'A" and "B" (collectively, the "SIAs'). Notwithstanding the 3 -year
deadline in Condition 36.A.1, the Lien Contract may continue to serve as temporary
substitute security; provided, however, that prior to the issuance of any permit, including
a grading or building permit, or the commencement of installation or construction of any
portion of the improvements required by the SIAs, whichever occurs first, the Owner
shall procure and post for the benefit of the City the Payment/Performance Bonds
required pursuant to the conditions of approval and the SIAs in amounts satisfactory to
the City; and provided further that, in any event, the Lien Contract shall be replaced by
the Payment/Performance Bonds required pursuant to these conditions of approval and
the SIAs in amounts satisfactory to the City no later than March 23, 2029.
Condition 36.13 (added by Director Hearing Resolution No. 2021-001) is deleted in its
entirety, and is replaced to read as follows:
36. B. In the event the Owner fails to replace the Lien Contract, as identified in Condition
36.A.4, with the Payment/Performance Bonds by March 23, 2029, the City may record
the pending Final Tract Map No. 37959-R, providing for reversion to acreage of the real
property subject to the Amended Final Map.
SECTION 3. The Existing SIAs are hereby amended by the SIA Third Amendments,
and are hereby incorporated into this Resolution by this reference.
SECTION 4. The Lien Contract is hereby amended by the First Amendment to Lien
Contract, and is hereby incorporated into this Resolution by this reference. The First

Amendment to Lien Contract shall be recorded in the Riverside County Recorder's
Office no later than March 31, 2021.
SECTION 5. The City Manager, or authorized designee, is hereby authorized on
behalf of the City to execute the SIA Third Amendments, the First Amendment to Lien
Contract, and to take any required actions to carry out the terms of this Resolution.

and Development Director, held on March 27, 2024, by the Design and Development

SUBDIVISION IMPROVEMENT AGREEMENT
AMENDED FINAL TRACT MAP NO. 31732
(ON-SITE IMPROVEMENTS)
This THIRD AMENDMENT TO SUBDIVISION IMPROVEMENT AGREEMENT (ON-SITE
IMPROVEMENTS) ("Third Amendment") is made and entered into as of the 27th day of March,
2024, by and among the CITY OF LA QUINTA, a municipal corporation of the State of California
("City") and Project LQ, LLC, a California limited liability company ("Project LQ").
RECITALS
A. City and KB Home Coastal, Inc., a California corporation entered into that certain
Amended Subdivision Improvement Agreement, dated July 5, 2007 ("Original SIA"), pursuant to
which KB Home Coastal, Inc., a California corporation, as the "Subdivider" defined in the SIA,
agreed to plan for, install, and construct certain public and/or private improvements on that real
property subject to Amended Final Map for Tract No. 31732 (the "Tract"), as more fully described
in Exhibit "A" of the Original SIA ("Improvements"). On or about August 1, 2017, the Original
SIA was amended by that certain Assignment and Assumption and Amendment to Subdivision
Improvement Agreement (On -Site Improvements) (the "SIA First Amendment").
B. Project LQ, as assignee, assumed the obligations of KB Home Coastal, Inc., a California
corporation, from VTL Palizada, LLC, a Delaware limited liability company, and agreed to certain
additional amendments to the Original SIA as amended by the SIA First Amendment, pursuant to
that certain SECOND ASSIGNMENT AND AMENDMENT TO SUBDIVISION
IMPROVEMENT AGREEMENT (ON-SITE IMPROVEMENTS) ("SIA Second Amendment")
entered into on or about March 23, 2021. The Original SIA, SIA First Amendment, and SIA
Second Amendment are collectively referred to herein as the "SIA."
C. Under the SIA Second Amendment, Project LQ and City agreed to certain modifications as
set forth therein, which included the substitution of a lien contract as temporary security for the
improvements to be completed under the SIA, and said lien contract temporarily substituting as
security was recorded in the Riverside County Recorders Office as Document # 2021-0201417 on
March 31, 2021 (the "Lien Contract"). The Lien Contract, as authorized by the City to serve as
temporary security under the SIA, is set to expire on March 31, 2024.
D. Pursuant to the request and application from Project LQ for an amendment to the Amended
Final Map for the Tract to extend until March 23, 2029, the ability for the Lien Contract to serve
as temporary substitute security, as more particularly authorized by the Director of Design and
Development for the City of La Quinta by Director's Hearing Resolution No. 2024-002, the parties
have agreed to enter into this Third Amendment.
AMENDMENT
NOW, THEREFORE, in consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree to amend the SIA as follows:
SECTION 3(b) of the SIA Second Amendment is amended to read as follows:
"(b) In the event that Assignee fails to replace the Lien Contract with the payment and
performance bonds called for in Section 2(A) of the Original Assignment & Amendment [as
defined in the SIA Second Amendment] no later than the March 23, 2029, the City may record
Final Tract Map No. 37959-R, whereby the real property subject to the Tract shall be reverted to
acreage and Final Tract Map No. 31732 shall terminate and be of no further force or effect."

FIRST AMENDMENT TO LIEN CONTRACT
AND DEED OF TRUST

THIS AMENDMENT TO LIEN CONTRACT AND DEED OF TRUST ("Lien Contract
Amendment") is entered into this 27t1 day of March, 2024, by and between the CITY OF LA
QUINTA, CALIFORNIA, a municipal corporation of the State of California ("City") and Project
LQ, LLC, a California limited liability company ("Owner").
RECITALS
A. Owner is the owner if fee of that certain unimproved real property located in the State of
California, County of Riverside, City of La Quinta, more particularly described in the legal
description attached hereto as EXHIBIT "A" and incorporated herein by this reference (the
"Property").
B. Owner and City executed that certain Lien Contract and Deed of Trust recorded as
Document # 2021-0201417 on March 31, 2021 (the "Lien Contract"), which, pursuant to
authorization from the City, allowed for the temporary substitute security for Owner's obligations
under the Final Map and SIAs, as those terms are defined in the Lien Contract. The Lien Contract,
as authorized by the City to serve as temporary security, was set to expire on March 31, 2024.
C. Pursuant to applicable provisions in the La Quinta Municipal Code, the City has approved
another amendment to the Final Map and the Conditions of Approval therein, which authorizes the
Lien Contract to remain as temporary substitute security for Owner's obligations under the Final
Map and SIAs until March 23, 2029.
NOW, THEREFORE, for good and valuable consideration, including the obligations herein and
the trust herein created, the receipt and sufficiency of which are hereby acknowledged, the parties
hereto agree as follows:
This Lien Contract and Deed of Trust shall continue to remain in full force and effect and serve as
temporary substitute security, in accordance with City of La Quinta Director Hearing Resolution
No. 2024-002, until such time as released and reconveyed by the City; provided, however, that in

no event shall the Lien Contract and Deed of Trust remain in effect and serve as temporary
substitute security after March 23, 2029.
The Lien Contract shall remain in full force and effect subject to the foregoing.
Execution in Counterparts. This Lien Contract Amendment may be executed in counterparts, each
of which shall be deemed an original, but which together shall constitute a single agreement.
