FIFTH SUPPLEMENT TO AGREEMENT FOR PURCHASE AND SALE OF REAL PROPERTY AND
INSTRUCTIONS TO ESCROW DATED JUNE 20, 2018 (RPA-CA revised 12/15) BY AND BETWEEN
Sunridge Properties, Inc. an Arizona corporation, AS BUYER and City of La Quinta, a California
Municipal Corporation, AS SELLER.
Previous instructions in the above numbered escrow are hereby modified and/or supplemented in the
following particulars only:
Buyer(s) vesting is hereby amended to LQ Hospitality Group LLC, an Arizona Limited Liability Company
Escrow Supplements Two thru Four revised to reflect Agreement for Purchase and Sale of Real Property
and Instructions to Escrow dated June 20, 2018.
Buyer and Seller acknowledge, per sections 4.4 and 4.5 of the PSA, buyer is not obligated to close
escrow until the City has approved all permits and entitlements necessary for Buyer to construct and
operate its hotel project on the property. f
Buyer and Seller mutually agree to equally share the cost of design and construction of the required
deceleration lane into the hotel development from Highway 111. ✓'
Buyer and seller agree that close of escrow is to be extended to on or before August 19, 2019, to ensure
that Seller has acquired all permit and entitlements necessary for Buyer to construct and operate its hotel
project on the property. ✓
All other terms and conditions remain in FULL force and effect.
