Previous instructions in the above numbered escrow are hereby modified and/or supplemented in the following particulars only: Buyer and Seller mutually agree to amend Sections 4.4 and 4.5 of the Purchase and Sale Agreement as follows: Seller agrees to authorize the close of escrow and the transfer of title to Buyer after a Grading Permit has been issued to Buyer, and with knowledge that Buyer is still working on obtaining a Building Permit for the project. Upon close of escrow, Buyer agrees to continue to work with all applicable agencies to obtain all required permits and commence with construction and operation of a hotel facility. Buyer and Seller mutually agree that The City of La Quinta Planning Department, Public Works Department, and Fire Department (City Departments) are required to review for completeness the Building Permit submittals once the following items are received: It is understood that the below two items are currently in process and awaiting final approval. - County approval of kitchen equipment (in process) - School Fee Certificate of Compliance (in process) Buyer and Seller mutually agree that the items listed above are the approvals pending for Building Permit issuance and once the above items are received, all applicable license and fees have been paid, and those City Departments approve, Buyer can pull permit after completing the following: - Building Permit Fee Payment - Pad Elevations Certificate from a surveyor - Geotechnical Certification of Grading Compliance including compaction report from the Soils Engineer Buyer acknowledges that once the City Departments are satisfied with submittal completeness, each respective department will authorize approval and issuance of the outstanding permit(s).
