2024-25 J&H Asset Property Management MOU - Dune Palms Mobile EstatesMEMORANDUM OF UNDERSTANDING REGARDING AGREEMENT FOR CONTRACT SERVICES This Memorandum of Understanding ("MOU") effective October 21, 2024, relates to that certain Agreement for Contract Services by and between the La Quinta Housing Authority, a public body, corporate and politic, and J & H Asset Property Management, Inc., a California Limited Liability Corporation ("Contracting Party") approved by the City Council of the City of La Quinta on March 16, 2021 (the "Agreement"). RECITALS A. WHEREAS, on March 16, 2021, Authority approved the Agreement; and B. WHERAS, Section 3.4 of the Agreement provided that the term of the Agreement would begin on January 1, 2021, and would terminate on June 30, 2022, subject to one (1) additional extension for one (1) additional two (2) year term, ending on June 30, 2024; and C. WHEREAS, on June 30, 2022, Authority and Contracting Party agreed to extend the term of the Agreement, pursuant to Section 3.4 thereof, to June 30, 2024; and D. WHEREAS, Section 10.6 of the Agreement authorizes Authority and Contracting Party to amend the Agreement upon mutual written approval; and E. WHEREAS, Authority and Contracting Party agree that they inadvertently permitted the term of the Agreement to expire, but that each party has continued to operate as though the Agreement were still in effect and did not terminate from June 30, 2024 until the effective date of this MOU; and F. WHEREAS, by execution of this MOU, Authority and Contracting Party desire to memorialize their continued operation under the terms of the Agreement, subject to the additional terms set forth in this MOU. NOW THEREFORE, Authority and Contracting Party agree as follows: AGREEMENT 1. Continuation of Agreement. Authority and Contracting Party acknowledge that each party has been operating as though the Agreement were still in effect between June 30, 2024 and the date this MOU goes into effect and that the terms of the Agreement shall be fully applicable to the parties' performance during that period. 2. Terms of MOU. Authority and Contracting Party desire to continue performance of each of their rights and obligations under the Agreement as though the Agreement were still in effect, pursuant to this MOU until the earlier of (a) Authority's provision of at least thirty (30) days' written notice that it is terminating this MOU or (b) June 30, 2025, whichever is sooner. 3. Incorporation by Reference. The Agreement and the Recitals set forth above are incorporated herein by this reference. 4. Counterparts. This MOU may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement.
