SUBMISSION RESTRICTIONS All presentations must be submitted in writing; no oral, facsimile, or telephone presentations or modifications will be considered. 3. QUESTIONS or REQUESTS FOR CLARIFICATIONS Any requests for clarification or other questions concerning this RFQ must be submitted in writing by February 14, 2025 and sent via email to Rosemary Hallick, Principal Management Analyst, rhallick@laquintaca.gov. 4. ADDENDA The City may modify this RFQ, any of its key action dates, or any of its attachments, prior to the submittal deadline. Addenda will be numbered consecutively and noted following the RFQ title. It is the submitter’s responsibility to ensure they have incorporated all addenda. Failure to acknowledge and incorporate addenda will not relieve the submitter from the responsibility to meet all terms and conditions of this RFQ and any subsequent addenda. 5. REJECTION OF PRESENTATIONS The City may reject any or all presentations in whole or in part for any reason, including suspicion of collusion among submitters. Presentations referring to terms and conditions requirements that may conflict with the City’s standard agreement and/or insurance requirements may be rejected. Page 2 of 7 The City may conduct an investigation as deemed necessary to determine the ability of the submitter to perform the work, and the submitter shall furnish to the City all such information and data for this purpose as requested by the City. The City reserves the right to reject any presentation if the evidence submitted by, or investigation of, such presentation fails to satisfy the City that such submitter is properly qualified to carry out the obligations of the agreement and to complete the required work. 6. CANCELLATION OF RFQ This RFQ does not obligate the City to enter into an agreement. The City reserves the right to cancel this RFQ at any time, should projects not come to fruition, the City loses the required funding, or it is deemed in the best interest of the City. No obligation, either expressed or implied, exists on the part of the City to make an award or to pay any cost incurred in the preparation or submission of a presentation. 7. NEGOTIATIONS AND FINAL AGREEMENT Upon the necessity for land-secured financing services, the City may reach out to submitters to provide quotes specific to the project under consideration, or may select from submitters’ firms that may serve in an on-call capacity for such services. At such time, the City’s Agreement for Contract Services shall be required, and all required insurance shall be submitted. The City also requires a Statement of Economic Interest (Form 700) to be filed by any submitter who is involved in the making of decisions which may have a foreseeable material effect on any City financial interest pursuant to the City’s Conflict of Interest Code and the California Political Reform Act of 1974. An agreement will not be binding or valid with the City unless and until it is executed by authorized representatives of the City and of the selected submitter. At the discretion of the City, any or all parts of the presentation shall be made a binding part of the agreement. Upon request, a copy of the City’s Agreement for Contract Services and list of Insurance Requirements can be provided. 8. PRICING ADJUSTMENTS The City reserves the right to negotiate final pricing with the most qualified submitter. Pricing shall remain firm for the entire initial term of the agreement. Thereafter, any proposed pricing adjustment for additional periods, if any, shall be subject to the terms of the agreement. 9. SELECTION PROCESS Presentations or Statements of Qualifications shall be reviewed based on the information requested by this RFQ, as well as responses from references and clients, background checks, and other information pertinent to the evaluation process. Closely ranked firms may be asked to furnish evidence of capability, equipment, and financial resources to adequately provide the services. 10. RFQ TIMELINE The timeline as noted below for collection of RFQs will then be subject to the needs of the City. At such time that services are needed, the City will contact qualified firms to submit a specific price quote for the project under consideration at that time. PROPRIETARY, CONFIDENTIAL, AND PUBLIC INFORMATION 11.1 Proprietary and Trade Secret Information: A copy of each presentation will be retained as an official record and will become open to public inspection, unless the specific parts can be shown to be exempt by the California Public Records Act [California Government Code §7920.000 et seq.]. Each submitter may clearly label part of a presentation as “Confidential” if the submitter thereby agrees to indemnify and defend the City for honoring such a designation. The failure to so label any information that is released by the City will constitute a complete waiver of all claims for damages caused by any release of the information. If a request for public records for labeled information is received by the City, the City will notify the submitter of the request and delay access to the material until seven working days after notification to the submitter. Within that time delay, it will be the duty of the submitter to act in protection of its labeled information. Failure to so act will constitute a complete waiver. 11.2 Confidential Information: Evaluation scores, weight factors, and negotiation notes are confidential and will not be released or retained [California Government Code § 7922.500]. 11.3 Public Information: All presentations will be opened on March 5, 2025, and will be made available to the public upon request. By submitting a presentation, you acknowledge and accept that the content of the presentation and associated documents will become open to public inspection. The final, executed agreement will be a public document. Presentations and other information will not be returned. 12. PRESENTATION PREPARATION COSTS Any costs incurred in the preparation of a presentation, including changes or additions requested by the City, presentation to the City, travel in conjunction with such presentations, or samples of items, shall be entirely the responsibility of the submitter. 13. NON-COLLUSION AFFIDAVIT Presentations must include an executed Non-Collusion Affidavit, included as Attachment 1, executed by an official authorized to bind the firm. 14. LOCAL BUSINESS PREFERENCE Local vendors are encouraged, but not required. For purposes of this section, ‘local’ shall be defined as an individual, partnership, or corporation, which regularly maintains a place of business within a 40-mile radius of the City. 15. CITY RIGHTS AND OPTIONS The City reserves the right to:  Make the selection based on its sole discretion;  Issue a subsequent RFQ;  Postpone opening presentations or selection for any reason;  Remedy errors in the RFQ or in the RFQ process;  Modify the Scope of Services in the RFQ;  Approve or disapprove the use of particular subcontractors;  Negotiate with any, all or none of the submitters;  Accept other than the lowest offer;  Waive informalities and irregularities in presentations;  Request additional information or clarification;  Request revisions during negotiations;  Invite any consultant of its choosing to assist with the evaluation of responses or to provide the City with a second opinion Page 4 of 7  Enter into an agreement with an alternate in the event the originally selected firm defaults or fails to execute an agreement with the City in a timely manner. REQUESTED SERVICES The City of La Quinta (City) seeks Statements of Qualifications/Presentations from qualified firms that provide services related to land-secured financing, including formation of Community Facilities Districts (CFD), Assessment Districts, and/or Enhanced Infrastructure Financing Districts, and issuance of bonds or other public financing options related to same. I. INTRODUCTION The City of La Quinta is located 120 miles east of Los Angeles in the eastern portion of Riverside County known as the Coachella Valley. The City has a permanent population of approximately 38,000, within a boundary of 36 square miles. Each year nearly 18,000 seasonal residents also call La Quinta home from October through May. The City was incorporated in 1982 as a general law City and became a charter city in November 1996. It is governed by a five-member City Council under the Council/Manager form of government. The Mayor and Council Members are elected at large and also serve as the Board of Directors of the Housing and Finance Authorities. The City's primary budgets are the 2024/25 Operating Budget and the Capital Improvement Program (CIP). The Operating Budget forecasts $82,714,300 in revenue. The 2024/25 CIP budget is $28,118,109 of which $5,717,000 is funded by the General Fund, $12,200,000 from Measure G (the City’s local transactions tax), and $10,201,109 from limited use revenues such as developer impact fees, Measure A funds, Gas Tax funds, and grants. The City invests in infrastructure that supports the community (e.g., streets, bridges, flood control systems, parkways, parks, and public buildings) through the CIP. The City promotes a long-term vision with sound financial management, with current general fund reserves projected to be $94,000,000. The only outstanding debt belongs to the former Redevelopment Agency; the City has no general fund bonded debt. The City currently has one Lighting and Landscape District and no Community Facilities Districts. As the City looks to the future, several large and challenging undertakings are potentially on the horizon. The City, in conjunction with Terra Nova Planning & Research, Inc., has completed the initial Fiscal Impact Analysis of annexation of the La Quinta Sphere of Influence, as well as the potential expansion of the Sphere (City Council Study Sessions April 4, 2023, March 19, 2024 and November 19, 2024). Additionally, Staff and NV5, Inc. have completed the Village Undergrounding Feasibility Study which analyzed the costs associated with undergrounding the utility lines in the Cove and other areas of the City (City Council Study Session September 19, 2023). Finally, the City has been closely monitoring various concerns regarding the aging electrical infrastructure, equipment, and over-taxed power grid, as well as the eventual expiration of the agreement between the Coachella Valley Water District and Imperial Irrigation District (IID) which named IID as the electrical service provider to the Eastern Coachella Valley until 2032 (City Council Study Sessions August 1, 2023 and December 3, 2024). These and other issues facing the City could require new funding sources for major capital projects, which may entail the formation of Community Facilities Districts, Assessment Districts, and/or Enhanced Infrastructure Financing Districts. SCOPE OF SERVICES The City seeks to establish a list of qualified professionals with experience in the formation of Land-Secured Financing Districts including the proceedings for, and the issuance of bonds secured by special taxes and assessments levied in, a community facilities district ("CFD") or assessment district (“AD”). CFDs and ADs together are referred to as “Districts” in the plural or “District” in the singular. Pursuant to Sections 53311 et seq., of the Government Code and Mello-Roos Community Facilities Act of 1982 (the "CFD Act"), the City is authorized to form a CFD. Pursuant to the Streets and Highways Code under Sections 5000 et seq. and the Municipal Improvement Act of 1911, Sections 8500 et seq. and the Improvement Bond Act of 1915, and Sections 10000 et seq. and the Municipal Improvement Act of 1913 (collectively the “AD Acts”), the City is authorized to form an AD. III. PRESENTATION FORMAT Firms are encouraged to keep their presentations brief and relevant to the specific information requested herein. Presentations should be straightforward, concise, and provide “layman” explanation of technical terms that are used. Emphasis should be on completeness and clarity of content. Presentations should be in a format and order that corresponds to the numbering and lettering contained herein, with minimal reference to supporting documentation, so that presentations can be accurately compared. 1. Cover Letter Signed by an official authorized to bind the firm with name, address, phone number, and email address of firm’s contract person, location of firm’s main office, location of the office that would service this project, a validity statement that all information and pricing provided in the presentation is valid for at least ninety (90) days, and a statement that any individual who will perform work for the City is free of any conflict of interest.
