AMENDED TERM SHEET
This AMENDED TERM SHEET is hereby incorporated and made a part of the Agreement for
Contract Services ("Agreement") between MY COI LLC ("Contracting Party") and City of La
Quinta ("City") dated 7 / 1 / 2 0 2 5. The provisions of the AMENDED TERM SHEET are
subject to the terms and conditions of the Agreement and shall be binding on Contracting Party
and City upon full execution of both parties.
Services: City agrees to purchase a right to access the services listed in Section 1.1— Scope of
Services of the Agreement ("Services") under the following Terms
Pricing: City shall be responsible for paying the following fees:
Annual Access and Support Package $2,140/Year
User Licenses: Up to 10 Users
This package includes ongoing support provided by your Client Success Manager, unlimited
training for the above users, Care Team support for the above users, and access to all upgrades
and new releases.
Concierge - Annual Compliance Management
Up to 250 Assignments $8,560/Year
This charge includes the following services for one annual term.
• Requesting, collecting and verifying compliance of all requested certificates of
insurance for one annual term. New certificate requests, non -compliant certificate
requests and renewal certificate requests include up to six (6) emails and one (1)
personal attempt per workflow. This includes workflows for each insurance agent
provided.
• Collection and review of required additional insured endorsements including primary
and non-contributory language.
• Collection and review of required waiver of subrogation endorsements.
• Quarterly Policy Verification: This includes up to three (3) emails every 90 days,
following the last certificate compliance review. These emails will request confirmation
that policies have not been cancelled. This will take place for the vendors selected in
the Master Vendor list and will be sent to the agents provided.
• Up to 5 Rush Requests per Month
Optional Services:
The following services may be added and shall be billed at the following rate:
25 Additional Assignments: Concierge - Annual Compliance Management: $856/ Year
Contract/Lease Insurance Extraction $7.50/contract
Active Certificate Insurance Requirement Change $5.50/Assignment
Changes to active insurance requirements, excluding changes made on a per assignment basis
as a result of an override request.
Payment Terms: In exchange for the foregoing access to the Services, Client shall pay for
fees due upon the following schedule. The Launch Package, the Annual Access & Support
Package and the Annual Compliance Management charges are due upon the execution of the
Master Services Agreement. If applicable, additional assignments will be charged in the month
the assignment allowance is exceeded. Additional assignments are billed in increments of 25.
Invoices are due and payable within thirty (30) days of invoice date, except where otherwise
provided. All payments which are not received when due shall bear interest at the lesser of the
maximum amount chargeable by law or 1.5% per month commencing with the date payment
was due.
Term: This Agreement will remain in effect for three (3) years following the Effective Date of
the Agreement (Initial Term).
