AMENDMENT NO. 2
TO AGREEMENT FOR TEMPORARY LOAN OF ARTWORK
WITH GOLDENVOICE
This Amendment No. 2 ("Amendment 2") to Agreement for Temporary Loan of
Artwork ("Agreement") is made and entered into as of the V day of March, 2025,
("Effective Date") by and between the CITY OF LA QUINTA ("City"), a California municipal
corporation and GOLDENVOICE, a California Limited Liability Corporation ("Owner").
RECITALS
WHEREAS, on or about March 18, 2015, the City and Vendor entered into an
Agreement for Temporary Loan of Artwork for temporary custody and possession of
"Roadrunner" to be placed at the Jefferson St. Roundabout; and
WHEREAS, on or about January 8, 2020, the City and Owner executed
Amendment No. 1 pursuant to Section 2 Duration of Loan and mutually agreed to extend
the term of the Agreement for five additional year(s) through March 18, 2025; and
WHEREAS, the City and Owner mutually agree to a subsequent extension to the
Duration of the Loan for an additional ten years through March 18, 2035.
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows:
1. Section 2 — Duration of Loan is amended to read as follows:
Section 2 — Duration of Loan. The City shall accept the temporary loan of Artwork for a
period of five years, commencing on installation of Artwork, which installation shall be
completed on or before June 1, 2015, and ending on the loan termination date of five
years from the installation date (the "Initial Loan Period"). Amendment No. 1 extended the
duration of the loan by an additional five (5) years through March 18, 2025. Both Parties
agree to extend the duration of the Extended Loan Period by an additional ten (10) years,
through March 18, 2035 ("Extended Loan Period") via this Amendment No. 2. The Loan
Period may be shortened or extended in duration by mutual agreement between the
Owner and the City.
In all other respects, the original Agreement shall remain in effect.

IN WITNESS WHEREOF, the City and Contracting Party have executed this
Amendment No. 2 to the Agreement on the respective dates set forth below.
