Regards, Monika Radeva City Clerk 78495 Calle Tampico I La Ouinta, California 92253 I 760.777 7000 I www.laquinfaca,goy SETTLEMENT AGREEMENT AND RELEASE This Settlement Agreement and Release (hereinafter the "Agreement") is entered by and between the CITY OF LA QUINTA, a California municipal corporation ("City") and WASHINGTON-III, LTD. ("Washington Park"), and is binding and effective as of the Effective Date (defined below). The City and Washington Park are referred to hereinafter individually each as a "Party" and collectively as the "Parties." The Parties enter into this Agreement with reference to the following: RECITALS A. Washington Park is the owner and operator of a shopping center located in the City and commonly referred to as the Washington Park Shopping Center (the "Property"). Washington Park has leased space or may in the future lease space within its Property to various commercial tenants (the "Tenants") pursuant to lease agreements to which the City is not and will not be a party. B. The following Tenants: Planet Fitness, Marvyn's Magic Cabaret, Bliss Dentistry, and Red Angel Hair Salon (or their respective parent companies or affiliates) (collectively, the "Existing Tenants") entered into lease agreements with Washington Park. The Existing Tenants have each applied to or plan to apply to the City for building permits for improvements to their respective leased space at the Property, as well as certificate of occupancy permits once construction was completed. The City, as a condition to issuance of a building permit or certificate of occupancy permit, or both, required or planned to require the completion of improvements to remove access barriers for persons with disabilities over identified common area of the Property, including the parking lot. C. On or about January 29, 2019, Washington Park submitted to the City, through Washington Park's contractor and agent DRL Group and Mark Giles, a site diagram with details and design for path of travel ("P.O.T.") accommodations, including improvements of new curbs, signage, parking area striping, and adjustment of the slope on concrete walks from arrival points. On or about February 4, 2019, the City's Building Division accepted the site diagram with those details and design plans for P.O.T. accommodations (referred to as the "Approved P.O.T. Accommodations"). D. A dispute has arisen between the Parties about their respective rights and obligations with respect to: (1) Whether the City has authority to impose P.O.T. accommodations for the common areas of the Property, including over the parking lot, that serves as the exterior approach to the leased areas of the Existing Tenants when Washington Park is exclusively responsible for the common area under the respective leases with the Existing Tenants, and (2) The scope, implementation, and timing of installation of the required accessibility improvements, including but not limited to P.O.T. accommodations (collectively, the "Claims"). Pending resolution of the dispute, the City has issued building permits and temporary certificate of occupancy penults to certain of the Existing Tenants. 290/015610-0164 14626242.2801/30/20 -1- E. The Parties explored the possibility of resolving their dispute through a non -binding early neutral evaluation ("ENE") to avoid the expense and uncertainty of litigation. This process has now been completed. NOW, THEREFORE, based on the foregoing Recitals, which are an integral part of this Agreement and incorporated fully herein, the Parties agree as follows: AGREEMENT 1. Obligations of the City. A. All Existing Tenants of the Property who have temporary certificates of occupancy will be issued permanent certificates of occupancy by the City for the use and occupancy authorized by the City for that Existing Tenant's leased space on the Property. None of the Existing Tenants will be obligated to complete any improvement requirements under the Americans with Disabilities Act of 1990 ("ADA") solely affecting the common areas, including parking lot, of the Property (referred to as the "common or parking area ADA improvements") as long as Washington Park (or its successor in interest) retains exclusive control and management of such common and/or parking areas for the Property pursuant to a lease agreement with the Existing Tenant. B. The City will not impose, as a condition for issuance of a building permit or certificate of occupancy permit to any future Tenants, any common or parking area ADA improvements, as long as Washington Park (or its successor in interest) retains exclusive control and management of the common and/or parking areas for the Property pursuant to any lease agreement with any future Tenants. C. Provided Washington Park satisfies its obligations under this Agreement, the City will waive permit fees in connection with the issuance of any permits required by the City and waive any inspection fees for inspections completed by the City relating to the constriction of common or parking area ADA improvements as provided in Section 2.A. of this Agreement. 2. Obligations of Washington Park. A. Within five (5) years of the Effective Date of this Agreement, Washington Park (or its successor in interest) will complete or cause the completion of construction on the Property of the common or parking area ADA improvements, which are included in the Approved P.O.T. Accommodations, a copy of which is attached hereto as Exhibit A and incorporated herein. Subject to the provisions in Section 1.0 of this Agreement, Washington Park (or its successor in interest) will have the obligation to apply for and obtain any and all permits from the City to complete the construction of the Approved P.O.T. Accommodations. On or before July 31 and January 31 of every year after the Effective Date, until such date of the final inspection certifying the completion of construction for the common or parking area ADA improvements referenced in this section, Washington Park shall deliver to the City Manager and City Building Official a concise progress report that sets forth actions taken, in the previous months, towards completing the construction. 290/015610-0164 14626242.2 a01/30/20 -2- B. Washington Park's accessibility remedial work obligations, memorialized in the Approved P.O.T. Accommodations and this Agreement, are intended to be subject to the Doctrines of Safe Harbor as codified in 28 CFR section 36.304(d)(2), readily achievable as codified in 28 CFR section 36.104, and any applicable CBC standards. 3. No Admission of Fault. Upon full performance by the Parties of their respective obligations set forth herein, this Agreement is intended to be and is a compromise between the Parties, and nothing in this Agreement shall be interpreted, used, or construed as an admission of fault or wrongful conduct of any kind by any of the Parties. 4. Release. A. Full and General Release. In consideration for the agreements as set forth herein, Washington Park and City, on behalf of themselves and their respective successors, assigns, officials, directors, officers, employees, insurers, lenders, lien holders, attorneys, agents, and other representatives, do hereby release the other Party from any and all claims, actions and causes of action, obligations, liabilities, indebtedness, breaches of duty, claims for injunctive and other equitable relief, suits, liens, losses, costs or expenses, including attorney's fees, of any nature whatsoever, known or unknown, fixed or contingent, relating to or arising out of the Claims, as of the Effective Date of this Agreement (the "Release"). The Release expressly excludes the terms, conditions, and covenants of the Parties to each other under this Agreement. B. Waiver of Civil Code Section 1542: By releasing and forever discharging claims both known and unknown as above provided, the Parties expressly waive any rights under California Civil Code section 1542, which provides: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." Washington Park and City each waive and relinquish any rights and benefits that they have or may have under section 1542 of the Civil Code of the State of California with regard to the Release. Washington Park and City have performed a full and complete investigation of the facts pertaining to this Agreement, and the Washington Park and City acknowledge and agree that they are aware that they may hereafter discover facts in addition to or different from those which they now know or believe to be true with respect to the subject matter of this Release, but it is their intention hereby to fully and finally forever settle and release any and all matters, disputes and differences, known or unknown, suspected and unsuspected, which now exist, may exist or heretofore have existed, as against each other, arising out from the Claims, 290/015610-0164 14626242.2 a01/30/20 -3- 5. Municipal Approval. The effectiveness of the terms, conditions, covenants, agreements, and releases set forth in this Agreement is expressly conditioned upon the approval of this Agreement by La Quinta City Council (the "Approval"). The term "Effective Date," as used herein, shall mean the later of: i) the date on which this Agreement is executed by all Parties; and ii) the date on which the Approval is received and final. 6. Entire Agreement. This Agreement and exhibit attached form the entire agreement of the Parties and supersedes any and all prior agreements or understandings, if any, between them pertaining to the subject matter hereof, and shall not be modified or altered except by a subsequent written agreement signed pursuant to Section 13 below. This Agreement shall be binding upon and shall inure to the benefit of the Parties, their respective successors, assigns, officials, directors, officers, employees, insurers, lenders, lien holders, attorneys, agents, and other representatives. 7. Representations and Warranties. Each Party expressly represents and warrants that it has not transferred or assigned or attempted to transfer or assign any of the Claims subject to the Release under this Agreement or other released claims under this Agreement. No claim of subrogation may be brought on behalf of one Party against the other Party under any of the Claims subject to the Release and other released claims, and each Party expressly agrees to waive any subrogation rights against the other Party related to any of the Claims subject to the Release or other released claims under this Agreement. The persons signing this Agreement hereby represent and warrant that they have the power and authority to bind any Party on whose behalf this Agreement is signed. Each Party acknowledges and agrees that the other Party is materially relying upon the representations and warranties of that Party set forth in this Agreement. If any of any Party's representations and warranties as set forth herein are found to be untrue or inaccurate either at the signing of this Agreement or with the passage of time, or both, then such untrue or inaccurate representation and warranty shall be a material default and the basis for a breach of this Agreement. 8. Controlling Law. This Agreement shall be interpreted and construed in accordance with the laws of the State of California without regard to conflict of law principles. 9. Attorneys' Fees and Costs. The Parties shall bear all of their own respective costs and attorneys' fees incurred relating to this Agreement and any related activities conducted prior to the execution of this Agreement, including but not limited to preparation for and participation in the ENE. 10. Severabilitv If any provision or part of this Agreement is held, determined, or adjudicated to be invalid, unenforceable or void for any reason, each such provision shall be severed from the remaining 290/015610-0164 14626242.2 a01/30/20 -4- provisions of the Agreement and shall not affect the validity and enforceability of such remaining provisions. 11. Review of Agreement. The Parties each acknowledge and represent that they have read this Agreement, that they have had the opportunity to consult with their respective attorneys concerning its contents, that the Agreement is being executed solely in reliance on their respective judgment, belief, and knowledge of the matters set forth herein and on the advice of their respective attorneys, and that they enter this Agreement freely and voluntarily. 12. Neutral Interpretation. The Parties agree that all parts of this Agreement shall in all cases be construed as a whole according to their fair meaning and shall not be construed strictly for or against any Party hereto. 13. Modification. This Agreement shall not be modified, amended or supplemented unless such modifications, amendments or supplements are in writing and signed by the Party to be charged. 14. Counterparts.
