SECOND SUPPLEMENTAL DECLARATION OF AMANDA R. STEELE
IN CONNECTION WITH THE APPLICATION OF DEBTORS FOR ENTRY
OF AN ORDER AUTHORIZING THE EMPLOYMENT AND RETENTION OF
RICHARDS, LAYTON & FINGER, P.A., AS COUNSEL TO THE SOLE
MANAGER OF THE DEBTORS EFFECTIVE AS OF OCTOBER 19. 2024
Pursuant to Bankruptcy Rule 2014(a), I, Amanda R. Steele, hereby declare as follows:
1. I am an attorney admitted to practice in the State of Delaware and before this Court,
and a director of the firm of Richards, Layton & Finger, P.A. ("RL&F"). RL&F is a Delaware law
firm with offices at One Rodney Square, 920 North King Street, Wilmington, Delaware 19801.
2. I submit this second supplemental declaration (the "Second Supplemental
Declaration") in connection with the Sole Manager's retention of RL&F as counsel pursuant to the
Order Authorizing the Employment and Retention of Richards, Layton & Finger, P.A., as Counsel
to the Sole Manager Effective as of October 19, 2024 [Docket No. 250] (the "Retention Order").
3. Unless otherwise stated in this Second Supplemental Declaration, I have personal
knowledge of the facts set forth herein. To the extent any information disclosed herein requires

amendment or modification upon RL&F's completion of further analysis or as additional
information becomes available, a further supplemental declaration will be submitted to the Court.
Supplemental Disclosure Regarding Retention of Gavin/Solmonese
4. RL&F has retained Gavin/Solmonese LLC ("Gavin/Solmonese") to provide
services for the Sole Manager. Gavin/Solmonese will assist RL&F and the Sole Manager by
providing expert consulting services (the "Services") in connection with the Debtors' DIP
financing. Gavin/Solmonese will be paid in accordance with the below rate structure (the
"Consulting Fees") on account of the Services:

$450 to $850
Senior Consultants and Directors
$225 to $425
Other Professional Staff
$125 to $250
5. The Consulting Fees will be paid to Gavin/Solmonese by RL&F in the ordinary
course of business and RL&F will pass through the costs of the Consulting Fees to the Debtors
through R L.&F's monthly fee applications.
Pursuant to 28 U.S.C. § 1746, I declare under penalty of perjury that the foregoing is true
