The Term of the Agreement expires on June 30, 2025 ("Initial Term"); and WHEREAS, The City and Contracting Party mutually agree to amend the following sections of the Agreement: • Section 1.1 Scope of Services of the Agreement and Exhibit A shall be amended to include the additional services of Account Management and Strategy as identified in this Amendment 1; and • Section 2.1 Contract Sum of the Agreement and Exhibit B shall be amended to increase total compensation by an additional amount of $11,100 for a total not to exceed amount of $49,900 for the Account Management and Strategy services, included in this Amendment 1 as Exhibit B. NOW THEREFORE, in consideration of the mutual covenant herein contained, the parties agree as follows: AMENDMENT In consideration of the foregoing Recitals and the covenants and promises hereinafter contained, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto agree as follows: 1. Section 1.1 Scope of Services is amended to read as follows: Section 1.1 — Scope of Services. Section 1.1 Scope of Services. In compliance with all terms and conditions of this Agreement, Contracting Party shall provide those services related to Production Services and Account Management/Strategy, as specified in the Scope of Services" attached to the original agreement as "Exhibit A" as well as attached hereto as "Exhibit A" to this Amendment No. 1 and incorporated herein by this reference (the "Services"). Contracting Party represents and warrants that Contracting Party is a provider of first-class work and/or services and Contracting Party is experienced in performing the Services contemplated herein and, in light of such status and experience, Contracting Party covenants that it shall follow industry standards in performing the Services required hereunder, and that all materials, if any, will be of good quality, fit for the purpose intended. For purposes of this Agreement, the phrase "industry standards" shall mean those standards of practice recognized by one or more first-class firms performing similar services under similar circumstances. 2. "Exhibit A" — Scope of Services is amended to include the Account Management and Strategy Services listed in "Exhibit A" attached hereto and incorporated by this reference. 3. Section 2.1 Contract Sum is amended to read as follows: Section 2.1 — Contract Sum. For the services rendered pursuant to this Agreement , Contracting Party shall be compensated in accordance with "Exhibit B" (the Schedule of Compensation") in the total amount not to exceed Forty -Nine Thousand, Nine Hundred Dollars ($49,900) for the life of the agreement ("Contract Sum"), except as provided in Section 1.7. 4. "Exhibit B" — Schedule of Compensation is amended as listed in "Exhibit B", attached hereto and incorporated by this reference. In all other respects, the original Agreement shall remain in effect. IHRKE, City Attorney City of La Quinta, California Dated: 05/09/2025 JNS NEXT CREATIVE & MEDIA HUB STATEMENT OF WORK City of La Quinta May/June Strategic Planning EXHIBIT A SCOPE OF SERVICES This statement of work ("SOW'), effective as of April 28, 2025, is made by and between JNS Next, a California corporation having its principal place of business located at 75410 Gerald Ford Drive, Suite 201, Palm Desert, CA 92211 and City of La Quinta having its principal place of business located at 78495 Calle Tampico, La Quinta , CA 92253 ("Client" or "City of La Quinta "). 1. Assignment Account stewardship, overall strategy and ongoing strategic advice. 2. CHANGE MANAGEMENT Except for a full cancellation, as outlined below, any revisions, additions, or modifications to this SOW shall only be valid if the same is made in writing and executed by the client and JNS Next. 3. TERM JNS shall provide the foregoing services, under the following structure, commencing on May 12, 2025, and ending on June 30, 2025. 4. FEE SERVICE/TASK DESCRIPTION MAY JUNE TOTAL COST Account Management & Strategic Advice Account stewardship, overall strategy and ongoing strategic advice. $0 $11,100 $11,100 5. OWNERSHIP The work product (as defined herein) shall be Client's property once Client has paid JNS Next's invoices. For the purposes hereof, "Work Product" shall be defined as plans, designs, deliverables, and materials (other than software and tools and any licensed third -party content) produced for the client in tangible, final form by JNS Next. Exhibit B Schedule of Compensation With the exception of compensation for Additional Services, provided for in Section 2.3 of this Agreement, the maximum total compensation to be paid to Contracting Party under this Agreement is Forty -Nine Thousand, Nine Hundred Dollars ($49,900) ("Contract Sum"). The Contract Sum shall be paid to Contracting Party in conformance with Section 2.2 of the Agreement.
