AMENDMENT NO. 1 TO SHORT -FORM SERVICES AGREEMENT
WITH DYCHELON LLC.
This Amendment No. 1 ("Amendment 1") to Short -Form Services Agreement
("Agreement") is made and entered into as of the 151 day of July, 2025, ("Effective Date")
by and between the City of La Quinta ("City"), a Municipal Corporation and Charter City
organized under the Constitution and laws of the State of California with its principal place
of business at 78495 Calle Tampico, La Quinta, CA and DYCHELON, LLC., a California
limited liability corporation ('Vendor") with is principal place of business at 14062
Woodlawn Avenue, Tustin, CA 92780.
RECITALS
WHEREAS, on or about December 4, 2024, the City and Vendor entered into an
Agreement to provide SB 553 Workplace Violence Prevention assessment and training,
for a total not to exceed amount of $12,750.00. The term of the Agreement expired on
June 30, 2025 ("Initial Term"); and
WHEREAS, pursuant to Section 4 Term, the City and Vendor mutually agree to
extend the term of the agreement for an additional six months from July 1, 2025 through
December 31, 2025 ("Extended Term"); and
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows:
1. Section 4 is amended to read as follows:
Section 4 — Term. The term of this Agreement shall be from December 18, 2024, to June
30 ("Initial Term"), unless earlier terminated as set forth in the attached Terms and
Conditions. This Agreement is being extended for six (6) additional months from July 1,
2025, through December 31, 2025.
In all other respects, the original Agreement shall remain in effect.
IN WITNESS WHEREOF, the City and Vendor have executed this Amendment
No. 1 to the Agreement on the respective dates set forth below.
